Selling Terms of Service

Effective Date: October 15, 2026 Version: 1.0 Applies to: All Sellers who offer products or services through the Platform.

Article 1: Introduction and Scope

1.1 This document is the master agreement between All About Pawz, LLC (the Company) and each Seller for the offer and sale of Products and Services through the Platform. The Seller accepts this document by completing seller verification, by listing a Product or Service, or by continuing to sell through the Platform after notice of an amendment under Article 16.

1.2 The Company operates a marketplace. The Company is not the seller of a Seller's Products or Services, and no provision of this document makes the Company a party to a contract of sale for a Seller's Product or Service. Products sold by the Company itself are "Sold by Pawz Shop"; Products sold by a Seller are "Sold by {Seller name}" in accordance with the Storefront and Identity Display Policy.

1.3 If a provision of this document conflicts with the Terms of Use, this document controls for the subject it governs. If a provision of this document conflicts with the terms of a program in which the Seller participates, the program terms control for that program. Policies and help pages explain this document; they do not amend it, and in any conflict this document prevails.

Article 2: Definitions

2.1 The definitions in the Terms of Use are incorporated into this document. The following additional definitions apply in this document and, unless a seller policy states otherwise, in every seller policy that incorporates this document (a) Account: the account a person or business establishes with the Company to use the Platform, including seller privileges where granted.

(b) Buyer: a person who purchases Products or Services through the Platform.

(c) Company: All About Pawz, LLC, a Tennessee limited liability company.

(d) Order: a Buyer's purchase of Products or Services through the Platform, accepted in accordance with the Order Formation and Acceptance Policy.

(e) Platform: the websites, applications, and services the Company operates under the name All About Pawz, including aapawz.com.

(f) Products: goods offered for sale through the Platform.

(g) Seller: a person or business the Company has accepted to offer Products or Services through the Platform.

(h) Services: services offered through the Platform, including grooming, veterinary, pharmacy, and fulfillment services, as applicable.

(i) Site: aapawz.com and its subdomains.

(j) User: any person who accesses or uses the Platform, whether or not the person holds an Account.

(k) User Content: content a User submits to the Platform, including listings, reviews, photographs, and messages.

2.2 Additional seller terms: Connected Account means the Seller's payment account with the Company's payment processor, to which the Seller's share of Buyer payments is routed. Designated Payment Account means the verified financial account in the Seller's name designated to receive disbursements. Disbursement means a transfer of collected funds from the Connected Account to the Designated Payment Account. Hold means funds retained from disbursement for a stated period to cover returns, disputes, and chargebacks. Reserve means a portion of proceeds retained as a loss buffer. Reversal means a full or partial transfer reversal that recovers funds from the Connected Account or the linked bank account in accordance with Article 6.

Article 3: The Company's Role; Contract of Sale

3.1 The Company provides the marketplace, listing, ordering, payment-collection, and related services described in this document. The Company does not manufacture, own, inspect, or take title to a Seller's Products, except where the Company expressly agrees in writing to hold inventory under a fulfillment program.

3.2 The contract of sale for a Seller's Product or Service is between the Seller and the Buyer. The Seller is the merchant of record for that sale, is responsible for the Product or Service, for the accuracy of the listing, for fulfillment, and for compliance with applicable law, and bears the rights and obligations of a seller under applicable law.

3.3 Title and risk of loss for a Seller's Product pass as the applicable listing, shipping, and returns policies provide and, in the absence of a contrary provision in those policies, on delivery to the Buyer. The Company bears no risk of loss for a Seller's Product while the Product is in the Seller's possession or in transit on the Seller's behalf, except as a fulfillment program's terms expressly provide.

Article 4: Eligibility, Account, and Verification

4.1 The Seller shall be at least 18 years of age or the age of majority in the Seller's jurisdiction, whichever is greater, and represents and warrants that the Seller has the legal right, authority, and capacity to enter into this document and to sell through the Platform.

4.2 Before the first listing, the Seller shall complete identity and business verification and shall keep all verification information complete, accurate, and current. The Seller shall notify the Company promptly of any change to business name, address, tax identity, ownership structure, or disbursement details. Onboarding is governed by the Seller Onboarding Policy and verification is governed by the Business Verification Policy, which state the Seller's obligations for those subjects.

4.3 The Seller shall hold one selling account in accordance with the Multiple Accounts Policy. Additional accounts require the Company's prior written permission.

4.4 The Company may re-verify the Seller at any time. The Seller shall complete re-verification within the period stated in the Company's notice. Failure to complete re-verification within that period may result in suppression of listings until verification is complete.

4.5 The Seller shall keep Account credentials confidential, shall not permit another person to sell under the Seller's Account except through authorized team access, and shall notify the Company promptly at support@aapawz.com of any suspected unauthorized use of the Account.

Article 5: Listings and Sale Duties

5.1 The Seller warrants that every listing is accurate and complete in title, description, images, attributes, ingredients, directions, and warnings. The Company makes no warranty concerning a Seller's Product content. If a Product is not as described, the Buyer's remedy is return and refund at the Seller's cost in accordance with the Return and Refund Policy: Sellers (Return and Refund Policy — Sellers) and the Returns and Refunds Policy.

5.2 Listings shall carry valid, unique product identifiers unless the Company grants an exemption in writing. Each Product shall have exactly one listing; duplicate listings are prohibited.

5.3 The Seller shall list a gated brand only if the Seller is the brand owner or an authorized seller of that brand, with authorization documented and current. An expired authorization shall result in suppression of the affected listings until authorization is renewed.

5.4 The Seller shall comply with regulatory requirements applicable to the Products listed, including: (a) a valid EPA registration number for flea, tick, and pesticide products; (b) compliant labeling and required state feed registrations for pet food and treats; and (c) licensed-pharmacy and valid veterinarian-client-patient relationship requirements for prescription products. The detailed listing policies govern those subjects; this document states the Seller's obligation to comply with them.

5.5 The Seller shall not list counterfeit goods, goods that infringe another person's rights, or misrepresented products. The Seller shall not sell a prohibited or restricted product except as the applicable product policy permits.

5.6 The Seller's service obligations, including handling time, shipment, tracking, response times, and defect rates, are governed by the Service Level Requirements. The Seller shall ship within the stated handling time, shall meet the delivery promise shown to the Buyer, shall provide a carrier-scanned valid tracking number for every shipment, shall acknowledge each Order within 24 hours, and shall not cancel an Order to avoid performance measurement. Packaging shall protect the Product in transit. Expired, opened, or resealed food products shall not be shipped.

5.7 Drop shipping is permitted only where the seller of record is clearly identified, tracking is carrier-scanned, and the Product meets every listing obligation under this Article. The Seller remains responsible for a drop-shipped Order as if the Seller had shipped the Order directly.

Article 6: Payment Collection, Agency, and Flow of Funds

6.1 The Seller appoints the Company as the Seller's limited agent solely for the collection of payment from Buyers for Orders. The Company collects payment in that agency capacity only; the appointment does not make the Company the seller of the Product or Service, a guarantor of payment, or a party to the contract of sale.

6.2 As collection agent, the Company may: (a) accept and collect Buyer payments through regulated payment infrastructure; (b) deduct fees, commissions, and amounts held as a Reserve before remitting the Seller's share; (c) hold funds and impose a Reserve to cover returns, disputes, and chargebacks; (d) delay disbursement and set off amounts the Seller owes against amounts otherwise payable to the Seller; (e) reverse a transfer and recover funds from the Connected Account or linked bank account in accordance with Clause 6.5; and (f) suspend transfer capability where fraud or an ignored dispute requires that measure.

6.3 Payment by a Buyer to the Company satisfies the Buyer's obligation to the Seller for the purchase price to the extent of the payment received. The Seller shall look solely to the Company for payment of collected funds, less applicable fees, Holds, Reserves, refunds, and chargebacks, in accordance with this document, the Payment Services Terms, and the Final Settlement and Payout Policy.

6.4 Buyer payments are processed through regulated payment infrastructure. The Company's fee is collected at the time of charge. The Seller's share is routed to the Connected Account. The Company's corporate bank account does not hold third-party transaction funds as the Seller's share.

6.5 If a Buyer raises a legitimate dispute, files a chargeback, or the Company reasonably suspects fraud, the Company may delay disbursement, reverse a transfer in full or in part from the Connected Account or linked bank account, impose a mandatory Reserve or minimum balance, or freeze transfer capability. Each exercise of a right under this Clause shall be recorded against the Account.

6.6 Disbursement timing, Holds, Reserves, new-seller holds, and final settlement are governed by the Payment Services Terms, the Final Settlement and Payout Policy, and the payment-hold policies incorporated by those documents. The Seller shall maintain a verified Designated Payment Account in the Seller's legal name and shall keep disbursement details current.

6.7 The Seller shall not accept payment off the Platform for an Order placed through the Platform, and shall not direct a Buyer to pay by a method outside Platform checkout.

Article 7: Fees

7.1 Fees for selling through the Platform are governed by the Seller Fee Schedule. A fee is payable under this document only if the fee is stated in the Seller Fee Schedule. No other charge of any kind is payable, and the Company shall not impose a fee that the schedule does not state.

7.2 The Seller authorizes deduction of stated fees from amounts otherwise payable to the Seller. A fee applies prospectively only and does not apply retroactively to an Order already charged, unless the Seller Fee Schedule states otherwise for that fee.

Article 8: Returns, Refunds, Recalls, and Chargebacks

8.1 Returns and refunds for Seller sales are governed by the Returns and Refunds Policy, which states the platform rule; the Seller's obligations under that rule are stated in the Return and Refund Policy: Sellers (Return and Refund Policy — Sellers), which the Seller shall comply with, including acceptance, inspection, refund timing, and return shipping cost allocation.

8.2 Where the Company refunds a Buyer under the Buyer Protection Program for a Seller's sale, the Company may recover the refunded amount from the Seller by setoff or Reversal in accordance with Article 6.

8.3 The Seller bears chargebacks arising from the Seller's sales, except as the applicable chargeback policy allocates a chargeback to the Company. The Seller shall respond to a chargeback notice within the period stated in that notice with tracking and other evidence in the Seller's possession.

8.4 On notice of a product recall or safety action, the Seller shall stop sale of the affected Product, shall cooperate with the recall, shall notify affected Buyers as directed, and shall bear recall costs attributable to the Seller's Products in accordance with the applicable recall policy.

Article 9: Taxes

9.1 Tax identity, information reporting, and marketplace facilitator matters are governed by the Tax Identity and 1099 Reporting Policy and the Tax Information Reporting Policy (Tax Information Reporting (Form 1099-K)). The Seller shall provide a correct tax identity before the first disbursement, shall keep that identity current, and shall comply with the information-reporting duties stated in those documents.

9.2 Where the Company acts as marketplace facilitator, the Company collects and remits transaction tax as applicable law requires. The Seller shall not collect transaction tax separately on a Platform Order, and remains responsible for income tax and for tax on off-Platform sales.

Article 10: Seller Conduct

10.1 The Seller shall not: (a) sell counterfeit, infringing, or unauthorized goods; (b) manipulate prices, reviews, or search rankings; (c) fulfill an Order with a substituted, expired, or misrepresented Product; (d) circumvent a Hold, Reserve, or verification requirement; (e) operate an undisclosed additional account; (f) solicit a Buyer to complete a transaction off the Platform; or (g) use Platform data or catalog content to build a competing service or to harvest catalog data.

10.2 Reviews shall be genuine. Fake, incentivized, or retaliatory reviews are prohibited.

Article 11: Records

11.1 The Seller shall keep complete and accurate records of listings, sourcing and authorization, Orders, shipments and tracking, returns and refunds, tax identity, and communications relating to sales through the Platform, and shall produce those records on the Company's request in connection with an investigation, dispute, appeal, audit, or legal obligation. Retention periods in a more specific policy control for records within that policy's subject.

Article 12: Liability

12.1 Exclusion of certain damages. To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, or loss of goodwill, arising out of or relating to this document, even if the party has been advised of the possibility of those damages.

12.2 Cap. To the fullest extent permitted by law, the Company's total liability arising out of or relating to this document shall not exceed the greater of (a) the amounts the Seller paid to the Company under this document in the twelve months before the event giving rise to the claim, or (b) one hundred dollars ($100).

12.3 Carve-outs. This Article does not limit (a) a party's indemnification obligations under this document; (b) liability for fraud or willful misconduct; (c) amounts the Seller owes for Orders, fees, chargebacks, or refunds under this document; or (d) liability that cannot be limited under applicable law.

12.4 Essential purpose. The parties agree that this Article allocates risk between them, that it is an essential part of the basis of their bargain, and that it applies even if a limited remedy fails of its essential purpose.

Article 13: Indemnification

13.1 Duty. The Seller shall indemnify, defend, and hold harmless the Company and its members, managers, employees, and agents from and against every claim, demand, action, loss, liability, judgment, settlement, cost, and expense (including reasonable attorneys' fees) arising out of or relating to: (a) the Seller's breach of this document; (b) the Seller's Products, Services, listings, or User Content, including product liability claims arising from a Seller's Product; (c) infringement or alleged infringement of intellectual property or other rights by the Seller's Products, listings, or User Content; (d) a product recall of the Seller's Products, including recall costs; (e) the Seller's violation of any law or of the rights of any person; and (f) taxes for which the Seller is responsible under this document.

13.2 Procedure. The Company shall give prompt written notice of a claim under this Article. The Seller shall control the defense with counsel reasonably acceptable to the Company. The Company may participate in the defense at its own expense. The Seller shall not settle a claim in a manner that imposes any obligation or restriction on the Company, or that does not release the Company fully, without the Company's prior written consent.

13.3 Survival. This Article survives the termination of this document.

Article 14: Enforcement and Appeals

14.1 Investigation. The Company may investigate any suspected violation of this document. The Seller shall cooperate with an investigation and shall produce the records this document requires the Seller to keep.

14.2 Notice. If the Company determines that the Seller has violated this document, the Company shall give written notice stating the provision violated and the facts relied on, except where notice would compromise an investigation of fraud, a safety risk, or a legal obligation.

14.3 Opportunity to cure. Where a violation is capable of cure, the Seller has ten (10) business days from notice to cure it and to confirm the cure in writing. No cure period applies to fraud, counterfeiting, a risk to the safety of a person or an animal, unlawful conduct, or a violation that by its nature cannot be cured.

14.4 Measures. If a violation is established and is not cured within the period allowed, the Company may, proportionate to the violation: (a) issue a written warning; (b) remove or suppress a listing or content; (c) cancel an Order or a booking; (d) suspend the Account or a program participation, in whole or in part; (e) terminate this document and the Account; and (f) exercise any other right or remedy available under this document or at law. The Company may hold disbursements to the Seller while an investigation under this Article is pending, and shall release amounts not required to satisfy the Seller's obligations when the investigation closes.

14.5 Appeal. The Seller may appeal a measure under this Article by written notice to legal@aapawz.com within thirty (30) days of the measure, stating the grounds and attaching the records relied on. The appeal is decided by a person who did not make the original decision. The Company's decision on appeal is final. A measure remains in effect during an appeal unless the Company directs otherwise in writing. Appeal procedure for sellers is stated in the Appeals Policy and enforcement for sellers is stated in the Seller Enforcement Policy.

14.6 No waiver by delay. The Company's delay in acting on a violation is not a waiver of the violation or of any later violation of the same kind.

Article 15: Term and Termination

15.1 Term. This document takes effect when the Seller accepts it and continues until terminated under this Article.

15.2 Termination by the Company. The Company may terminate this document and the Account on thirty (30) days' written notice for any reason, and immediately on written notice if the Seller materially breaches this document, engages in fraud, or becomes ineligible to participate.

15.3 Termination by the Seller. The Seller may terminate this document on thirty (30) days' written notice to support@aapawz.com, provided the Seller has no Order, booking, or investigation outstanding.

15.4 Effect of termination. On termination: (a) the rights granted under this document end; (b) obligations that arose before termination: including payment, refund, chargeback, record-keeping, and indemnification obligations: survive until satisfied; and (c) the Company shall disburse amounts owed, less amounts the Company may set off under this document, within thirty (30) days, except amounts held in connection with an open investigation or dispute.

15.5 Survival. The Definitions, Fees (for accrued amounts), Liability, Indemnification, Enforcement and Appeals (for measures taken before termination), Dispute Resolution, and General Provisions Articles survive termination. Articles 5 and 8 survive for Products and Services sold before termination, and Article 6 survives for settlement and setoff for sales before termination.

Article 16: Dispute Resolution

16.1 Any dispute arising out of or relating to this document, or to the relationship it governs, is governed by the Dispute Resolution Policy, which is incorporated into this document by reference. Platform handling of disputes between a Buyer and a Seller is governed by the Dispute Standards and is distinct from legal dispute resolution under the Dispute Resolution Policy.

Article 17: General Provisions

17.1 Amendments. The Company may amend this document by posting the amended document in the Document Center and giving notice to the Seller at the email address in the Account. An amendment that materially increases the Seller's fees or obligations takes effect thirty (30) days after notice; other amendments take effect on posting. Continued use of the Platform after the effective date of an amendment is acceptance of it. If the Seller does not accept an amendment, the Seller's remedy is to terminate under Article 15 before the amendment takes effect.

17.2 Notices. Legal notices under this document shall be sent to legal@aapawz.com. Operational notices and all other communications shall be sent to support@aapawz.com. A notice to the Company is effective when the Company acknowledges receipt or, for email, one business day after sending, whichever is earlier. Notices to the Seller are effective when sent to the email address in the Account or posted to the Account's notice facility in the portal, whichever occurs first. The Seller shall keep the email address in the Account current. DMCA notices are given as provided in the DMCA and Copyright Policy, to the designated agent at legal@aapawz.com.

17.3 Governing law. This document is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Subject to the Dispute Resolution Policy, any proceeding arising out of this document shall be brought in the state or federal courts located in Shelby County, Tennessee, and the parties consent to personal jurisdiction there.

17.4 Severability. If any provision of this document is held unenforceable, the provision shall be enforced to the fullest extent permitted, and the remaining provisions continue in full effect.

17.5 Entire agreement. This document, together with the documents it incorporates by reference, is the entire agreement between the Company and the Seller for the subject it governs and supersedes every prior or contemporaneous statement, communication, or agreement on that subject, whether written or oral.

17.6 Assignment. The Seller shall not assign this document or any right or obligation under it without the Company's prior written consent, and an assignment without consent is void. The Company may assign this document to an affiliate or in connection with a sale of all or part of its business, on notice to the Seller.

17.7 Waiver. A waiver of any provision of this document is effective only in writing and only for the instance stated. No waiver is a waiver of any other provision or instance.

17.8 Interpretation. Headings are for convenience only. "Including" means "including without limitation." This document shall not be construed against a party as its drafter. The English-language text controls over any translation.
