Effective Date: October 15, 2026 Version: 1.0 Applies to: All Sellers who offer Products through the Platform.
Article 1: Introduction and Scope
1.1 This Policy states the pricing rules for a Seller's offers: price accuracy, the Seller's pricing freedom and its limits, the discipline for price changes and erroneous prices, the rules for reference prices and discounts, and the prohibition on price gouging during a declared emergency. This Policy implements the Selling Terms of Service for pricing. Deceptive pricing is additionally a violation of the Selling Terms of Service.
1.2 Products sold by the Company are "Sold by Pawz Shop." Products sold by a Seller are "Sold by {Seller name}." Article 6 states the Company's pricing method for first-party offers as context; Article 6 imposes no pricing method on a Seller.
1.3 If a provision of this Policy conflicts with the Terms of Use, this Policy controls for the subject it governs. If a provision of this Policy conflicts with the terms of a program in which the Seller participates, the program terms control for that program. Policies and help pages explain this Policy; they do not amend it, and in any conflict this Policy prevails.
Article 2: Definitions
2.1 The definitions in the Selling Terms of Service apply to this Policy. The following additional terms apply to this Policy only.
2.2 Manual Override: a price a person sets deliberately for a listing. A pricing process, repricer, or synchronization process shall not overwrite a Manual Override.
2.3 Offer Price: the price a Buyer sees and pays for a Seller's offer: the current price for the listing, stated in United States dollars to the cent.
2.4 Price List: a defined list that scopes a price, identified by code, currency, and list type. One current price applies to a Product under each Price List that applies to the Product.
2.5 Reference Price: a "was," "list," or compare-at price presented beside an Offer Price.
Article 3: Pricing Freedom and Price Accuracy
3.1 Pricing freedom. The Seller sets the Seller's own prices. The Company does not set Seller prices, does not cap a Seller's margin, and does not require a Seller to match the price of the Company, of another Seller, or of a manufacturer's suggested price. This Policy imposes no price-parity obligation on a Seller beyond the accuracy duties in this Article.
3.2 The price seen is the price paid. The Offer Price shall be the price the Buyer pays, subject only to stated shipping and tax computed at checkout. A Seller shall not: (a) engage in bait pricing, meaning presentation of a price the Seller does not intend to honor; (b) engage in drip pricing, meaning concealment of a mandatory charge: including a handling, service, or packaging charge every Buyer pays: until checkout; or (c) impose a checkout surcharge beyond stated shipping and tax. A charge a Buyer cannot decline forms part of the Offer Price and shall be included in the Offer Price as presented.
3.3 Consistency. A price shall be accurate to the cent, in United States dollars, and consistent across the Offer, the Detail Page, and advertising the Seller runs through the Company's advertising program. Advertising that states a price different from the Offer Price is a violation of this Article in the advertising and bait pricing on the listing.
3.4 Variant-level pricing. Each Variant carries its own price, in accordance with the Catalog and Variant Policy. A "starting at" presentation shall reflect a Variant that exists and holds stock, in accordance with the phantom-Variant rule in the Catalog and Variant Policy.
3.5 Tax and shipping. Tax is computed at checkout and does not form part of the Offer Price; a Seller shall not include estimated tax in the Offer Price. Where a Seller offers free shipping, the shipping cost forms part of the Seller's offer economics and shall not be added at checkout. Where a Seller charges shipping, the charge shall be stated on the Offer before checkout, in accordance with the Shipping Policy.
Article 4: Price Changes, Errors, and Repricing
4.1 Currency of prices. A Seller shall keep prices current. A price change applies to Orders placed after the change. An Order in progress is honored at the price at Order placement; the Company does not reprice a placed Order when a Seller's price changes.
4.2 Price records. The Company keeps a history of price changes for a listing; the current price is the most recent price stated for the applicable Price List. A price shall be zero or positive, to the cent, from every entry surface. A Manual Override shall not be overwritten by a pricing process, a repricer, or a synchronization process.
4.3 Erroneous prices. Where a price is obviously erroneous: including a decimal error that presents a Product at a small fraction of its price: the Seller shall correct the price immediately on discovery, suspend new Orders on the listing, and contact support@aapawz.com for direction. The Seller shall not cancel Orders placed at the erroneous price in bulk without the Company's direction. An Order placed in good faith at an erroneous price is addressed as the Company directs. A pattern of erroneous prices asserted after the fact, always in the Seller's favour, is bait pricing under Article 3.2, not a series of errors. Erroneous prices are addressed under this Article rather than under the twenty-four-hour correction period in the Listing Accuracy Policy, because a Buyer can complete an Order against an erroneous price.
4.4 Repricers and automation. A Seller may use repricing rules, including a rule that matches a competitor, that prices below a competitor by a stated percentage, or that holds a floor price. A repricing rule the Seller uses shall: (a) respect the floor price the Seller sets, where a floor is set; (b) not overwrite a Manual Override; and (c) produce only genuine offers, honored on Orders placed while the price is presented, in accordance with the Search Manipulation Policy. The Seller is responsible for every price a repricing process acting for the Seller produces.
Article 5: Reference Prices and Discounts
5.1 Genuine reference prices only. A Reference Price requires a documented history of actual sales at that price on the Platform. A price the Seller intended to charge, and a manufacturer's suggested price the Seller never used as a selling price, do not establish a Reference Price. A Seller shall not invent a compare-at price.
5.2 Genuine sales. A sale price requires that the Reference Price was the actual selling price, recently and genuinely. A Product presented permanently at a sale price against a Reference Price at which no unit sold does not satisfy this Article; where the Reference Price is not genuine, the discount is not genuine and the presentation is deceptive pricing.
5.3 "Up to" discounts. An "up to X% off" statement requires that a meaningful share of the promoted assortment is offered at or near X% off. A headline discount that describes only an outlier of the assortment is deceptive.
5.4 Promotions. A discount claim in a promotion under the Promotions and Coupons Policy shall comply with this Article. Where a promotion is computed against a Reference Price the Seller supplies, the Seller is responsible for the result produced from a Reference Price the Seller fabricated.
Article 6: Company Pricing and Related Programs
6.1 For the Company's first-party and dropship assortment, the presented price is computed once, at the time the price is recorded, as supplier cost multiplied by 1.55, plus shipping: weight-tiered shipping for product sourced through the Company's PetDropshipper lane and quoted freight for product sourced through the Company's CJ Dropshipping lane: and is stored as the listing's price. A Company price is not computed at the time the price is read. A Manual Override on a Company listing is not overwritten by a Company pricing process.
6.2 The method in Article 6.1 is not a constraint on Seller pricing. A Seller is not required to use the method, to match a price produced by the method, or to price above a price produced by the method. Default offer placement is awarded on the same criteria for Company offers and Seller offers, in accordance with the Product Detail Page Policy.
6.3 Free shipping. Free shipping as a Platform benefit exists only for recurring-subscription members. A Seller that offers free shipping on the Seller's offers funds that offer; the Platform subscription shipping benefit does not extend to Seller offers.
6.4 Minimum advertised price. Where a brand enforces a minimum advertised price, the Seller's duty to the brand is a contractual matter between the Seller and the brand, governed additionally by the Minimum Advertised Price (MAP) Policy (Minimum Advertised Price (MAP) Policy) where a brand program applies. The Company does not enforce a minimum advertised price as a marketplace rule; loss of a brand authorisation by reason of a pricing breach may affect the Seller's position under the Brand Gating Policy (Sellers) (Brand Gating Policy (Sellers)).
Article 7: Price Gouging
7.1 During a declared emergency: including a natural disaster, a pandemic declaration, or another emergency the Company recognises: an excessive price increase on an essential pet supply, including food, water, medication, and a carrier, is prohibited. Excessiveness is judged against the Seller's price for the same Product before the emergency, not against the market price during the emergency. Price gouging is a serious violation: the listing is suppressed and the price reverted on detection, without a warning or a cure period.
7.2 Outside a declared emergency, a high price is not price gouging. The Company notifies Sellers when an emergency declaration begins and when the declaration ends; Article 7.1 applies only during the declaration.
Article 8: Liability
8.1 Exclusion of certain damages. To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, or loss of goodwill, arising out of or relating to this Policy, even if the party has been advised of the possibility of those damages.
8.2 Cap. To the fullest extent permitted by law, the Company's total liability arising out of or relating to this Policy shall not exceed the greater of (a) the amounts the Seller paid to the Company under this Policy in the twelve months before the event giving rise to the claim, or (b) one hundred dollars ($100).
8.3 Carve-outs. This Article does not limit (a) a party's indemnification obligations under this Policy; (b) liability for fraud or willful misconduct; (c) amounts the Seller owes for Orders, fees, chargebacks, or refunds under the Company's documents; or (d) liability that cannot be limited under applicable law.
8.4 Essential purpose. The parties agree that this Article allocates risk between them, that it is an essential part of the basis of their bargain, and that it applies even if a limited remedy fails of its essential purpose.
Article 9: Indemnification
9.1 Duty. The Seller shall indemnify, defend, and hold harmless the Company and its members, managers, employees, and agents from and against every claim, demand, action, loss, liability, judgment, settlement, cost, and expense (including reasonable attorneys' fees) arising out of or relating to: (a) the Seller's breach of this Policy; (b) the Seller's Products, Services, listings, or content, including product liability claims, intellectual property infringement claims, and product recall costs; (c) the Seller's violation of any law or of the rights of any person; and (d) taxes for which the Seller is responsible under the Company's documents.
9.2 Procedure. The Company shall give prompt written notice of a claim under this Article. The Seller shall control the defense with counsel reasonably acceptable to the Company. The Company may participate in the defense at its own expense. The Seller shall not settle a claim in a manner that imposes any obligation or restriction on the Company, or that does not release the Company fully, without the Company's prior written consent.
9.3 Survival. This Article survives the termination of this Policy.
Article 10: Enforcement and Appeals
10.1 Investigation. The Company may investigate any suspected violation of this Policy. The Seller shall cooperate with an investigation and shall produce the records this Policy requires the Seller to keep, including the price history for a listing and the records that establish a Reference Price.
10.2 Notice. If the Company determines that the Seller has violated this Policy, the Company shall give written notice stating the provision violated and the facts relied on, except where notice would compromise an investigation of fraud, a safety risk, or a legal obligation.
10.3 Opportunity to cure. Where a violation is capable of cure, the Seller has ten (10) business days from notice to cure it and to confirm the cure in writing. No cure period applies to fraud, counterfeiting, a risk to the safety of a person or an animal, unlawful conduct, price gouging during a declared emergency, or a violation that by its nature cannot be cured. Deceptive pricing: bait pricing, drip pricing, and a fabricated Reference Price: is intentional conduct and is addressed by a measure under Article 10.4 without a warning as the sole measure.
10.4 Measures. If a violation is established and is not cured within the period allowed, the Company may, proportionate to the violation: (a) issue a written warning; (b) remove or suppress a listing or content until the price is correct, strike a Reference Price that is not genuine, and, for price gouging, suppress the listing and revert the price; (c) cancel an Order; (d) suspend the Account or a program participation, in whole or in part, including for a pattern of deceptive pricing and, for a coordinated false-reference-price scheme across a catalog, suspension; (e) terminate this Policy and the Account; and (f) exercise any other right or remedy available under the Company's documents or at law.
10.5 Disbursement hold. The Company may hold disbursements to the Seller while an investigation under this Article is pending, and shall release amounts not required to satisfy the Seller's obligations when the investigation closes.
10.6 Appeal. The Seller may appeal a measure under this Article by written notice to legal@aapawz.com within thirty (30) days of the measure, stating the grounds and attaching the records relied on. The appeal is decided by a person who did not make the original decision. The Company's decision on appeal is final. A measure remains in effect during an appeal unless the Company directs otherwise in writing.
10.7 No waiver by delay. The Company's delay in acting on a violation is not a waiver of the violation or of any later violation of the same kind.
Article 11: Term and Termination
11.1 Term. This Policy takes effect when the Seller is accepted to offer Products through the Platform and continues until terminated under this Article.
11.2 Termination by the Company. The Company may terminate this Policy and the Account on thirty (30) days' written notice for any reason, and immediately on written notice if the Seller materially breaches this Policy, engages in fraud, or becomes ineligible to participate.
11.3 Termination by the Seller. The Seller may terminate this Policy on thirty (30) days' written notice to support@aapawz.com, provided the Seller has no Order or investigation outstanding.
11.4 Effect of termination. On termination: (a) the rights granted under this Policy end; (b) obligations that arose before termination: including payment, refund, chargeback, record-keeping, and indemnification obligations: survive until satisfied; and (c) the Company shall disburse amounts owed, less amounts the Company may set off under the Company's documents, within thirty (30) days, except amounts held in connection with an open investigation or dispute.
11.5 Survival. The Definitions, Liability, Indemnification, Enforcement and Appeals (for measures taken before termination), Dispute Resolution, and General Provisions Articles survive termination.
Article 12: Dispute Resolution
12.1 Any dispute arising out of or relating to this Policy, or to the relationship it governs, is governed by the Dispute Resolution Policy, which is incorporated into this Policy by reference.
Article 13: General Provisions
13.1 Amendments. The Company may amend this Policy by posting the amended Policy in the Document Center and giving notice to the Seller at the email address in the Account. An amendment that materially increases the Seller's fees or obligations takes effect thirty (30) days after notice; other amendments take effect on posting. Continued use of the Platform after the effective date of an amendment is acceptance of it. A Seller that does not accept an amendment may terminate under Article 11 before the amendment takes effect.
13.2 Notices. Legal notices under this Policy shall be sent to legal@aapawz.com. Operational notices and all other communications shall be sent to support@aapawz.com. A notice to the Company is effective when the Company acknowledges receipt or, for email, one business day after sending, whichever is earlier. Notices to the Seller are effective when sent to the email address in the Account or posted to the Account's notice facility in the portal, whichever occurs first. The Seller shall keep the email address in the Account current.
13.3 Governing law. This Policy is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Subject to the Dispute Resolution Policy, any proceeding arising out of this Policy shall be brought in the state or federal courts located in Shelby County, Tennessee, and the parties consent to personal jurisdiction there.
13.4 Severability. If any provision of this Policy is held unenforceable, the provision shall be enforced to the fullest extent permitted, and the remaining provisions continue in full effect.
13.5 Entire agreement. This Policy, together with the documents it incorporates by reference, is the entire agreement between the Company and the Seller for the subject it governs and supersedes every prior or contemporaneous statement, communication, or agreement on that subject, whether written or oral.
13.6 Assignment. The Seller shall not assign this Policy or any right or obligation under it without the Company's prior written consent, and an assignment without consent is void. The Company may assign this Policy to an affiliate or in connection with a sale of all or part of its business, on notice to the Seller.
13.7 Waiver. A waiver of any provision of this Policy is effective only in writing and only for the instance stated. No waiver is a waiver of any other provision or instance.
13.8 Interpretation. Headings are for convenience only. "Including" means "including without limitation." This Policy shall not be construed against a party as its drafter. The English-language text controls over any translation.
