Effective Date: October 15, 2026 Version: 1.0 Applies to: All Sellers who offer products or services through the Platform.
Article 1: Introduction and Scope
1.1 This document governs appeals by a Seller of an enforcement measure: a finding, a listing suppression or removal, a disbursement hold or reserve, a suspension, a termination, a remediation determination, a reinstatement denial, and an automated finding for which the Seller requests human review. Emergency measures carry the same appeal rights as any other measure.
1.2 This document does not govern: an appeal of a dispute decision, which is governed by the Dispute Standards with a 14-day period and a Senior Reviewer; a privacy rights appeal; or a chargeback at the card network. The Seller shall identify the measure appealed; a disagreement with a refund issued on the Seller's behalf is a dispute under the Dispute Standards, and a disagreement with a suspension is an appeal under this document. Where both arise, the Seller shall file each process separately; neither filing extends the period for the other.
1.3 The Seller Enforcement Policy controls the measure appealed; this document controls appeal procedure. If a provision of this document conflicts with the Terms of Use, this document controls for the subject it governs. If a provision conflicts with program terms for a program matter, the program terms control for that program.
Article 2: Definitions
2.1 The definitions in the Terms of Use and the Selling Terms of Service are incorporated into this document. The following additional definitions apply (a) Appeal: a written request under this document for review of an enforcement measure, stating grounds and attaching evidence.
(b) Measure: an enforcement action identified in Clause 1.1.
(c) Reviewer: the person who decides an Appeal and who did not make the original decision.
(d) Original Decision: the finding and Measure from which the Appeal is taken.
Article 3: Who May Appeal and What Is Appealable
3.1 The Seller of record for the affected Account, listing, or disbursement may appeal. Where a Measure affects a listing operated by an authorized team member, the Seller of record shall file the Appeal.
3.2 Appealable matters are: a finding; a Measure; a notice that omits a required element; a remediation determination; a reinstatement denial; and an automated finding.
3.3 The following are not appealable under this document: the content of the Seller Fee Schedule, for which a fee dispute under the Dispute Standards challenges application of a fee and not the existence of the fee; and the content of a policy, which is not a ground under Article 4.
Article 4: Filing, Grounds, and Evidence
4.1 Period. The Seller shall file an Appeal within thirty (30) calendar days after the Measure. A late filing may be denied as untimely, except where delay was caused by Company error or force majeure. Completion of remediation does not extend the period; the Seller shall file the Appeal and remediate in parallel where both are pursued.
4.2 Form and grounds. An Appeal is filed in Seller Center or by written notice to legal@aapawz.com, identifying the Measure, the finding type, and one or more of the following grounds: (a) material error of fact; (b) material error of policy application; (c) the violation has been remediated, as a request for reduction or lifting of the Measure and not as a claim that the finding did not occur; (d) the finding was based on incomplete or incorrect evidence; (e) procedural irregularity, including a notice that lacked a required element or a Reviewer who participated in the Original Decision; or (f) the Measure exceeds the authority for the finding type and severity.
4.3 Evidence. The Appeal shall include the evidence specified for the violation class in the notice of the Measure. For authenticity and sourcing violations: including counterfeit, intellectual property, and restricted product matters: the evidence shall include supplier invoices meeting the requirements of the Invoice Evidence for Appeals Policy and, where the brand is gated, brand authorization. An Appeal without the evidence specified for the violation class may be decided on the evidence submitted.
4.4 One Appeal per Measure. The Seller shall not file serial Appeals of the same Measure on the same grounds. New evidence not reasonably available at filing is the basis for a supplemental filing within the original Appeal, not a second Appeal.
Article 5: Acknowledgement and Reviewer Independence
5.1 The Company shall acknowledge an Appeal within 2 business days, stating the Reviewer assignment, the decision period, and whether the Measure is stayed during review.
5.2 An Appeal is decided by a Reviewer who did not make the Original Decision and who did not approve the Measure at an earlier stage. For a matter that proceeded directly to serious action under the Seller Enforcement Policy, concurrence of the legal function is required for the Original Decision, and the Reviewer shall be independent of that decision. If the Seller identifies participation by the Reviewer in the Original Decision, the Seller shall raise the objection promptly; participation so established is a procedural irregularity under Clause 4.2(e) and the Appeal shall be reassigned.
5.3 Proof of filing date is the Seller Center submission record or, where filing is by email to legal@aapawz.com, the sent email and any acknowledgement. The Seller shall retain proof of filing.
Article 6: Decision Standards, Outcomes, and Timing
6.1 The Reviewer shall examine the finding, the evidence, the Seller's submission, and the applicable policy. Review is a fresh review of the Measure; the Reviewer is not bound by the Original Decision, and evidence of remediation completed after the Measure may change the outcome.
6.2 Outcomes are: uphold (the Measure stands); modify (the Measure is reduced or substituted); reverse (the Measure is lifted and the record is annotated to show reversal, with the finding retained in the violation history as reversed); and remand (the matter is returned to the original decision-maker for further fact-finding with instructions).
6.3 The decision shall state the outcome, the reasoning, any modified remediation terms, and the finality provision in Article 8. The decision is recorded in the Appeal record with the Measure appealed, the Appeal text, the evidence, the status, the decision, the Reviewer, and the date.
6.4 Timing. Acknowledgement is governed by Clause 5.1. The Company shall issue a decision within 14 calendar days after filing, and shall decide an Appeal supported by invoice evidence within 21 calendar days, reflecting the time required to verify supplier documents under the Invoice Evidence for Appeals Policy.
Article 7: Effect of an Appeal; Stays; Disbursements
7.1 Filing an Appeal does not automatically stay the Measure. A listing suppression, a disbursement hold, and a suspension remain in effect during review.
7.2 The Reviewer may grant a stay on request where the Seller demonstrates likely success on the grounds stated and absence of ongoing Buyer harm. A stay lifts the selling restriction addressed in the stay order; a stay does not by itself release a disbursement hold.
7.3 During suspension, disbursements remain held pending resolution in accordance with the Selling Terms of Service. Release of a hold is decided separately from reinstatement of selling privileges, because held amounts may be required to satisfy open disputes, refunds, and chargebacks.
Article 8: Finality
8.1 The Company's decision on an Appeal is final within the marketplace. No further internal appeal of the same Measure lies under this document.
8.2 Completion of the appeal process under this document is a precondition to legal dispute resolution for a matter within Clause 1.1, to the extent the Selling Terms of Service and the Dispute Resolution Policy so require. The Seller shall preserve the notice, the Appeal, the evidence, and the decision for that process.
Article 9: Records
9.1 Every Appeal and decision is recorded and linked to the violation history for the Account. Appeal records are retained in accordance with the Privacy Policy and applicable law; records relating to termination, fraud, or legal matters are retained for the maximum period required by law.
9.2 The Seller may view the status of the Seller's own Appeals in Seller Center and shall not access another Seller's Appeal records.
Article 10: Liability
10.1 Exclusion of certain damages. To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, or loss of goodwill, arising out of or relating to this document, even if the party has been advised of the possibility of those damages.
10.2 Cap. To the fullest extent permitted by law, the Company's total liability arising out of or relating to this document shall not exceed the greater of (a) the amounts the Seller paid to the Company under this document in the twelve months before the event giving rise to the claim, or (b) one hundred dollars ($100).
10.3 Carve-outs. This Article does not limit (a) a party's indemnification obligations under this document; (b) liability for fraud or willful misconduct; (c) amounts the Seller owes for Orders, fees, chargebacks, or refunds under this document; or (d) liability that cannot be limited under applicable law.
10.4 Essential purpose. The parties agree that this Article allocates risk between them, that it is an essential part of the basis of their bargain, and that it applies even if a limited remedy fails of its essential purpose.
Article 11: Indemnification
11.1 Duty. The Seller shall indemnify, defend, and hold harmless the Company and its members, managers, employees, and agents from and against every claim, demand, action, loss, liability, judgment, settlement, cost, and expense (including reasonable attorneys' fees) arising out of or relating to: (a) the Seller's breach of this document; (b) the Seller's Products, Services, listings, or User Content, including product liability claims; (c) infringement or alleged infringement of intellectual property or other rights by the Seller's Products, listings, or User Content; (d) a product recall of the Seller's Products, including recall costs; (e) the Seller's violation of any law or of the rights of any person; and (f) taxes for which the Seller is responsible under this document.
11.2 Procedure. The Company shall give prompt written notice of a claim under this Article. The Seller shall control the defense with counsel reasonably acceptable to the Company. The Company may participate in the defense at its own expense. The Seller shall not settle a claim in a manner that imposes any obligation or restriction on the Company, or that does not release the Company fully, without the Company's prior written consent.
11.3 Survival. This Article survives the termination of this document.
Article 12: Enforcement and Appeals
12.1 Investigation. The Company may investigate any suspected violation of this document. The Seller shall cooperate with an investigation and shall produce the records this document requires the Seller to keep.
12.2 Notice. If the Company determines that the Seller has violated this document, the Company shall give written notice stating the provision violated and the facts relied on, except where notice would compromise an investigation of fraud, a safety risk, or a legal obligation.
12.3 Opportunity to cure. Where a violation is capable of cure, the Seller has ten (10) business days from notice to cure it and to confirm the cure in writing. No cure period applies to fraud, counterfeiting, a risk to the safety of a person or an animal, unlawful conduct, or a violation that by its nature cannot be cured.
12.4 Measures. If a violation is established and is not cured within the period allowed, the Company may, proportionate to the violation: (a) issue a written warning; (b) remove or suppress a listing or content; (c) cancel an Order or a booking; (d) suspend the Account or a program participation, in whole or in part; (e) terminate the Selling Terms of Service and the Account; and (f) exercise any other right or remedy available under this document or at law. The Company may hold disbursements to the Seller while an investigation under this Article is pending, and shall release amounts not required to satisfy the Seller's obligations when the investigation closes.
12.5 Appeal. An appeal of a measure under this Article is governed by Articles 1 through 9 of this document, with written notice to legal@aapawz.com within thirty (30) days of the measure. A measure remains in effect during an appeal unless the Company directs otherwise in writing.
12.6 No waiver by delay. The Company's delay in acting on a violation is not a waiver of the violation or of any later violation of the same kind.
Article 13: Term and Termination
13.1 Term. This document takes effect when the Seller is accepted to sell through the Platform and continues until terminated under this Article.
13.2 Termination by the Company. The Company may terminate this document and the Account on thirty (30) days' written notice for any reason, and immediately on written notice if the Seller materially breaches this document, engages in fraud, or becomes ineligible to participate.
13.3 Termination by the Seller. The Seller may terminate this document on thirty (30) days' written notice to support@aapawz.com, provided the Seller has no Order, booking, or investigation outstanding.
13.4 Effect of termination. On termination: (a) the rights granted under this document end; (b) obligations that arose before termination: including payment, refund, chargeback, record-keeping, and indemnification obligations: survive until satisfied; and (c) the Company shall disburse amounts owed, less amounts the Company may set off under the Selling Terms of Service, within thirty (30) days, except amounts held in connection with an open investigation or dispute.
13.5 Survival. The Definitions, Liability, Indemnification, Enforcement and Appeals (for measures taken before termination), Dispute Resolution, and General Provisions Articles survive termination.
Article 14: Dispute Resolution
14.1 Any dispute arising out of or relating to this document, or to the relationship it governs, is governed by the Dispute Resolution Policy, which is incorporated into this document by reference.
Article 15: General Provisions
15.1 Amendments. The Company may amend this document by posting the amended document in the Document Center and giving notice to the Seller at the email address in the Account. An amendment that materially increases the Seller's fees or obligations takes effect thirty (30) days after notice; other amendments take effect on posting. Continued use of the Platform after the effective date of an amendment is acceptance of it. If the Seller does not accept an amendment, the Seller's remedy is to terminate under Article 13 before the amendment takes effect.
15.2 Notices. Legal notices under this document shall be sent to legal@aapawz.com. Operational notices and all other communications shall be sent to support@aapawz.com. A notice to the Company is effective when the Company acknowledges receipt or, for email, one business day after sending, whichever is earlier. Notices to the Seller are effective when sent to the email address in the Account or posted to the Account's notice facility in the portal, whichever occurs first. The Seller shall keep the email address in the Account current. DMCA notices are given as provided in the DMCA and Copyright Policy, to the designated agent at legal@aapawz.com.
15.3 Governing law. This document is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Subject to the Dispute Resolution Policy, any proceeding arising out of this document shall be brought in the state or federal courts located in Shelby County, Tennessee, and the parties consent to personal jurisdiction there.
15.4 Severability. If any provision of this document is held unenforceable, the provision shall be enforced to the fullest extent permitted, and the remaining provisions continue in full effect.
15.5 Entire agreement. This document, together with the documents it incorporates by reference, is the entire agreement between the Company and the Seller for the subject it governs and supersedes every prior or contemporaneous statement, communication, or agreement on that subject, whether written or oral.
15.6 Assignment. The Seller shall not assign this document or any right or obligation under it without the Company's prior written consent, and an assignment without consent is void. The Company may assign this document to an affiliate or in connection with a sale of all or part of its business, on notice to the Seller.
15.7 Waiver. A waiver of any provision of this document is effective only in writing and only for the instance stated. No waiver is a waiver of any other provision or instance.
15.8 Interpretation. Headings are for convenience only. "Including" means "including without limitation." This document shall not be construed against a party as its drafter. The English-language text controls over any translation.
