Effective Date: October 15, 2026 Version: 1.0 Applies to: All Sellers who receive disbursements through the Platform.
Article 1: Introduction and Scope
1.1 This document states how amounts collected for a Seller are settled and disbursed: the disbursement cycle, what a disbursement nets out, the account to which disbursements are made, the treatment of failed disbursements and negative balances, and the final settlement made when the Seller's relationship with the Company ends. Holds and reserves that affect disbursement are governed by the New Seller Payment Hold and the Payment Holds and Reserves Policy; statements are governed by the Statement and Reconciliation Policy.
1.2 If a provision of this document conflicts with the Terms of Use, this document controls for the subject it governs. If a provision of this document conflicts with the terms of a program in which the Seller participates, the program terms control for that program. Policies and help pages explain this document; they do not amend it, and in any conflict this document prevails.
Article 2: Definitions
2.1 The definitions in the Selling Terms of Service apply to this document. In addition, in this document 2.2 Cycle: a disbursement period of fourteen (14) days.
2.3 Designated Payment Account: the bank account the Seller has designated and the Company has verified as the account to which disbursements to the Seller are made. The Seller designates one account as the default; disbursements are made to the default account unless the Seller designates another verified account.
2.4 Disbursement: a payment of amounts owed to the Seller to the Designated Payment Account.
2.5 Final Settlement: the settlement of all amounts owed between the Company and the Seller following termination, made in accordance with Article 8.
2.6 Negative Balance: an amount by which the amounts the Seller owes the Company under the Selling Terms of Service exceed the amounts held for the Seller, so that the Seller's balance is below zero.
Article 3: The Disbursement Cycle
3.1 Disbursements are made on a fourteen (14) day Cycle to the Designated Payment Account, net of fees, holds, reserves, refunds, and chargebacks. The Cycle is the accounting period: everything the Seller earned, owed, and had held during the Cycle nets into one Disbursement.
3.2 Within the Cycle, amounts become available for disbursement on a rolling delay of seven (7) to fourteen (14) days from the underlying charge, as further provided in the Payment Holds and Reserves Policy. The Cycle determines when the accounts are settled; the delay determines when a given amount becomes available for disbursement.
3.3 The Company shall initiate a Disbursement within one (1) business day of the close of a Cycle. Funds reach the Designated Payment Account within three (3) business days of initiation. Each Disbursement carries a status the Seller may read in the Seller's account record: scheduled, in transit, paid, or failed.
Article 4: What a Disbursement Nets Out
4.1 Each Disbursement is supported by a statement showing, per Order: the gross amount collected; the referral fee; the Closing Fee; program fees; refunds issued; chargebacks; adjustments; amounts retained under a hold; amounts retained as a reserve; amounts released from a reserve; and the net Disbursement. Statements are governed by the Statement and Reconciliation Policy.
4.2 By way of illustration, a Cycle in which $4,200.00 was collected, $180.00 was refunded, a chargeback of $95.00 was lost, and $310.00 was retained under a hold nets those amounts, together with the fees stated in the Seller Fee Schedule and any reserve retained or released, into a single net Disbursement. Every line of the statement traces to a line in the Seller's account record; the statement is the readable form of that record.
4.3 The Seller may dispute a statement in accordance with the Dispute Standards within sixty (60) calendar days of the statement's issuance. The Company shall resolve a statement dispute within ten (10) business days.
Article 5: The Designated Payment Account; Failed Disbursements
5.1 The Seller shall keep the details of the Designated Payment Account current. A Disbursement to an account that is no longer in the Seller's legal name is blocked pending re-verification in accordance with the Business Verification Policy.
5.2 Where a Disbursement fails: including because the bank account is closed, the routing details are incorrect, or the account holder's name does not match the Seller's legal name: the Company shall notify the Seller within one (1) business day, stating the reason, and shall re-attempt the Disbursement on corrected details. A failed Disbursement is marked failed with its reason in the Seller's account record. Funds affected by a failed Disbursement remain credited to the Seller and are not forfeited.
5.3 Where a bank accepts a Disbursement and later returns it, the returned amount is credited back to the Seller's balance, the Disbursement is marked failed with the return reason given by the bank, the Seller is notified with that reason, and the amount is included in the net of the next Cycle.
5.4 A failed Disbursement is re-attempted on the next business day after corrected details are supplied, and thereafter weekly until it succeeds or the payment method is suspended under clause 5.5. The Seller shall be notified of each attempt and each failure.
5.5 After three (3) consecutive failed Disbursements to the same payment method, the method is suspended and the Seller shall complete re-verification in accordance with the Business Verification Policy before disbursements resume. Amounts continue to accrue to the Seller's balance while a method is suspended.
Article 6: Negative Balances
6.1 A Cycle may net to a Negative Balance, including where a refund is issued or a chargeback is lost after the underlying amounts were disbursed. A Negative Balance is a debt of the Seller.
6.2 A Negative Balance is collected in the following order: first, by setoff against later disbursements and credits to the Seller's balance; second, by recovery from the Seller's payment account or linked bank account in accordance with the Selling Terms of Service. The Company shall notify the Seller of each collection action, stating the Order, the reason, and the amount.
6.3 No interest or late fee is charged on a Negative Balance. No such fee is stated in the Seller Fee Schedule, and none may be imposed.
Article 7: Minimum Disbursement Amount
7.1 The Company may set a minimum amount below which a balance is not disbursed in a Cycle. The minimum amount in force is published in the Seller Center before it is applied. A balance below the minimum rolls forward to the next Cycle. A balance is never forfeited, and does not expire, because it is below the minimum.
Article 8: Final Settlement on Termination
8.1 On termination of the Seller's participation, for any reason, the Final Settlement is made after all holds, refunds, and disputes affecting the Seller's amounts have cleared. The standard clearing period is ninety (90) days from delivery of the Seller's last Order. The Company may extend the clearing period where chargeback exposure remains; a chargeback may be presented up to one hundred twenty (120) days after the underlying charge under card network rules.
8.2 Setoff applies first. Refunds, chargebacks, penalties, and fees the Seller owes are deducted before any final Disbursement. A Negative Balance remaining after setoff is a debt of the Seller, which the Company may collect in accordance with clause 6.2, including recovery from the linked bank account in accordance with the Selling Terms of Service.
8.3 The Company shall disburse the amount owed to the Seller on Final Settlement, less amounts set off under clause 8.2, promptly after the clearing period ends, except amounts held in connection with an open investigation or dispute, which are disbursed when the investigation or dispute closes to the extent they are not required to satisfy the Seller's obligations.
8.4 During the clearing period, the Seller retains read access to statements and to the Seller's account record. Termination does not extinguish the Seller's right to dispute a deduction during the clearing period through the dispute paths in the Dispute Standards.
8.5 Amounts that remain unclaimed after the clearing period are handled in accordance with applicable state unclaimed-property law. The Company does not retain unclaimed amounts. Where the Seller cannot be reached after documented attempts, the amounts are remitted to the state of the Seller's last known address in accordance with that law.
8.6 Where participation is terminated on a finding under the Fraud and Abuse: Zero Tolerance Policy (Fraud and Abuse — Zero Tolerance), disbursements are frozen immediately on the finding and amounts derived from fraud are dealt with as that policy provides; such amounts are not part of the Final Settlement.
Article 9: Liability
9.1 Exclusion of certain damages. To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, or loss of goodwill, arising out of or relating to this document, even if the party has been advised of the possibility of those damages.
9.2 Cap. To the fullest extent permitted by law, the Company's total liability arising out of or relating to this document shall not exceed the greater of (a) the amounts the Seller paid to the Company under this document in the twelve months before the event giving rise to the claim, or (b) one hundred dollars ($100).
9.3 Carve-outs. This Article does not limit (a) a party's indemnification obligations under this document; (b) liability for fraud or willful misconduct; (c) amounts the Seller owes for Orders, fees, chargebacks, or refunds under this document; or (d) liability that cannot be limited under applicable law.
9.4 Essential purpose. The parties agree that this Article allocates risk between them, that it is an essential part of the basis of their bargain, and that it applies even if a limited remedy fails of its essential purpose.
Article 10: Indemnification
10.1 Duty. The Seller shall indemnify, defend, and hold harmless the Company and its members, managers, employees, and agents from and against every claim, demand, action, loss, liability, judgment, settlement, cost, and expense (including reasonable attorneys' fees) arising out of or relating to: (a) the Seller's breach of this document; (b) the Seller's Products, Services, listings, or User Content; (c) the Seller's violation of any law or of the rights of any person; and (d) taxes for which the Seller is responsible under this document.
10.2 Procedure. The Company shall give prompt written notice of a claim under this Article. The Seller shall control the defense with counsel reasonably acceptable to the Company. The Company may participate in the defense at its own expense. The Seller shall not settle a claim in a manner that imposes any obligation or restriction on the Company, or that does not release the Company fully, without the Company's prior written consent.
10.3 Survival. This Article survives the termination of this document.
Article 11: Enforcement and Appeals
11.1 Investigation. The Company may investigate any suspected violation of this document. The Seller shall cooperate with an investigation and shall produce the records this document requires the Seller to keep.
11.2 Notice. If the Company determines that the Seller has violated this document, the Company shall give written notice stating the provision violated and the facts relied on, except where notice would compromise an investigation of fraud, a safety risk, or a legal obligation.
11.3 Opportunity to cure. Where a violation is capable of cure, the Seller has ten (10) business days from notice to cure it and to confirm the cure in writing. No cure period applies to fraud, counterfeiting, a risk to the safety of a person or an animal, unlawful conduct, or a violation that by its nature cannot be cured.
11.4 Measures. If a violation is established and is not cured within the period allowed, the Company may, proportionate to the violation: (a) issue a written warning; (b) remove or suppress a listing or content; (c) cancel an Order or a booking; (d) suspend the Account or a program participation, in whole or in part; (e) terminate this document and the Account; and (f) exercise any other right or remedy available under this document or at law.
11.5 Disbursement hold. The Company may hold disbursements to the Seller while an investigation under this Article is pending, and shall release amounts not required to satisfy the Seller's obligations when the investigation closes.
11.6 Appeal. The Seller may appeal a measure under this Article by written notice to legal@aapawz.com within thirty (30) days of the measure, stating the grounds and attaching the records relied on. The appeal is decided by a person who did not make the original decision. The Company's decision on appeal is final. A measure remains in effect during an appeal unless the Company directs otherwise in writing.
11.7 No waiver by delay. The Company's delay in acting on a violation is not a waiver of the violation or of any later violation of the same kind.
Article 12: Term and Termination
12.1 Term. This document takes effect when the Seller is accepted to offer Products through the Platform and continues until terminated under this Article.
12.2 Termination by the Company. The Company may terminate this document and the Account on thirty (30) days' written notice for any reason, and immediately on written notice if the Seller materially breaches this document, engages in fraud, or becomes ineligible to participate.
12.3 Termination by the Seller. The Seller may terminate this document on thirty (30) days' written notice to support@aapawz.com, provided the Seller has no Order, booking, or investigation outstanding.
12.4 Effect of termination. On termination: (a) the rights granted under this document end; (b) obligations that arose before termination: including payment, refund, chargeback, record-keeping, and indemnification obligations: survive until satisfied; and (c) the Final Settlement is made in accordance with Article 8, which governs the timing of the final Disbursement in place of any shorter period.
12.5 Survival. The Definitions, Liability, Indemnification, Enforcement and Appeals (for measures taken before termination), Dispute Resolution, and General Provisions Articles survive termination.
Article 13: Dispute Resolution
13.1 Any dispute arising out of or relating to this document, or to the relationship it governs, is governed by the Dispute Resolution Policy, which is incorporated into this document by reference.
Article 14: General Provisions
14.1 Amendments. The Company may amend this document by posting the amended document in the Document Center and giving notice to the Seller at the email address in the Account. An amendment that materially increases the Seller's fees or obligations takes effect thirty (30) days after notice; other amendments take effect on posting. Continued use of the Platform after the effective date of an amendment is acceptance of it. If the Seller does not accept an amendment, the Seller's remedy is to terminate under Article 12 before the amendment takes effect.
14.2 Notices. (a) Legal notices under this document shall be sent to legal@aapawz.com. Operational notices and all other communications shall be sent to support@aapawz.com. The Company may assign this document to an affiliate or in connection with a sale of all or part of its business, on notice to the Seller.
14.7 Waiver. A waiver of any provision of this document is effective only in writing and only for the instance stated. No waiver is a waiver of any other provision or instance.
