Effective Date: October 15, 2026 Version: 1.0 Applies to: All Sellers who offer Products through the Platform.
Article 1: Introduction and Scope
1.1 This Policy states the Seller's duties when a Product the Seller sold through the Platform is recalled: the stop-sale, quarantine, and notice duties that arise in the first twenty-four (24) hours, the Seller's support of Buyer notification, the execution timelines, and the allocation of recall costs. The platform rule for recalls, including the Buyer's remedy and the allocation of recall costs, is stated in the Product Recall Policy, which is incorporated into this Policy by reference; this Policy states the Seller's obligations under that rule and does not restate it.
1.2 A recall is a safety action, not a return. For a recalled Product, this Policy controls over the Return and Refund Policy: Sellers (Return and Refund Policy — Sellers): return windows, restocking fees, and packaging conditions do not apply to a recall remedy. The recall terms, not the Seller and not the Buyer, determine the remedy.
1.3 If a provision of this Policy conflicts with the Terms of Use, this Policy controls for the subject it governs. If a provision of this Policy conflicts with the terms of a program in which the Seller participates, the program terms control for that program. The recall authority of the U.S. Consumer Product Safety Commission, the U.S. Food and Drug Administration, and the U.S. Environmental Protection Agency controls over this Policy where an order or a recall instruction directs a different action.
Article 2: Definitions
2.1 Account: the account a person or business establishes with the Company to use the Platform.
2.2 Affected Lots: the production lots a Recall covers, identified by lot numbers and date ranges.
2.3 Buyer: a person who purchases Products or Services through the Platform.
2.4 Company: All About Pawz, LLC, a Tennessee limited liability company.
2.5 Order: a Buyer's purchase of Products or Services through the Platform, accepted in accordance with the Order Formation and Acceptance Policy.
2.6 Platform: the websites, applications, and services the Company operates under the name All About Pawz, including aapawz.com.
2.7 Products: goods offered for sale through the Platform.
2.8 Recall: a manufacturer-, regulator-, or Company-initiated action to remove a hazardous Product from sale and from Buyers' possession, including a voluntary manufacturer recall, a recall ordered by the U.S. Consumer Product Safety Commission, an action of the U.S. Food and Drug Administration, and a registration suspension, cancellation, or stop-sale order of the U.S. Environmental Protection Agency.
2.9 Recall Notice: the manufacturer notice, regulator order, or Company notice that identifies a Recall and the Products and Affected Lots it covers.
2.10 Recall Remedy: the remedy the Recall terms define for the Buyer: refund, replacement, or repair, as the Recall terms state.
2.11 Seller: a person or business the Company has accepted to offer Products or Services through the Platform.
Article 3: Duties on Notice: The First Twenty-Four Hours
3.1 The Seller's duties arise when the Seller learns of the Recall, from any source: a manufacturer notice, a regulator order, a Company notice, or credible knowledge from any other source. Knowledge is knowledge; a Seller that has seen a regulator's recall announcement does not defer action until a manufacturer's letter arrives.
3.2 Within twenty-four (24) hours of learning of the Recall, the Seller shall (a) Stop sale: deactivate every listing for the affected Product and Affected Lots, so that the Product is not sellable. A reduction of stated stock is not a stop-sale;
(b) Quarantine inventory: segregate every affected unit in the Seller's possession, in each warehouse and storage location, in inbound shipments, and in transit under the Seller's control, and mark the quarantined inventory so that no unit is picked, packed, or sold;
(c) Notify the Company: send the Recall Notice or order, the Affected Lots and date ranges, the current inventory counts by lot and location, and the number of units already sold, to support@aapawz.com. Lot numbers are not optional; a Seller that does not track lots is in breach of the lot-record duty in Article 8; and
(d) Preserve records: preserve purchase records, lot records, shipment records, and Buyer communications. No record is deleted, edited, or rearranged during a Recall.
3.3 During a Recall, the Seller shall not destroy, return to the supplier, donate, or liquidate recalled inventory. Disposition follows the Recall instructions: destruction under the stated protocol, return to the manufacturer under the stated protocol, or holding pending the protocol. Shipping recalled units to a liquidator is interference under Article 6.
3.4 Where the Company learns of a Recall first, the Company notifies the Seller on confirmation, and the Seller's twenty-four (24) hours run from that notice.
Article 4: Buyer Notification Support
4.1 The Company notifies affected Buyers from Order records: the Buyer who purchased the Product, the lots involved, and the dates of purchase. The Seller shall supply each item of Buyer-list and lot-level sales data the Company requests to complete the notification, within one (1) business day of the request. Each day of delay is a day an affected Buyer continues to use a hazardous Product.
4.2 The notification states the Product, the hazard, the Affected Lots and the means of identifying them, the instruction for the Product: cessation of use and the manner of return or disposal: and the Recall Remedy with instructions to claim it. The notification is written in plain language, with the hazard stated first.
4.3 The Seller shall honor the Recall Remedy without applying return windows, restocking fees, or original-packaging conditions from the Return and Refund Policy: Sellers (Return and Refund Policy — Sellers). A recall refund is not a return, and the returns machinery does not apply to it.
4.4 The Seller shall perform the physical remedy the Recall instructions direct: receiving returns and processing replacements: as part of the Seller's duties under this Policy.
Article 5: Costs
5.1 The Seller funds the Recall Remedy for Products the Seller sold: the refund, and the reasonable return-shipping or disposal costs the Recall terms impose, allocated as the Product Recall Policy states. The Seller sold the Product, and the Seller bears the remedy cost in the first instance.
5.2 Where the Recall is manufacturer-funded under a defined reimbursement path, the Seller shall follow that path: submit the claims the path requires, track the claims, and accept the Company's adjustment of the Seller's charges as reimbursements are received. The Seller shall not delay a Buyer's refund pending a manufacturer's reimbursement. The Buyer is made whole first; the Seller's reimbursement follows.
5.3 Where the Seller is also the manufacturer or the importer of the recalled Product, no reimbursement path exists, and the Seller funds the Recall in full.
Article 6: Interference
6.1 The following are prohibited without qualification: (a) continuing to sell a recalled Product after knowledge of the Recall; (b) destroying recall evidence or recalled inventory outside the Recall protocol; (c) obstructing a Recall; and (d) notifying Buyers selectively to suppress the apparent scope of a Recall. Interference is governed by the Fraud and Abuse: Zero Tolerance (Fraud and Abuse — Zero Tolerance), under which no warning precedes an account-level measure.
6.2 Relisting a recalled Product without documented completion of the Recall Remedy: the Recall closed, the units remediated or destroyed, and the records filed: is a new listing of a Prohibited Product under the Prohibited Products Policy.
Article 7: Execution Timelines and Closure
7.1 Stop-sale and quarantine are completed within twenty-four (24) hours of knowledge, under Article 3.2.
7.2 Buyer notification is sent by the Company within two (2) business days of the establishment of the Recall scope: Product and Affected Lots confirmed. The Seller's data under Article 4.1 is due within one (1) business day of the Company's request.
7.3 Remedy execution. A refund is issued within five (5) business days of the Buyer's remedy claim. A replacement is shipped within the Seller's stated handling time once the replacement Product is verified as unaffected. The Seller shall report remedy completion counts to the Company weekly until the Recall closes.
7.4 Closure. A Recall closes when the affected inventory is accounted for: remediated, destroyed, or returned under the protocol: the affected Buyers are notified, and the remedies are issued or have expired under the Recall terms. Closure is documented, and the closure record is retained under Article 8.
Article 8: Voluntary Action and Records
8.1 A Seller that discovers a hazard in the Seller's own Product, before any regulator or manufacturer acts, shall stop sale, quarantine the inventory, and notify the Company under Article 3. Self-reported hazards are handled as safety cooperation; the cooperation is recorded and weighs in the Seller's favor in any measure under Article 11. A silent withdrawal: removing a listing without notice while Buyers continue to use units already sold: is not a Recall and does not satisfy this Policy.
8.2 The Seller shall keep a complete recall record for each Recall affecting the Seller's Products: the Recall Notice, the scope determination, the listings deactivated, the inventory quarantined and its disposition, the Orders cancelled, the Buyer data supplied, and the remedies executed. The record is retained for the longest period the applicable law requires, which may exceed the period for ordinary transaction records, and is produced on the Company's request. The Seller shall maintain lot records for consumable and regulated Products sufficient to execute Article 3, as the Pet Food and Treats Policy and the Flea, Tick and Pesticide Products Policy require for their categories.
Article 9: Liability
9.1 Exclusion of certain damages. To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, or loss of goodwill, arising out of or relating to this Policy, even if the party has been advised of the possibility of those damages.
9.2 Cap. To the fullest extent permitted by law, the Company's total liability arising out of or relating to this Policy shall not exceed the greater of (a) the amounts the Seller paid to the Company under this Policy in the twelve months before the event giving rise to the claim, or (b) one hundred dollars ($100).
9.3 Carve-outs. This Article does not limit (a) a party's indemnification obligations under this Policy; (b) liability for fraud or willful misconduct; (c) amounts the Seller owes for Orders, fees, chargebacks, refunds, or recall costs under this Policy, including recall costs allocated under Article 5; or (d) liability that cannot be limited under applicable law.
9.4 Essential purpose. The parties agree that this Article allocates risk between them, that it is an essential part of the basis of their bargain, and that it applies even if a limited remedy fails of its essential purpose.
Article 10: Indemnification
10.1 Duty. The Seller shall indemnify, defend, and hold harmless the Company and its members, managers, employees, and agents from and against every claim, demand, action, loss, liability, judgment, settlement, cost, and expense (including reasonable attorneys' fees) arising out of or relating to: (a) the Seller's breach of this Policy; (b) the Seller's Products, listings, or content, including product liability claims, intellectual property infringement claims, and product recall costs; (c) the Seller's violation of any law or of the rights of any person; and (d) taxes for which the Seller is responsible under the Company's documents.
10.2 Procedure. The Company shall give prompt written notice of a claim under this Article. The Seller shall control the defense with counsel reasonably acceptable to the Company. The Company may participate in the defense at its own expense. The Seller shall not settle a claim in a manner that imposes any obligation or restriction on the Company, or that does not release the Company fully, without the Company's prior written consent.
10.3 Survival. This Article survives the termination of this Policy.
Article 11: Enforcement and Appeals
11.1 Investigation. The Company may investigate any suspected violation of this Policy. The Seller shall cooperate with an investigation and shall produce the records this Policy requires the Seller to keep.
11.2 Notice. If the Company determines that the Seller has violated this Policy, the Company shall give written notice stating the provision violated and the facts relied on, except where notice would compromise an investigation of fraud, a safety risk, or a legal obligation.
11.3 Opportunity to cure. Where a violation is capable of cure, the Seller has ten (10) business days from notice to cure it and to confirm the cure in writing. No cure period applies to fraud, counterfeiting, a risk to the safety of a person or an animal, unlawful conduct, or a violation that by its nature cannot be cured. No cure period applies to a failure to stop sale or quarantine under Article 3, or to interference under Article 6.
11.4 Measures. If a violation is established and is not cured within the period allowed, the Company may, proportionate to the violation: (a) issue a written warning; (b) remove or suppress a listing or content; (c) cancel an Order; (d) suspend the Account, in whole or in part; (e) terminate this Policy and the Account; and (f) exercise any other right or remedy available under this Policy or at law. Failure to supply Buyer data under Article 4.1 is a separate violation, because the notification cannot proceed without the Seller's data. A listing suppression imposed as part of a Recall is a safety action under Article 3 and the Product Recall Policy, and is not subject to appeal as a listing action; a Seller that believes its stock is outside the Recall scope may submit lot records and sourcing evidence through support@aapawz.com, and the listing remains suppressed while the Company evaluates the evidence.
11.5 Appeal. The Seller may appeal a measure under this Article by written notice to legal@aapawz.com within thirty (30) days of the measure, stating the grounds and attaching the records relied on. The appeal is decided by a person who did not make the original decision. The Company's decision on appeal is final. A measure remains in effect during an appeal unless the Company directs otherwise in writing.
11.6 Disbursement holds. The Company may hold disbursements to the Seller while an investigation under this Article is pending, and shall release amounts not required to satisfy the Seller's obligations when the investigation closes. The Company may also hold disbursements in an amount required to fund Recall Remedies the Seller has not yet executed, and shall release the balance when the Recall closes.
11.7 No waiver by delay. The Company's delay in acting on a violation is not a waiver of the violation or of any later violation of the same kind.
Article 12: Term and Termination
12.1 Term. This Policy takes effect when the Seller is accepted to offer Products through the Platform and continues until terminated under this Article.
12.2 Termination by the Company. The Company may terminate this Policy and the Account on thirty (30) days' written notice for any reason, and immediately on written notice if the Seller materially breaches this Policy, engages in fraud, or becomes ineligible to participate.
12.3 Termination by the Seller. The Seller may terminate this Policy on thirty (30) days' written notice to support@aapawz.com, provided the Seller has no Order, Recall, or investigation outstanding.
12.4 Effect of termination. On termination: (a) the rights granted under this Policy end; (b) obligations that arose before termination: including payment, refund, chargeback, recall, record-keeping, and indemnification obligations: survive until satisfied; and (c) the Company shall disburse amounts owed, less amounts the Company may set off under this Policy, within thirty (30) days, except amounts held in connection with an open investigation, dispute, or Recall.
12.5 Survival. The Definitions, Liability, Indemnification, Enforcement and Appeals (for measures taken before termination), Dispute Resolution, and General Provisions Articles survive termination.
Article 13: Dispute Resolution
13.1 Any dispute arising out of or relating to this Policy, or to the relationship it governs, is governed by the Dispute Resolution Policy, which is incorporated into this Policy by reference.
Article 14: General Provisions
14.1 Amendments. The Company may amend this Policy by posting the amended Policy in the Document Center and giving notice to the Seller at the email address in the Account. An amendment that materially increases the Seller's fees or obligations takes effect thirty (30) days after notice; other amendments take effect on posting. Continued use of the Platform after the effective date of an amendment is acceptance of it. If the Seller does not accept an amendment, the Seller's remedy is to terminate under Article 12 before the amendment takes effect.
14.2 Notices. Legal notices under this Policy shall be sent to legal@aapawz.com. Operational notices and all other communications shall be sent to support@aapawz.com. A notice to the Company is effective when the Company acknowledges receipt or, for email, one business day after sending, whichever is earlier. Notices to the Seller are effective when sent to the email address in the Account or posted to the Account's notice facility in the portal, whichever occurs first. The Seller shall keep the email address in the Account current.
14.3 Governing law. This Policy is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Subject to the Dispute Resolution Policy, any proceeding arising out of this Policy shall be brought in the state or federal courts located in Shelby County, Tennessee, and the parties consent to personal jurisdiction there.
14.4 Severability. If any provision of this Policy is held unenforceable, the provision shall be enforced to the fullest extent permitted, and the remaining provisions continue in full effect.
14.5 Entire agreement. This Policy, together with the documents it incorporates by reference, is the entire agreement between the Company and the Seller for the subject it governs and supersedes every prior or contemporaneous statement, communication, or agreement on that subject, whether written or oral.
14.6 Assignment. The Seller shall not assign this Policy or any right or obligation under it without the Company's prior written consent, and an assignment without consent is void. The Company may assign this Policy to an affiliate or in connection with a sale of all or part of its business, on notice to the Seller.
14.7 Waiver. A waiver of any provision of this Policy is effective only in writing and only for the instance stated. No waiver is a waiver of any other provision or instance.
14.8 Interpretation. Headings are for convenience only. "Including" means "including without limitation." This Policy shall not be construed against a party as its drafter. The English-language text controls over any translation.
