Effective Date: October 15, 2026 Version: 1.0 Applies to: All Sellers enrolled in, or applying for enrollment in, Fulfillment by Pawz Shop.
Article 1: Introduction and Scope
1.1 These Program Terms govern Fulfillment by Pawz Shop, the program under which a Seller delivers inventory to the Company and the Company stores the inventory, picks, packs, and ships Orders for that inventory, and receives and processes returns of that inventory. The Seller remains the seller of the Products: the Seller holds the listing, sets the price, and contracts with the Buyer. Products sold by a Seller are "Sold by {Seller name}"; the program changes who fulfills the Order, not who sells the Product.
1.2 For an Order fulfilled under the program, these Program Terms control over the Fulfillment Policy, the Shipping Policy, the Tracking Policy, and the Packaging Policy, which do not apply to a program Order and continue to apply to every Order the Seller fulfills directly. On a conflict between these Program Terms and the Selling Terms of Service, the Selling Terms of Service controls.
1.3 First-party dropship supply: the Company's own sourcing for Products sold as "Sold by Pawz Shop": is not part of the program and never passes through it, as governed by the Dropshipping Policy.
Article 2: Definitions
2.1 Account: the account a person or business establishes with the Company to use the Platform.
2.2 Buyer: a person who purchases Products or Services through the Platform.
2.3 Company: All About Pawz, LLC, a Tennessee limited liability company.
2.4 Declared Value: the value of a unit of Program Inventory recorded at check-in for the inbound shipment, as declared by the Seller in the inbound plan and recorded by the Company on receipt, under Article 5.3.
2.5 Fulfillment Center: a facility the Company operates or engages for the storage and fulfillment of Program Inventory.
2.6 Inbound Shipment: a shipment of Program Inventory from the Seller to a Fulfillment Center under an inbound plan, recorded by shipment reference, tracking number, carrier, items, and standing.
2.7 Order: a Buyer's purchase of Products or Services through the Platform, accepted in accordance with the Order Formation and Acceptance Policy.
2.8 Platform: the websites, applications, and services the Company operates under the name All About Pawz, including aapawz.com.
2.9 Products: goods offered for sale through the Platform.
2.10 Program Inventory: Products the Seller delivers to a Fulfillment Center under the program and that the Company holds for fulfillment of the Seller's Orders.
2.11 Program Order: an Order fulfilled from Program Inventory under the program.
2.12 Seller: a person or business the Company has accepted to offer Products or Services through the Platform.
Article 3: Enrollment and Eligible Products
3.1 Enrollment is per Seller. The Seller applies in Seller Center, and enrollment is granted when the Seller's inventory passes eligibility review under Article 3.2. Enrollment in the program is not enrollment in any other program, and participation in another program confers no standing in the program.
3.2 A Product is eligible for the program only if: (a) the Product is not a Prohibited Product under the Prohibited Products Policy; (b) the Product is not expired, and, for a consumable Product, the expiry date is stated and remains satisfied during storage; (c) a Product with hazardous characteristics falls within the allowance of the Dangerous Goods Policy; and (d) the preparation requirements of Article 4.2 are met.
3.3 Enrollment is not a blanket pass for a Seller's catalog. The Company may restrict or revoke program eligibility for a category of Products: including dangerous goods, oversized freight, and temperature-controlled items: without revoking the Seller's Account. A category-level restriction is published in Seller Center as a stated category rule and applies as published; a restriction is not decided case by case against an individual Seller.
3.4 A Seller whose Account is subject to an account-level enforcement restriction shall not enroll in the program until the restriction is lifted. The program is not a means of performing around a performance measure imposed under another document.
Article 4: Inbound Delivery to the Company
4.1 Before shipping, the Seller shall create an inbound plan in Seller Center, declaring the stock keeping unit, the quantity, and the shipment reference for each box or pallet. The Inbound Shipment is recorded with its shipment reference, tracking number, carrier, items, and standing, and that record is the Seller's evidence of what the Seller sent and when the Seller sent it.
4.2 Each unit shall be prepared as the program's published preparation requirements state: a unit-level barcode on every sellable unit, liquids polybagged, suffocation warnings where required, and expiry dates on consumables visible without opening the package. The Company documents each preparation failure against the Inbound Shipment, and a preparation failure is billed only as the Seller Fee Schedule states, under Article 10.
4.3 Receiving service levels. The service levels for the program are governed by the Service Level Requirements. Under those requirements, the Company receives an Inbound Shipment within five (5) business days of arrival (service level at least 95%), and makes received units available for sale within twenty-four (24) hours of receipt (service level at least 98%). Where receiving is late, the Seller is not charged storage for the days the inventory sat unprocessed: the Company's delay is the Company's cost.
4.4 Discrepancies. The Company logs each inbound discrepancy: a shortage, a mislabeled unit, a wrong stock keeping unit, a preparation failure: against the Inbound Shipment record and reports the discrepancy to the Seller. The Seller has ten (10) calendar days from the report to dispute a discrepancy through the program inventory claim under the Dispute Standards. After that period, the receiving count stands as the record of Program Inventory received.
Article 5: Custody, Title, and Risk of Loss
5.1 Title never passes to the Company. Program Inventory remains the Seller's property at every stage of the program: on delivery, in storage, in fulfillment, and in returns processing. The Company holds Program Inventory as the Seller's fulfillment agent for storage and shipment only, and acquires no ownership interest in Program Inventory by possession, by commingling in storage, or by the passage of time.
5.2 Risk of loss in the Company's possession. The Seller bears the risk of loss of Program Inventory except as this clause states. While Program Inventory is in the Company's possession at a Fulfillment Center: from the Company's recorded receipt of an Inbound Shipment until handoff of a unit to the carrier for a Program Order, return shipment to the Seller, or disposal under Article 9: loss of or damage to that inventory caused by the Company's handling, storage, or premises is borne by the Company. Loss or damage attributable to the Seller: including an inherent defect in the Product, preparation or packaging by the Seller that fails Article 4.2, and an expired or recalled Product delivered into the program: is borne by the Seller.
5.3 Measure and standard of the Company's liability for inventory. The Company's liability for loss of or damage to Program Inventory under Article 5.2 is the Declared Value of the affected unit as recorded at check-in, and no greater amount. The Seller shall declare an accurate value for each unit in the inbound plan; a unit for which no value is declared is recorded at the value the inbound plan states for the stock keeping unit, and where the plan states no value, at no value for purposes of this Article. The Company's liability under this Article is subject to the Liability Article of these Program Terms (Article 12).
5.4 Inventory accuracy. Inventory accuracy inside the program is the Company's responsibility. A discrepancy between the program inventory record and a physical count is reconciled through the program inventory claim under the Dispute Standards, and not through the Seller's measures under the Inventory Accuracy Policy, which do not apply to stock the Company holds.
Article 6: Storage
6.1 Storage fees accrue only as the Seller Fee Schedule states, charged per cubic foot per month, with long-term storage tiers for inventory aged past the threshold the schedule publishes. No storage amount is stated in these Program Terms, under Article 10.
6.2 The Seller shall monitor stranded inventory: units with no active listing: and aged inventory, and shall act on each under Article 9 before a removal requirement issues.
Article 7: Fulfillment of Program Orders
7.1 The Company ships each Program Order within the published handling time governed by the Service Level Requirements (service level at least 99%). Tracking for a Program Order is carrier-scanned by the Company; the Seller does not handle the parcel.
7.2 A Program Order is excluded from the Seller's late shipment measures, valid tracking measures, first-scan measure, and acknowledgement measures. The exclusion is per Order, determined by the fulfillment method recorded on the Order: a Seller that fulfills part of the Seller's Orders directly is measured on the directly fulfilled part only.
7.3 The Seller shall not advertise "Fulfilled by Pawz Shop," or a badge or statement to the same effect, on a listing that is not enrolled in the program. A statement in breach of this clause is a listing accuracy violation under the Listing Accuracy Policy.
Article 8: Returns into the Program
8.1 Returns of Program Orders are processed under the Return and Refund Policy: Sellers (Return and Refund Policy — Sellers). The Fulfillment Center inspects each return and disposes of the returned unit in accordance with the Seller's return settings recorded in advance: return to stock, return to the Seller, or disposal.
8.2 The Seller shall record return settings before returns arise; a disposition is not negotiated per return. Where the Seller has recorded no disposition for a returned unit, an unopened unit is returned to stock and an opened consumable unit is disposed of. The Company's determination of a returned unit's condition is documented in the return inspection record.
8.3 Return-processing and disposition fees are payable only as the Seller Fee Schedule states, under Article 10.
Article 9: Removal and Disposal of Inventory
9.1 The Company may require removal or disposal of Program Inventory aged beyond the threshold the fee schedule publishes, at the Seller's cost, on thirty (30) days' written notice to the Seller.
9.2 Seller election. Within the notice period in Article 9.1, and within thirty (30) days of a termination of program participation under Article 11, the Seller shall elect, for the affected inventory: (a) removal, by return shipment to the Seller at the Seller's cost; or (b) disposal by the Company. The election is recorded in Seller Center or by written notice to support@aapawz.com.
9.3 Abandoned inventory. Inventory for which the Seller makes no election within the period allowed, and unclaimed inventory remaining after a notice and the removal period, is abandoned inventory. The Company may dispose of abandoned inventory, and the Seller is billed the disposal fee. A disposal fee is payable only if the fee is stated in the Seller Fee Schedule; no disposal fee arises from these Program Terms alone.
9.4 Recalled inventory held in the program is disposed of, returned, or held as the recall instructions direct under the Product Recall Policy (Sellers) (Product Recall Policy (Sellers)), and Article 9.3 does not apply to recalled inventory while a recall is open.
Article 10: Program Fees
10.1 A fee is payable under these Program Terms only if the fee is stated in the Seller Fee Schedule. No other charge of any kind is payable, and the Company shall not impose a fee that the schedule does not state. Program fees governed by the schedule include receiving and preparation-failure fees, storage fees, fulfillment fees, return-processing and disposition fees, and removal and disposal fees. No fee amount is stated in these Program Terms.
Article 11: Suspension and Termination of Program Participation
11.1 Suspension. The Company may suspend the Seller's participation in the program, in whole or for a category of Products, where the Seller delivers ineligible inventory under Article 3.2, where preparation failures under Article 4.2 recur, or where a measure under Article 13 is imposed. During a suspension, the Company accepts no new Inbound Shipment from the Seller, and Program Inventory already held continues to be fulfilled or is removed under Article 9, as the notice of suspension states.
11.2 Termination of participation. The Company may terminate the Seller's participation in the program on thirty (30) days' written notice for any reason, and immediately on written notice if the Seller materially breaches these Program Terms, engages in fraud, or becomes ineligible to participate. The Seller may terminate the Seller's participation on thirty (30) days' written notice to support@aapawz.com, provided the Seller has no Inbound Shipment in transit and no program dispute outstanding.
11.3 Effect. On termination of participation: (a) the Seller shall elect removal or disposal of remaining Program Inventory under Article 9.2; (b) fees accrued to the termination date remain payable as the Seller Fee Schedule states; and (c) the custody and risk-of-loss rules of Article 5 continue to apply to Program Inventory until the inventory leaves the Company's possession under the Seller's election or Article 9.3.
Article 12: Liability
12.1 Exclusion of certain damages. To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, or loss of goodwill, arising out of or relating to these Program Terms, even if the party has been advised of the possibility of those damages.
12.2 Cap. To the fullest extent permitted by law, the Company's total liability arising out of or relating to these Program Terms shall not exceed the greater of (a) the amounts the Seller paid to the Company under these Program Terms in the twelve months before the event giving rise to the claim, or (b) one hundred dollars ($100).
12.3 Carve-outs. This Article does not limit (a) a party's indemnification obligations under these Program Terms; (b) liability for fraud or willful misconduct; (c) amounts the Seller owes for Orders, fees, chargebacks, or refunds under these Program Terms; or (d) liability that cannot be limited under applicable law.
12.4 Essential purpose. The parties agree that this Article allocates risk between them, that it is an essential part of the basis of their bargain, and that it applies even if a limited remedy fails of its essential purpose.
Article 13: Indemnification
13.1 Duty. The Seller shall indemnify, defend, and hold harmless the Company and its members, managers, employees, and agents from and against every claim, demand, action, loss, liability, judgment, settlement, cost, and expense (including reasonable attorneys' fees) arising out of or relating to: (a) the Seller's breach of these Program Terms; (b) the Seller's Products, Program Inventory, listings, or content, including product liability claims, intellectual property infringement claims, and product recall costs; (c) the Seller's violation of any law or of the rights of any person; and (d) taxes for which the Seller is responsible under the Company's documents.
13.2 Procedure. The Company shall give prompt written notice of a claim under this Article. The Seller shall control the defense with counsel reasonably acceptable to the Company. The Company may participate in the defense at its own expense. The Seller shall not settle a claim in a manner that imposes any obligation or restriction on the Company, or that does not release the Company fully, without the Company's prior written consent.
13.3 Survival. This Article survives the termination of these Program Terms.
Article 14: Enforcement and Appeals
14.1 Investigation. The Company may investigate any suspected violation of these Program Terms. The Seller shall cooperate with an investigation and shall produce the records these Program Terms require the Seller to keep, including inbound plans, Inbound Shipment records, and inventory claim records.
14.2 Notice. If the Company determines that the Seller has violated these Program Terms, the Company shall give written notice stating the provision violated and the facts relied on, except where notice would compromise an investigation of fraud, a safety risk, or a legal obligation.
14.3 Opportunity to cure. Where a violation is capable of cure, the Seller has ten (10) business days from notice to cure it and to confirm the cure in writing. No cure period applies to fraud, counterfeiting, a risk to the safety of a person or an animal, unlawful conduct, or a violation that by its nature cannot be cured.
14.4 Measures. If a violation is established and is not cured within the period allowed, the Company may, proportionate to the violation: (a) issue a written warning; (b) remove or suppress a listing or content; (c) refuse an Inbound Shipment; (d) suspend or terminate the Seller's participation in the program under Article 11; (e) suspend the Account, in whole or in part; (f) terminate these Program Terms and the Account; and (g) exercise any other right or remedy available under these Program Terms or at law. An inventory discrepancy claim under Articles 4.4 and 5.4 is a claim under the Dispute Standards and is not an appeal under this Article.
14.5 Appeal. The Seller may appeal a measure under this Article by written notice to legal@aapawz.com within thirty (30) days of the measure, stating the grounds and attaching the records relied on. The appeal is decided by a person who did not make the original decision. The Company's decision on appeal is final. A measure remains in effect during an appeal unless the Company directs otherwise in writing.
14.6 Disbursement holds. The Company may hold disbursements to the Seller while an investigation under this Article is pending, and shall release amounts not required to satisfy the Seller's obligations when the investigation closes.
14.7 No waiver by delay. The Company's delay in acting on a violation is not a waiver of the violation or of any later violation of the same kind.
Article 15: Term and Termination
15.1 Term. These Program Terms take effect when the Seller is enrolled in the program and continue until the Seller's participation is terminated under Article 11 or these Program Terms are terminated under this Article.
15.2 Termination by the Company. The Company may terminate these Program Terms and the Account on thirty (30) days' written notice for any reason, and immediately on written notice if the Seller materially breaches these Program Terms, engages in fraud, or becomes ineligible to participate.
15.3 Termination by the Seller. The Seller may terminate these Program Terms on thirty (30) days' written notice to support@aapawz.com, provided the Seller has no Order, Inbound Shipment, or investigation outstanding, and has completed the removal or disposal election for Program Inventory under Article 9.2.
15.4 Effect of termination. On termination: (a) the rights granted under these Program Terms end; (b) obligations that arose before termination: including payment, fee, refund, chargeback, record-keeping, and indemnification obligations: survive until satisfied; and (c) the Company shall disburse amounts owed, less amounts the Company may set off under these Program Terms, within thirty (30) days, except amounts held in connection with an open investigation or dispute.
15.5 Survival. The Definitions, Fees (for accrued amounts), Liability, Indemnification, Enforcement and Appeals (for measures taken before termination), Dispute Resolution, and General Provisions Articles survive termination. Article 5 survives for Program Inventory remaining in the Company's possession after termination, until that inventory leaves the Company's possession.
Article 16: Dispute Resolution
16.1 Any dispute arising out of or relating to these Program Terms, or to the relationship they govern, is governed by the Dispute Resolution Policy, which is incorporated into these Program Terms by reference.
Article 17: General Provisions
17.1 Amendments. The Company may amend these Program Terms by posting the amended Program Terms in the Document Center and giving notice to the Seller at the email address in the Account. An amendment that materially increases the Seller's fees or obligations takes effect thirty (30) days after notice; other amendments take effect on posting. Continued participation in the program after the effective date of an amendment is acceptance of it. If the Seller does not accept an amendment, the Seller's remedy is to terminate participation under Article 11 before the amendment takes effect.
17.2 Notices. Legal notices under these Program Terms shall be sent to legal@aapawz.com. Operational notices and all other communications shall be sent to support@aapawz.com. A notice to the Company is effective when the Company acknowledges receipt or, for email, one business day after sending, whichever is earlier. Notices to the Seller are effective when sent to the email address in the Account or posted to the Account's notice facility in the portal, whichever occurs first. The Seller shall keep the email address in the Account current.
17.3 Governing law. These Program Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Subject to the Dispute Resolution Policy, any proceeding arising out of these Program Terms shall be brought in the state or federal courts located in Shelby County, Tennessee, and the parties consent to personal jurisdiction there.
17.4 Severability. If any provision of these Program Terms is held unenforceable, the provision shall be enforced to the fullest extent permitted, and the remaining provisions continue in full effect.
17.5 Entire agreement. These Program Terms, together with the documents they incorporate by reference, are the entire agreement between the Company and the Seller for the program and supersede every prior or contemporaneous statement, communication, or agreement on that subject, whether written or oral.
17.6 Assignment. The Seller shall not assign these Program Terms or any right or obligation under them without the Company's prior written consent, and an assignment without consent is void. The Company may assign these Program Terms to an affiliate or in connection with a sale of all or part of its business, on notice to the Seller.
17.7 Waiver. A waiver of any provision of these Program Terms is effective only in writing and only for the instance stated. No waiver is a waiver of any other provision or instance.
17.8 Interpretation. Headings are for convenience only. "Including" means "including without limitation." These Program Terms shall not be construed against a party as its drafter. The English-language text controls over any translation.
