Effective Date: October 15, 2026 Version: 1.0 Applies to: All Sellers who offer flea, tick, or pesticide Products through the Platform.
Article 1: Introduction and Scope
1.1 This Policy states the Seller's duties for flea, tick, and other pesticide Products: federal registration, fidelity to the registered label, state registration, sourcing, and adverse-event duties. Such Products are a restricted category under the Restricted Products Policy, and the platform rule for restricted Products is stated in the Prohibited and Restricted Products Policy, which is incorporated into this Policy by reference.
1.2 The controlling regime is the Federal Insecticide, Fungicide, and Rodenticide Act (FIFRA) and the regulations of the U.S. Environmental Protection Agency (EPA). The Company's regulatory position on registration is stated in the EPA FIFRA Pesticide Registration. Where FIFRA, an EPA regulation, or a state pesticide law is more restrictive than this Policy, the more restrictive requirement controls.
1.3 If a provision of this Policy conflicts with the Terms of Use, this Policy controls for the subject it governs. If a provision of this Policy conflicts with the terms of a program in which the Seller participates, the program terms control for that program.
Article 2: Definitions
2.1 Account: the account a person or business establishes with the Company to use the Platform.
2.2 Buyer: a person who purchases Products or Services through the Platform.
2.3 Company: All About Pawz, LLC, a Tennessee limited liability company.
2.4 EPA Registration Number: the number the EPA assigns on registering a pesticide Product, printed on the label in the form "EPA Reg. No. XXXXX-XX," identifying the specific formulation as registered. A number belonging to a different formulation, a different manufacturer, or a cancelled registration is not a valid EPA Registration Number for a listing.
2.5 Minimum-Risk Product: a pesticide Product the EPA exempts from federal registration under FIFRA §25(b) because the Product uses only listed minimum-risk active and inert ingredients, makes no false or misleading claim, and satisfies the exemption's labeling conditions. A Minimum-Risk Product is exempt from federal registration only; state registration and truthful labeling still apply.
2.6 Order: a Buyer's purchase of Products or Services through the Platform, accepted in accordance with the Order Formation and Acceptance Policy.
2.7 Pesticide Product: any Product making a pesticidal claim, including a claim that the Product kills fleas, kills ticks, repels mosquitoes, kills on contact, or prevents infestation. The claim determines the classification, not the ingredient list: a spray that claims to repel fleas is a Pesticide Product; the same spray sold with no pest claim is not.
2.8 Platform: the websites, applications, and services the Company operates under the name All About Pawz, including aapawz.com.
2.9 Products: goods offered for sale through the Platform.
2.10 Registered Label: the labeling the EPA approved with the registration: directions for use, species, age, and weight restrictions, precautionary statements, first aid, and storage and disposal.
2.11 Seller: a person or business the Company has accepted to offer Products or Services through the Platform.
Article 3: Registration and Listing Duties
3.1 No registration number, no listing. A Seller shall not list a Pesticide Product without a valid EPA Registration Number on the Product's label, or documented qualification as a Minimum-Risk Product. A Pesticide Product without either is an unregistered pesticide and is prohibited under the Prohibited Products Policy. No exception and no grace period applies, and a pending registration is not a registration.
3.2 The Seller shall enter the EPA Registration Number as structured listing data and shall show the number in the listing or in its label imagery. The number shall exist in the EPA's pesticide product records, shall be active: not cancelled and not suspended: and shall match the Product as sold: formulation, brand, and manufacturer. A registration in another country is not an EPA registration.
3.3 For a Minimum-Risk Product, the Seller shall carry instead: (a) the qualifying-ingredient attestation, as a document the Seller holds and produces on request; (b) the full ingredient disclosure the exemption requires; and (c) labeling that makes no pesticidal claim beyond what the exemption permits.
3.4 The Seller shall re-verify each registration on its renewal cycle. A cancelled EPA registration and a lapsed state registration each render the number invalid for the listing from the date of cancellation or lapse.
3.5 A bundle or kit that includes a Pesticide Product shall carry that Product's EPA Registration Number and its restrictions in the bundle listing. Dividing a registered Product's components across listings does not divide the duty. A Product that claims equivalence to a registered brand Product requires its own registration; a comparative claim does not borrow the reference Product's number.
Article 4: Fidelity to the Registered Label; No Off-Label Claims
4.1 The listing's claims, directions, and restrictions shall track the Registered Label on every material point (a) Species, age, and weight restrictions, as registered. A Product registered for dogs of a stated minimum age and weight shall not be listed as suitable for animals outside those limits, and shall not be listed for a species the label excludes;
(b) Directions for use: application rate, frequency, and retreatment intervals, as registered;
(c) Warnings and precautionary statements: hazard to humans and domestic animals, environmental hazards, and keep-out-of-reach statements, reproduced and not summarized away; and
(d) Efficacy claims: only what the registration supports, for the duration the registration states.
4.2 No off-label claims. A Seller shall not state in a listing, in Product content, or in a Buyer communication a use, a direction, or a claim inconsistent with the Registered Label. Under FIFRA, use of a pesticide in a manner inconsistent with its labeling is unlawful, and listing copy that contradicts the label places the Seller in that position.
4.3 A direction to consult the label is not a substitute for stating the label's restrictions in the listing. A restriction material to whether the Product suits the Buyer's animal shall appear on the listing page.
4.4 A claim in any part of a listing determines the Product's treatment under this Policy. A shampoo whose listing claims a flea-killing effect, without an EPA Registration Number, is an unregistered Pesticide Product under Article 3.1, as governed by the Product Claims Policy.
Article 5: State Restrictions
5.1 Most states require separate state registration of pesticide Products distributed in the state, in addition to EPA registration, with fees and renewal cycles that vary by state. A Product federally registered but not registered in the Buyer's state shall not be sold into that state.
5.2 The Seller shall track the Seller's state registrations for each ship-to state and shall suppress the Seller's listings for a state in which registration is absent or lapsed. The Seller's duty under this Article applies whether or not the Platform applies a state gate to the listing.
5.3 A state stop-sale or cancellation order shall be honored immediately. The Seller shall suppress the affected Product's listings on the order, and the Company may suppress the listings across the Platform pending resolution.
Article 6: Sourcing and Handling
6.1 The Seller shall source registered Products from legitimate distributors and shall keep the supply-chain documentation the Invoice Evidence for Appeals requires. Diverted product carries an unknown storage history, and a heat-degraded pesticide is not the Product the registration describes.
6.2 The Seller shall not repackage or relabel a Pesticide Product. A registered Product decanted into another container under a different label is a new, unregistered, and misbranded Product. The registration covers the Product as the EPA approved it, in the container the EPA approved.
6.3 A restricted-use pesticide: a Product whose registration limits sale to certified applicators: shall not be sold to an uncertified Buyer. The Seller shall verify the certification before the sale, and the listing shall state the restriction plainly.
6.4 Every storage and handling representation in a listing shall be truthful.
Article 7: Adverse Events
7.1 When a Buyer reports an injury, illness, or death of an animal tied to a Pesticide Product, or the Seller otherwise learns of such an event, the Seller shall: (a) preserve the Product, the lot number, and the purchase records; (b) notify the Company within twenty-four (24) hours, through support@aapawz.com; and (c) cooperate with any EPA or manufacturer inquiry.
7.2 While an investigation of an adverse event is open, the Seller shall not remove the listing record, alter the claims under investigation, or discard records.
7.3 Where an incident is reportable to the EPA, the reporting obligation rests with the registrant, and the Seller shall cooperate with the report. The Company routes the report through the product-safety process stated in the Product Safety & Recalls and the Product Recall Policy (Sellers) (Product Recall Policy (Sellers)). A pattern of adverse events against one Product is grounds for a safety hold on the Product's listings pending review; a hold is a precaution, not a determination.
Article 8: Records
8.1 The Seller shall keep the records this Policy requires: registration records, state registrations, Minimum-Risk Product attestations, sourcing documentation, lot records, and adverse-event records: for the period the Selling Terms of Service requires, and shall produce the records on the Company's request, including in an investigation or an appeal under Article 11.
Article 9: Liability
9.1 Exclusion of certain damages. To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, or loss of goodwill, arising out of or relating to this Policy, even if the party has been advised of the possibility of those damages.
9.2 Cap. To the fullest extent permitted by law, the Company's total liability arising out of or relating to this Policy shall not exceed the greater of (a) the amounts the Seller paid to the Company under this Policy in the twelve months before the event giving rise to the claim, or (b) one hundred dollars ($100).
9.3 Carve-outs. This Article does not limit (a) a party's indemnification obligations under this Policy; (b) liability for fraud or willful misconduct; (c) amounts the Seller owes for Orders, fees, chargebacks, or refunds under this Policy; or (d) liability that cannot be limited under applicable law.
9.4 Essential purpose. The parties agree that this Article allocates risk between them, that it is an essential part of the basis of their bargain, and that it applies even if a limited remedy fails of its essential purpose.
Article 10: Indemnification
10.1 Duty. The Seller shall indemnify, defend, and hold harmless the Company and its members, managers, employees, and agents from and against every claim, demand, action, loss, liability, judgment, settlement, cost, and expense (including reasonable attorneys' fees) arising out of or relating to: (a) the Seller's breach of this Policy; (b) the Seller's Products, listings, or content, including product liability claims, intellectual property infringement claims, and product recall costs; (c) the Seller's violation of any law or of the rights of any person; and (d) taxes for which the Seller is responsible under the Company's documents.
10.2 Procedure. The Company shall give prompt written notice of a claim under this Article. The Seller shall control the defense with counsel reasonably acceptable to the Company. The Company may participate in the defense at its own expense. The Seller shall not settle a claim in a manner that imposes any obligation or restriction on the Company, or that does not release the Company fully, without the Company's prior written consent.
10.3 Survival. This Article survives the termination of this Policy.
Article 11: Enforcement and Appeals
11.1 Investigation. The Company may investigate any suspected violation of this Policy. The Seller shall cooperate with an investigation and shall produce the records this Policy requires the Seller to keep.
11.2 Notice. If the Company determines that the Seller has violated this Policy, the Company shall give written notice stating the provision violated and the facts relied on, except where notice would compromise an investigation of fraud, a safety risk, or a legal obligation.
11.3 Opportunity to cure. Where a violation is capable of cure, the Seller has ten (10) business days from notice to cure it and to confirm the cure in writing. No cure period applies to fraud, counterfeiting, a risk to the safety of a person or an animal, unlawful conduct, or a violation that by its nature cannot be cured. No cure period applies to the sale of an unregistered pesticide.
11.4 Measures. If a violation is established and is not cured within the period allowed, the Company may, proportionate to the violation: (a) issue a written warning; (b) remove or suppress a listing or content, including immediate suppression of a listing without a valid EPA Registration Number or Minimum-Risk Product record, with relisting only on production of the registration or record; (c) cancel an Order; (d) suspend the Account, in whole or in part; (e) terminate this Policy and the Account; and (f) exercise any other right or remedy available under this Policy or at law. A falsified EPA Registration Number, a relabeled or repackaged pesticide, and the intentional sale of a Product under a cancelled registration are governed by the Fraud and Abuse: Zero Tolerance (Fraud and Abuse — Zero Tolerance), under which no warning precedes an account-level measure.
11.5 Appeal. The Seller may appeal a measure under this Article by written notice to legal@aapawz.com within thirty (30) days of the measure, stating the grounds and attaching the records relied on. The appeal is decided by a person who did not make the original decision. The Company's decision on appeal is final. A measure remains in effect during an appeal unless the Company directs otherwise in writing.
11.6 Disbursement holds. The Company may hold disbursements to the Seller while an investigation under this Article is pending, and shall release amounts not required to satisfy the Seller's obligations when the investigation closes.
11.7 No waiver by delay. The Company's delay in acting on a violation is not a waiver of the violation or of any later violation of the same kind.
Article 12: Term and Termination
12.1 Term. This Policy takes effect when the Seller is accepted to offer Products through the Platform and continues until terminated under this Article.
12.2 Termination by the Company. The Company may terminate this Policy and the Account on thirty (30) days' written notice for any reason, and immediately on written notice if the Seller materially breaches this Policy, engages in fraud, or becomes ineligible to participate.
12.3 Termination by the Seller. The Seller may terminate this Policy on thirty (30) days' written notice to support@aapawz.com, provided the Seller has no Order or investigation outstanding.
12.4 Effect of termination. On termination: (a) the rights granted under this Policy end; (b) obligations that arose before termination: including payment, refund, chargeback, record-keeping, and indemnification obligations: survive until satisfied; and (c) the Company shall disburse amounts owed, less amounts the Company may set off under this Policy, within thirty (30) days, except amounts held in connection with an open investigation or dispute.
12.5 Survival. The Definitions, Liability, Indemnification, Enforcement and Appeals (for measures taken before termination), Dispute Resolution, and General Provisions Articles survive termination.
Article 13: Dispute Resolution
13.1 Any dispute arising out of or relating to this Policy, or to the relationship it governs, is governed by the Dispute Resolution Policy, which is incorporated into this Policy by reference.
Article 14: General Provisions
14.1 Amendments. The Company may amend this Policy by posting the amended Policy in the Document Center and giving notice to the Seller at the email address in the Account. An amendment that materially increases the Seller's fees or obligations takes effect thirty (30) days after notice; other amendments take effect on posting. Continued use of the Platform after the effective date of an amendment is acceptance of it. If the Seller does not accept an amendment, the Seller's remedy is to terminate under Article 12 before the amendment takes effect.
14.2 Notices. Legal notices under this Policy shall be sent to legal@aapawz.com. Operational notices and all other communications shall be sent to support@aapawz.com. A notice to the Company is effective when the Company acknowledges receipt or, for email, one business day after sending, whichever is earlier. Notices to the Seller are effective when sent to the email address in the Account or posted to the Account's notice facility in the portal, whichever occurs first. The Seller shall keep the email address in the Account current.
14.3 Governing law. This Policy is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Subject to the Dispute Resolution Policy, any proceeding arising out of this Policy shall be brought in the state or federal courts located in Shelby County, Tennessee, and the parties consent to personal jurisdiction there.
14.4 Severability. If any provision of this Policy is held unenforceable, the provision shall be enforced to the fullest extent permitted, and the remaining provisions continue in full effect.
14.5 Entire agreement. This Policy, together with the documents it incorporates by reference, is the entire agreement between the Company and the Seller for the subject it governs and supersedes every prior or contemporaneous statement, communication, or agreement on that subject, whether written or oral.
14.6 Assignment. The Seller shall not assign this Policy or any right or obligation under it without the Company's prior written consent, and an assignment without consent is void. The Company may assign this Policy to an affiliate or in connection with a sale of all or part of its business, on notice to the Seller.
14.7 Waiver. A waiver of any provision of this Policy is effective only in writing and only for the instance stated. No waiver is a waiver of any other provision or instance.
14.8 Interpretation. Headings are for convenience only. "Including" means "including without limitation." This Policy shall not be construed against a party as its drafter. The English-language text controls over any translation.
