Effective Date: October 15, 2026 Version: 1.0 Applies to: All Sellers who use software, bots, or automated agents to manage listings, pricing, messages, or Orders through the Platform.
Article 1: Introduction and Scope
1.1 This document governs a Seller's use of software, bots, and automated agents in connection with the Platform, including tools that manage listings, pricing, messages, inventory, and Orders. This document requires disclosure and registration of such use, states the limits on automated access, and states that the Seller remains fully liable for the acts of an automated system as for the Seller's own acts.
1.2 Developer and integration duties that apply to the provider of an automated tool are stated in the developer documents, including the Developer Agreement and the AI Agent and MCP Disclosure Requirements (Automated Access and Agent Disclosure). This document is the Seller-facing statement of the same duties. On a conflict concerning an automated system, the developer document that governs that system controls as to the developer, and this document controls as to the Seller's disclosure and liability for the Seller's Account.
1.3 If a provision of this document conflicts with the Terms of Use, this document controls for the subject it governs. If a provision of this document conflicts with the terms of a program in which the Seller participates, the program terms control for that program. Policies and help pages explain this document; they do not amend it, and in any conflict this document prevails.
Article 2: Definitions
2.1 The definitions in the Selling Terms of Service are incorporated into this document by reference and apply to this document. This article defines only the additional terms used in this document, in alphabetical order.
2.2 Automated Agent: software that perceives Platform state and takes action on a Seller's behalf, autonomously or semi-autonomously, including a listing generator, a repricing tool, a messaging bot, a content generator, and an inventory synchronization tool. Software that only reformats the Seller's own export and neither reads Platform data nor writes to the Platform is not an Automated Agent.
2.3 Buyer-Facing Agent: an Automated Agent with which a Buyer interacts, including an automated messaging agent.
2.4 MCP Connection: a Model Context Protocol connection between an external system and Platform data, tools, or actions, whether the Seller establishes the connection directly or the connection arrives within a developer's tool used by the Seller.
2.5 Operator: the Seller responsible for an Automated Agent as to the Seller's Account. Where a developer built the tool and the Seller operates the tool, each party is an Operator as to that party's own part, and the Seller is always the Operator as to the effect of the tool on the Seller's Account.
2.6 Scope: the enumerated set of resources, actions, data fields, and decision authority for which an Automated Agent is registered. Any resource, action, field, or decision not enumerated is denied.
Article 3: Disclosure, Registration, and Acknowledgement
3.1 The Seller shall not permit an Automated Agent to act on the Platform, and shall not permit an MCP Connection to access Platform data or actions, until the agent or connection is disclosed, registered, and approved as this article requires. Action includes read-only access that obtains listing, Order, or Buyer data.
3.2 A registration shall state: the Operator identity; the capabilities of the agent; the Scope; the data access requested, by field; the level of decision authority, stated as advisory, supervised, or autonomous; and the model or system that serves the agent.
3.3 The Company decides a registration within ten (10) business days after receipt of a complete registration. Approval may impose conditions, including supervised-only operation, transaction limits, and enhanced logging. A condition forms part of the registration, and breach of a condition is a Scope violation.
3.4 A material change requires re-registration before deployment. A material change includes a new capability, a broader Scope, a change of model or serving system, and a change to what the agent is permitted to decide. The Seller bears responsibility for the judgment whether a change is material and shall retain a record of that judgment.
3.5 Where a Seller deploys an Automated Agent that touches Buyer interactions, listings, or pricing, the Seller shall acknowledge the disclosure for that feature. Acknowledgement is per Seller and per feature, and re-acknowledgement is required when the disclosure text changes materially. Acknowledgement is not registration and does not substitute for registration; both are required.
3.6 Operation before registration, or continued operation after a material change without re-registration, is unregistered operation. An undisclosed agent acting as the Seller cannot be distinguished by the Company from tooling used for fraud, and unregistered operation is therefore treated as a serious violation under Article 10.
Article 4: Scope, Limits, and Prohibited Automation
4.1 Each Automated Agent shall be limited to the minimum resources and actions the function of the agent requires. A listing generator does not receive Order data. A messaging agent does not receive authority to change prices.
4.2 An Automated Agent shall not exceed the authority the Seller holds or the authority the Seller granted to the tool. An agent that acts beyond the Seller's grant commits a Scope violation, and the Seller shall act on that evidence concerning the trustworthiness of the tool.
4.3 Scope is assessed at the action and not only at registration. An agent registered for advisory pricing that begins to publish price changes without human approval has altered the agent's own Scope. Such self-modification is prohibited and is treated as unregistered operation as to the excess action.
4.4 The Seller shall not use automation to: (a) obtain, copy, or extract data concerning another Seller, including listings, prices, and inventory of another Seller, by scraping or by any other automated collection prohibited by the Scraping Prohibition; (b) circumvent a rate limit, a transaction limit, a registration condition, or another limit stated in the API Rate Limits and Quotas or in the registration; (c) operate multiple agents or multiple instances to evade a per-agent limit, where limits apply to the Seller's aggregate automation; (d) manipulate search, reviews, or pricing, as governed by the Search Manipulation Policy, the Product Review Policy for Sellers, and the Seller Pricing Policy; or (e) impersonate a human in a Buyer interaction, as prohibited by Article 6.
4.5 The Company may suspend automated access that breaches this document, including access through an application interface, an MCP Connection, and a Seller Center automation facility, in whole or in part, without suspending the Seller's manual use of the Platform where manual use can be separated from the breaching access.
Article 5: Revocation
5.1 Every registration carries a revocation mechanism effective within sixty (60) seconds. The Company, the Operator, and an affected Seller or Buyer may invoke revocation. Revocation stops the agent's access to the Platform and does not undo an action the agent has already taken.
5.2 The Company may revoke access unilaterally on anomalous behavior, a Scope violation, involvement in an incident, or loss of contact with the Operator. Revocation is a protective act and not by itself a finding; repeated revocations are considered in enforcement under Article 10.
5.3 Before an agent operates, the Seller shall confirm that the Seller's own revocation path functions. A Seller that cannot revoke a misbehaving agent within the period in clause 5.1 bears the resulting harm in the same manner as harm from an action taken by the Seller directly.
Article 6: Buyer-Facing Agents
6.1 Where a Buyer interacts with the Seller's Automated Agent, the interaction shall identify the agent as automated at the start of every interaction. Identification in a signature or in a later message does not satisfy this clause.
6.2 A Buyer shall be able to reach a human on request. A request includes plain language that asks for a person or that states that the automated assistance is not resolving the issue. A handoff that routes to a facility that is not monitored is not a handoff under this clause.
6.3 A Buyer Message handled by an Automated Agent is subject to the Buyer-Seller Communication Policy and the Customer Service Standards Policy. Response periods do not relax because an automated system sent the reply.
Article 7: Liability for Automated Systems and Records
7.1 The Seller is responsible for every action of the Seller's Automated Agent and automated systems, including a listing generated, a price set, a Message sent, and data accessed, in the same manner as for an action of the Seller. The fact that an automated system performed the act is not a defense to a finding under the Listing Accuracy Policy, the Product Claims Policy, the Intellectual Property Policy (Sellers) (Intellectual Property Policy (Sellers)), or any other Seller policy.
7.2 Content generated by an Automated Agent shall meet the same accuracy, claims, and intellectual property standards as content written by a person. The Seller shall review the output of an Automated Agent on a schedule proportionate to the volume and risk of the output. The error rate of the agent is the error rate of the Seller.
7.3 Automation is not a mitigating factor for manipulation of listings, prices, or reviews. Automation that performs a prohibited act at scale is evidence of the scale of the violation.
7.4 The Operator shall log every action of an Automated Agent that affects a Buyer, a Seller, a listing, an Order, or a disbursement, shall retain each log for twelve (12) months, and shall produce a log on the Company's request within five (5) business days. Where a tool used by the Seller does not expose logs, the Seller shall obtain the logs from the provider of the tool or shall not deploy the tool.
7.5 The Seller shall report an incident caused by an Automated Agent, including an incorrect Order, a mispriced listing, and a deceptive Buyer Message, within twenty-four (24) hours after the Seller knew of the incident or, in the exercise of the review required by this document, would have known of the incident. The report shall state the act of the agent, the Orders, listings, and Buyers affected, the act that stopped the agent, and the measure that prevents recurrence. The reporting period runs from knowledge and not from completion of an internal investigation.
7.6 A Seller that uses a third-party tool with automated features remains the Operator as to the Seller's Account. Registration by the provider of a tool does not cover the Seller's deployment; the Seller shall register the deployment, state the provider, and keep the provider's logs producible under clause 7.4. The same rule applies where a Seller connects a developer's assistant through an MCP Connection.
Article 8: Liability
8.1 To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, or loss of goodwill, arising out of or relating to this document, even if the party has been advised of the possibility of those damages.
8.2 To the fullest extent permitted by law, the Company's total liability arising out of or relating to this document shall not exceed the greater of (a) the amounts the Seller paid to the Company under this document in the twelve months before the event giving rise to the claim, or (b) one hundred dollars ($100).
8.3 This article does not limit (a) a party's indemnification obligations under this document; (b) liability for fraud or willful misconduct; (c) amounts the Seller owes for Orders, fees, chargebacks, or refunds under this document; or (d) liability that cannot be limited under applicable law.
8.4 The parties agree that this article allocates risk between them, that it is an essential part of the basis of their bargain, and that it applies even if a limited remedy fails of its essential purpose.
Article 9: Indemnification
9.1 The Seller shall indemnify, defend, and hold harmless the Company and its members, managers, employees, and agents from and against every claim, demand, action, loss, liability, judgment, settlement, cost, and expense (including reasonable attorneys' fees) arising out of or relating to: (a) the Seller's breach of this document; (b) the Seller's Products, Services, listings, or User Content; (c) the Seller's violation of any law or of the rights of any person; and (d) taxes for which the Seller is responsible under this document. The Seller's indemnification duty under this article extends to a claim arising from an act of the Seller's Automated Agent as to an act of the Seller.
9.2 The Company shall give prompt written notice of a claim under this article. The Seller shall control the defense with counsel reasonably acceptable to the Company. The Company may participate in the defense at its own expense. The Seller shall not settle a claim in a manner that imposes any obligation or restriction on the Company, or that does not release the Company fully, without the Company's prior written consent.
9.3 This article survives the termination of this document.
Article 10: Enforcement and Appeals
10.1 The Company may investigate any suspected violation of this document. The Seller shall cooperate with an investigation and shall produce the records this document requires the Seller to keep.
10.2 If the Company determines that the Seller has violated this document, the Company shall give written notice stating the provision violated and the facts relied on, except where notice would compromise an investigation of fraud, a safety risk, or a legal obligation.
10.3 Where a violation is capable of cure, the Seller has ten (10) business days from notice to cure it and to confirm the cure in writing. No cure period applies to fraud, counterfeiting, a risk to the safety of a person or an animal, unlawful conduct, or a violation that by its nature cannot be cured. No cure period applies to unregistered operation, impersonation of a human, or Scope evasion under Article 4.
10.4 If a violation is established and is not cured within the period allowed, the Company may, proportionate to the violation: (a) issue a written warning; (b) remove or suppress a listing or content; (c) suspend automated access under Article 4; (d) suspend the Account or a program participation, in whole or in part; (e) terminate this document and the Account; and (f) exercise any other right or remedy available under this document or at law. A finding concerning the underlying conduct, including a mispriced listing or a deceptive Message, is recorded in addition to a finding under this document. A repeat violation under this document carries a repeat period of one hundred eighty (180) days.
10.5 The Company may hold disbursements to the Seller while an investigation under this article is pending, and shall release amounts not required to satisfy the Seller's obligations when the investigation closes.
10.6 The Seller may appeal a measure under this article by written notice to legal@aapawz.com within thirty (30) days of the measure, stating the grounds and attaching the records relied on. The appeal is decided by a person who did not make the original decision. The Company's decision on appeal is final. A measure remains in effect during an appeal unless the Company directs otherwise in writing.
10.7 The Company's delay in acting on a violation is not a waiver of the violation or of any later violation of the same kind.
Article 11: Term and Termination
11.1 This document takes effect when the Seller accepts it and continues until terminated under this article.
11.2 The Company may terminate this document and the Account on thirty (30) days' written notice for any reason, and immediately on written notice if the Seller materially breaches this document, engages in fraud, or becomes ineligible to participate.
11.3 The Seller may terminate this document on thirty (30) days' written notice to support@aapawz.com, provided the Seller has no Order, booking, or investigation outstanding.
11.4 On termination: (a) the rights granted under this document end; (b) obligations that arose before termination: including payment, refund, chargeback, record-keeping, and indemnification obligations: survive until satisfied; and (c) the Company shall disburse amounts owed, less amounts the Company may set off under this document, within thirty (30) days, except amounts held in connection with an open investigation or dispute.
11.5 The Definitions, Fees (for accrued amounts), Liability, Indemnification, Enforcement and Appeals (for measures taken before termination), Dispute Resolution, and General Provisions articles survive termination.
Article 12: Dispute Resolution
12.1 Any dispute arising out of or relating to this document, or to the relationship it governs, is governed by the Dispute Resolution Policy, which is incorporated into this document by reference.
Article 13: General Provisions
13.1 The Company may amend this document by posting the amended document in the Document Center and giving notice to the Seller at the email address in the Account. An amendment that materially increases the Seller's fees or obligations takes effect thirty (30) days after notice; other amendments take effect on posting. Continued use of the Platform after the effective date of an amendment is acceptance of it. If the Seller does not accept an amendment, the Seller's remedy is to terminate under the Term and Termination article before the amendment takes effect.
13.2 Legal notices under this document shall be sent to legal@aapawz.com. Operational notices and all other communications shall be sent to support@aapawz.com. A notice to the Company is effective when the Company acknowledges receipt or, for email, one business day after sending, whichever is earlier. Notices to the Seller are effective when sent to the email address in the Account or posted to the Account's notice facility in the portal, whichever occurs first. The Seller shall keep the email address in the Account current. Notices under the DMCA and Copyright Policy are given as provided in that policy, to the designated agent at legal@aapawz.com.
13.3 This document is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Subject to the Dispute Resolution Policy, any proceeding arising out of this document shall be brought in the state or federal courts located in Shelby County, Tennessee, and the parties consent to personal jurisdiction there.
13.4 If any provision of this document is held unenforceable, the provision shall be enforced to the fullest extent permitted, and the remaining provisions continue in full effect.
13.5 This document, together with the documents it incorporates by reference, is the entire agreement between the Company and the Seller for the subject it governs and supersedes every prior or contemporaneous statement, communication, or agreement on that subject, whether written or oral.
13.6 The Seller shall not assign this document or any right or obligation under it without the Company's prior written consent, and an assignment without consent is void. The Company may assign this document to an affiliate or in connection with a sale of all or part of its business, on notice to the Seller.
13.7 A waiver of any provision of this document is effective only in writing and only for the instance stated. No waiver is a waiver of any other provision or instance.
13.8 Headings are for convenience only. "Including" means "including without limitation." This document shall not be construed against a party on the ground that the party prepared this document. The English-language text controls over any translation.
