Insurance Requirements Policy

Effective Date: October 15, 2026 Version: 1.0 Applies to: All Sellers who offer Services through the Platform, and Sellers in product categories the Company has designated as requiring product liability insurance.

Article 1: Introduction and Scope

1.1 This document states when a Seller shall carry commercial general liability insurance and related coverage, the certificate duties that prove coverage, the endorsement and claim duties that apply, and the consequences of a lapse in required coverage. This document states the insurance duties under the Selling Terms of Service and, for a Seller of Services, the Selling Services Addendum.

1.2 If a provision of this document conflicts with the Terms of Use, this document controls for the subject it governs. If a provision of this document conflicts with the terms of a program in which the Seller participates, the program terms control for that program. Policies and help pages explain this document; they do not amend it, and in any conflict this document prevails.

Article 2: Definitions

2.1 The definitions in the Selling Terms of Service are incorporated into this document by reference and apply to this document. This article defines only the additional terms used in this document, in alphabetical order.

2.2 Aggregate: the maximum amount an insurer pays across all claims in a policy period.

2.3 Certificate of Insurance: a document issued by the Seller's insurer or broker that proves active coverage and states the insurer name, the policy number, the coverage types, the limits, the effective and expiry dates, and the legal name of the insured.

2.4 Designated Category: a product category the Company has published in Seller Center as requiring product liability insurance. No category is a Designated Category until the category appears on the published list.

2.5 Exemption: a written notice from the Company that a Seller is not required to carry a particular coverage. Silence, a verbal assurance, and past practice are not an Exemption.

2.6 Lapse: any period in which required coverage is not in force, including an expired policy without replacement, a cancelled policy, and a policy whose limits fall below the required minimums.

2.7 Per Occurrence: the maximum amount an insurer pays for a single claim event.

Article 3: Coverage Required of a Seller of Services

3.1 A Seller that offers Services through the Platform shall, at all times while providing Services, maintain: (a) commercial general liability insurance of one million dollars ($1,000,000) Per Occurrence and in the Aggregate, covering liabilities caused by or occurring in conjunction with the offer, sale, and performance of the Seller's Services; (b) workers' compensation insurance covering all costs, benefits, and liabilities under workers' compensation and similar laws in every state where the Seller provides Services; and (c) automobile liability insurance of at least three hundred thousand dollars ($300,000) per loss, where performance of any Service involves operating a motor vehicle.

3.2 The amounts in clause 3.1 are fixed duties under the Selling Terms of Service. The Company does not reduce an amount at the Seller's request. Only a written Exemption changes a duty under this article.

3.3 Coverage shall name the Seller's legal entity as recorded in the Seller Account as the insured. A certificate issued to a different name, including a trade name, a related person, or an entity the Seller owns but has not registered as the Seller, does not satisfy this document until the name on the certificate matches the legal record or the Seller corrects the legal record.

3.4 An Exemption is specific to one coverage. A Seller exempted from automobile liability because no Service involves a vehicle remains bound by the commercial general liability and workers' compensation duties. An Exemption does not survive a change in the underlying facts: a Seller that begins to operate a vehicle in the performance of Services becomes subject to the automobile liability duty from that change.

Article 4: Coverage Required in a Designated Category

4.1 A Seller of Products in a Designated Category shall carry product liability insurance at the minimum limits the Company publishes for that category in Seller Center.

4.2 Until a category is designated and a minimum limit for that category is published, a Seller of Products has no insurance duty under this article for that category. Designation is not retroactive: a Seller that listed in a category before designation is subject to the notice and cure period in Article 6 and not to a backdated violation.

4.3 Designation applies by category and not by individual Product. Where a category is designated, every listing of the Seller in that category is subject to this article.

Article 5: Certificate Duties

5.1 The Seller shall document coverage in Seller Center, shall keep the documentation current, and shall provide a Certificate of Insurance on request.

5.2 The Seller shall: (a) file the current Certificate of Insurance, or each certificate where coverage is held with different insurers, before the first Service is offered or, for a Designated Category, before the first listing in the category becomes active; (b) file the renewal certificate before the expiry date of the prior policy, and a renewal filed after expiry is a Lapse for the intervening days; (c) keep the underlying policies in force for as long as the Seller offers Services or lists in a Designated Category; and (d) produce the full policy, and not only the certificate, within five (5) business days after the Company requests the policy in connection with a claim or an investigation.

5.3 Where the Company requires additional-insured status or a specific endorsement for a coverage, that requirement is stated in the Selling Terms of Service or in the written notice that designates a category or grants Program Participation, and the Seller shall obtain the stated endorsement and shall file a certificate that evidences the endorsement. The Seller shall not represent that an endorsement exists where the certificate and the policy do not evidence the endorsement.

5.4 A letter from a broker stating that coverage is being placed is not a Certificate of Insurance. A binder that states effective dates and limits is accepted as interim proof for up to thirty (30) days; a binder older than thirty (30) days without the issued policy is treated as no proof.

5.5 Insurance under this document is per Seller Account. Each Seller shall document coverage for that Seller's own Account. A policy held by another person or business satisfies the Seller's duty only if the certificate names the Seller as an insured.

5.6 The duties in this article stack. A Seller that sells Products and also offers Services bears the service coverage duties in Article 3 in full, and bears a product coverage duty under Article 4 only for a Designated Category in which the Seller lists.

Article 6: Lapse and Consequences

6.1 A Lapse in required coverage is a violation of this document. The violation attaches to the Seller Account, and the consequences may reach the Seller's listings and service offerings.

6.2 Consequences for a Lapse are proportionate to the duration of the Lapse, the Seller's history, and the harm involved: (a) for a first Lapse that is promptly cured, a written warning with a cure period to file a current Certificate of Insurance; (b) for a Lapse that continues past the cure period, or a second Lapse within three hundred sixty-five (365) days, suppression of the affected service offerings or listings until coverage is documented; and (c) for operation of Services with no coverage after suppression, or a third Lapse within that period, suspension of the Account.

6.3 A Lapse discovered because a customer was injured while the Seller was uninsured is treated according to the harm that occurred and not only according to the absence of documentation.

6.4 A Seller that notifies the Company of an impending Lapse before the Lapse occurs, pauses Services or affected listings, and files the renewal when coverage is bound, is treated as a cooperating Seller for purposes of the measure imposed. A Seller whose Lapse is discovered through a claim receives no such treatment.

Article 7: Customer Claims and the Insurer

7.1 On a customer claim for damages in connection with the Seller's Services, the Seller authorizes the Company, or a designee of the Company, to file a claim with the Seller's insurer on the customer's behalf, and the Seller shall provide reasonable support for that claim. That authorization and duty form part of the bargain for offering Services and are not negotiable at the time of a claim.

7.2 Reasonable support includes: (a) identification of the correct policy and claim contact within three (3) business days; (b) execution of claim forms the insurer requires; (c) preservation of evidence, including photographs, service records, and communications; and (d) no instruction to the insurer to deny or delay the customer's claim. Reasonable support does not require the Seller to admit liability that the Seller disputes; the Seller retains the Seller's defenses while cooperating with the claim process.

7.3 Filing of a claim by the Company does not make the Company the Seller's agent for a coverage dispute and does not waive a right of the Company against the Seller, including indemnification under Article 9.

Article 8: Liability

8.1 To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, or loss of goodwill, arising out of or relating to this document, even if the party has been advised of the possibility of those damages.

8.2 To the fullest extent permitted by law, the Company's total liability arising out of or relating to this document shall not exceed the greater of (a) the amounts the Seller paid to the Company under this document in the twelve months before the event giving rise to the claim, or (b) one hundred dollars ($100).

8.3 This article does not limit (a) a party's indemnification obligations under this document; (b) liability for fraud or willful misconduct; (c) amounts the Seller owes for Orders, fees, chargebacks, or refunds under this document; or (d) liability that cannot be limited under applicable law.

8.4 The parties agree that this article allocates risk between them, that it is an essential part of the basis of their bargain, and that it applies even if a limited remedy fails of its essential purpose.

Article 9: Indemnification

9.1 The Seller shall indemnify, defend, and hold harmless the Company and its members, managers, employees, and agents from and against every claim, demand, action, loss, liability, judgment, settlement, cost, and expense (including reasonable attorneys' fees) arising out of or relating to: (a) the Seller's breach of this document; (b) the Seller's Products, Services, listings, or User Content; (c) the Seller's violation of any law or of the rights of any person; and (d) taxes for which the Seller is responsible under this document.

9.2 The Company shall give prompt written notice of a claim under this article. The Seller shall control the defense with counsel reasonably acceptable to the Company. The Company may participate in the defense at its own expense. The Seller shall not settle a claim in a manner that imposes any obligation or restriction on the Company, or that does not release the Company fully, without the Company's prior written consent.

9.3 This article survives the termination of this document.

Article 10: Enforcement and Appeals

10.1 The Company may investigate any suspected violation of this document. The Seller shall cooperate with an investigation and shall produce the records this document requires the Seller to keep.

10.2 If the Company determines that the Seller has violated this document, the Company shall give written notice stating the provision violated and the facts relied on, except where notice would compromise an investigation of fraud, a safety risk, or a legal obligation.

10.3 Where a violation is capable of cure, the Seller has ten (10) business days from notice to cure it and to confirm the cure in writing. No cure period applies to fraud, counterfeiting, a risk to the safety of a person or an animal, unlawful conduct, or a violation that by its nature cannot be cured.

10.4 If a violation is established and is not cured within the period allowed, the Company may, proportionate to the violation: (a) issue a written warning; (b) remove or suppress a listing or content; (c) cancel an Order or a booking; (d) suspend the Account or a program participation, in whole or in part; (e) terminate this document and the Account; and (f) exercise any other right or remedy available under this document or at law. An appeal of an insurance finding shall include the Certificate of Insurance or the written Exemption and, for a dispute concerning a Lapse, proof of continuous coverage such as an insurer confirmation that no gap occurred.

10.5 The Company may hold disbursements to the Seller while an investigation under this article is pending, and shall release amounts not required to satisfy the Seller's obligations when the investigation closes.

10.6 The Seller may appeal a measure under this article by written notice to legal@aapawz.com within thirty (30) days of the measure, stating the grounds and attaching the records relied on. The appeal is decided by a person who did not make the original decision. The Company's decision on appeal is final. A measure remains in effect during an appeal unless the Company directs otherwise in writing.

10.7 The Company's delay in acting on a violation is not a waiver of the violation or of any later violation of the same kind.

Article 11: Term and Termination

11.1 This document takes effect when the Seller accepts it and continues until terminated under this article.

11.2 The Company may terminate this document and the Account on thirty (30) days' written notice for any reason, and immediately on written notice if the Seller materially breaches this document, engages in fraud, or becomes ineligible to participate.

11.3 The Seller may terminate this document on thirty (30) days' written notice to support@aapawz.com, provided the Seller has no Order, booking, or investigation outstanding.

11.4 On termination: (a) the rights granted under this document end; (b) obligations that arose before termination: including payment, refund, chargeback, record-keeping, and indemnification obligations: survive until satisfied; and (c) the Company shall disburse amounts owed, less amounts the Company may set off under this document, within thirty (30) days, except amounts held in connection with an open investigation or dispute.

11.5 The Definitions, Fees (for accrued amounts), Liability, Indemnification, Enforcement and Appeals (for measures taken before termination), Dispute Resolution, and General Provisions articles survive termination.

Article 12: Dispute Resolution

12.1 Any dispute arising out of or relating to this document, or to the relationship it governs, is governed by the Dispute Resolution Policy, which is incorporated into this document by reference.

Article 13: General Provisions

13.1 The Company may amend this document by posting the amended document in the Document Center and giving notice to the Seller at the email address in the Account. An amendment that materially increases the Seller's fees or obligations takes effect thirty (30) days after notice; other amendments take effect on posting. Continued use of the Platform after the effective date of an amendment is acceptance of it. If the Seller does not accept an amendment, the Seller's remedy is to terminate under the Term and Termination article before the amendment takes effect.

13.2 Legal notices under this document shall be sent to legal@aapawz.com. Operational notices and all other communications shall be sent to support@aapawz.com. A notice to the Company is effective when the Company acknowledges receipt or, for email, one business day after sending, whichever is earlier. Notices to the Seller are effective when sent to the email address in the Account or posted to the Account's notice facility in the portal, whichever occurs first. The Seller shall keep the email address in the Account current. Notices under the DMCA and Copyright Policy are given as provided in that policy, to the designated agent at legal@aapawz.com.

13.3 This document is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Subject to the Dispute Resolution Policy, any proceeding arising out of this document shall be brought in the state or federal courts located in Shelby County, Tennessee, and the parties consent to personal jurisdiction there.

13.4 If any provision of this document is held unenforceable, the provision shall be enforced to the fullest extent permitted, and the remaining provisions continue in full effect.

13.5 This document, together with the documents it incorporates by reference, is the entire agreement between the Company and the Seller for the subject it governs and supersedes every prior or contemporaneous statement, communication, or agreement on that subject, whether written or oral.

13.6 The Seller shall not assign this document or any right or obligation under it without the Company's prior written consent, and an assignment without consent is void. The Company may assign this document to an affiliate or in connection with a sale of all or part of its business, on notice to the Seller.

13.7 A waiver of any provision of this document is effective only in writing and only for the instance stated. No waiver is a waiver of any other provision or instance.

13.8 Headings are for convenience only. "Including" means "including without limitation." This document shall not be construed against a party on the ground that the party prepared this document. The English-language text controls over any translation.
