Effective Date: October 15, 2026 Version: 1.0 Applies to: All Sellers who create, fund, or participate in promotions or coupons through the Platform.
Article 1: Introduction and Scope
1.1 This Policy governs promotions and coupons offered by a Seller through the Platform: the promotions a Seller may run, the funding of each promotion, the terms that shall be stated before a Buyer relies on a promotion, and the practices that are prohibited. The terms on which a Buyer redeems a promotion are stated in the Promotional Offers Terms & Conditions; this Policy states the Seller's duties in creating and honoring the promotion.
1.2 Products sold by the Company are "Sold by Pawz Shop." Products sold by a Seller are "Sold by {Seller name}." A promotion on a Seller's Products is the Seller's offer, and the Seller is responsible for its terms, its funding, and its redemption.
1.3 If a provision of this Policy conflicts with the Terms of Use, this Policy controls for the subject it governs. If a provision of this Policy conflicts with the terms of a program in which the Seller participates, the program terms control for that program. Policies and help pages explain this Policy; they do not amend it, and in any conflict this Policy prevails.
Article 2: Definitions
2.1 Account: the account a person or business establishes with the Company to use the Platform.
2.2 Buyer: a person who purchases Products or Services through the Platform.
2.3 Company: All About Pawz, LLC, a Tennessee limited liability company.
2.4 Coupon: a redeemable code tied to a Promotion, optionally limited to a single Buyer, with its own usage limits and validity period.
2.5 Order: a Buyer's purchase of Products or Services through the Platform, accepted in accordance with the Order Formation and Acceptance Policy.
2.6 Platform: the websites, applications, and services the Company operates under the name All About Pawz, including aapawz.com.
2.7 Platform-Funded Promotion: a Promotion the Company funds, in whole or in part, under written event terms, including site-wide events and category campaigns.
2.8 Products: goods offered for sale through the Platform.
2.9 Promotion: a defined discount with a type, a value, eligibility rules, a start date, an end date, and usage accounting. An automatic Promotion applies at checkout; a coded Promotion requires the Buyer to present the code.
2.10 Seller: a person or business the Company has accepted to offer Products or Services through the Platform.
2.11 Seller-Funded Promotion: a Promotion the Seller funds in full. The Buyer's price is reduced by the discount, and the Seller's proceeds are reduced by the same amount.
Article 3: Promotions the Seller May Run
3.1 A Seller may run the following Seller-Funded Promotions: (a) percentage discounts; (b) fixed-amount discounts; (c) Coupons, as single-use or multi-use codes; (d) buy-one-get-one and bundle pricing; (e) volume and tiered discounts; and (f) free-shipping offers on the Seller's own Orders. The Seller funds each such Promotion in full. The Company does not reimburse a discount the Seller chose to offer.
3.2 Every Promotion shall state, completely and before the Promotion begins: (a) the discount; (b) the eligible Products, by listing or category; (c) the start date and the end date; (d) any minimum purchase, quantity limit, or Buyer eligibility condition; and (e) the exclusions. A Promotion without an end date is not permitted.
3.3 The stated terms of a Promotion are a commitment to the Buyer. A Buyer who satisfies the stated terms and is denied the Promotion is entitled to the Promotion or to a refund of the Order. A failure of the Platform's promotion mechanics to apply a Promotion as configured does not shift the loss to the Buyer. The Seller shall test each Promotion before the Promotion begins.
3.4 A Promotion applies only to the Seller's own Products. A Seller shall not configure a Promotion to reach another Seller's Products, and shall not represent a Company promotion as the Seller's own.
Article 4: Truth in Promotion
4.1 A promotional price shall be computed against a genuine reference price, as governed by the Seller Pricing Policy. The reference price is a price at which the Product has actually been offered and sold, never an invented compare-at price. A Seller that configures a fabricated reference price is responsible for the resulting misstatement, whether or not the Platform's mechanics executed the configuration as entered.
4.2 A claim of "up to X% off" requires that a meaningful share of the promoted assortment is discounted at or near X%. A single clearance item at the stated maximum does not support the claim for an assortment discounted materially less.
4.3 Whether Promotions may be combined shall be stated before purchase. If two Promotions may combine, the listing and the checkout shall say so; if they may not combine, the exclusion shall be stated before the Buyer attempts redemption. Advertising combinable discounts that checkout rejects, and permitting a combination the stated terms forbid, are each prohibited.
4.4 A free-shipping offer shall state its scope: the eligible Products, the eligible destinations, and any minimum purchase. An exclusion that determines whether the offer has value to the Buyer shall not be disclosed only in subordinate text.
Article 5: Prohibited Promotional Practices
5.1 False urgency. A Seller shall not use a countdown timer that resets, a scarcity statement that does not reflect actual inventory, or an end-date statement for a Promotion that recurs without a genuine price change. Urgency stated in a Promotion shall be real: the timer ends, the price changes, and the quantity is actually limited.
5.2 Hidden exclusions. A Seller shall not disclose an exclusion after the Buyer has committed to the purchase, whether at checkout, in a confirmation message, or not at all. Every exclusion is part of the stated terms under Article 3.2.
5.3 Promotions as data collection or diversion. A Seller shall not use a Promotion or a Coupon to collect Buyer contact data off the Platform or to route a Buyer away from the Platform to obtain a code. The Coupon is delivered on the Platform, and the transaction remains on the Platform.
5.4 Coupons as review incentives. A Seller shall not distribute a Coupon in exchange for a review, for a positive review, or for feedback of any stated sentiment, as governed by the Product Review Policy for Sellers. A Coupon conditioned on a review is not a Promotion under this Policy.
5.5 Bait promotions. A Seller shall not advertise a Promotion the Seller does not intend to honor, including a code that is never activated, a Promotion whose configuration excludes every Product the Promotion names, and an event page for a discount that applies to no Product.
Article 6: Platform-Funded and Co-Funded Promotions
6.1 Where the Company funds or co-funds a Promotion, the Company publishes written event terms for the event: the funding share of each party, the eligible assortment, the dates, and the period in which a Seller may elect to participate. Participation is by the Seller's election for each event. The written event terms are the entire agreement for the event; no other statement of co-funding binds the Company.
6.2 A Seller that elects to participate accepts the event's mechanics, including the discount depth, the badge treatment, and the ranking consideration the event carries. A Seller shall not raise the base price of a Product to neutralize an event discount; such conduct is a false reference price under the Seller Pricing Policy, and the Company may revoke the Seller's participation in the event.
6.3 The Company's funding share is limited to the share the written event terms commit. A discount beyond the event terms is Seller-funded.
Article 7: Coupon Operation
7.1 A Coupon code shall be functional from its start date and shall cease to function after its end date. Advertising a code past its expiry, and a code that fails for eligible Buyers during its validity period, are each a breach of Article 3.3.
7.2 Usage limits bind as configured: the limits on the Promotion and on the Coupon bound total redemptions, and a per-Buyer limit binds per Buyer. A configuration error that permits redemptions beyond a stated limit is the Seller's error to correct, and the Seller shall honor redemptions already completed under the erroneous configuration.
7.3 A Coupon limited to a single Buyer is for that Buyer only. The Seller shall not distribute such a code publicly and shall not adopt a disclosed single-Buyer code as a general Promotion. A disclosed code shall be deactivated.
7.4 The Seller shall keep the terms, configuration, and redemption record of each Promotion and Coupon for the period the Selling Terms of Service requires, and shall produce the record on the Company's request.
Article 8: Abuse
8.1 Promotion abuse is prohibited, whether committed by a Buyer or a Seller. Promotion abuse includes: (a) creating Accounts to harvest single-use codes; (b) exploiting a stacking error at scale; (c) creating artificial eligibility, including artificial carts and split Orders arranged to trigger a threshold repeatedly; and (d) manufacturing redemptions to distort event metrics.
8.2 The Company may cancel an Order obtained through promotion abuse and may reverse a promotional credit obtained through abuse. A credit obtained through abuse was never earned, and its reversal is not a refund governed by the returns process.
8.3 A Seller that discovers an error in the Seller's own Promotion: a stacking error or a code that applies more broadly than its terms: shall correct the configuration and shall report the error to the Company through support@aapawz.com. Honoring an error for selected Buyers while denying it to others is prohibited.
Article 9: Liability
9.1 Exclusion of certain damages. To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, or loss of goodwill, arising out of or relating to this Policy, even if the party has been advised of the possibility of those damages.
9.2 Cap. To the fullest extent permitted by law, the Company's total liability arising out of or relating to this Policy shall not exceed the greater of (a) the amounts the Seller paid to the Company under this Policy in the twelve months before the event giving rise to the claim, or (b) one hundred dollars ($100).
9.3 Carve-outs. This Article does not limit (a) a party's indemnification obligations under this Policy; (b) liability for fraud or willful misconduct; (c) amounts the Seller owes for Orders, fees, chargebacks, or refunds under this Policy; or (d) liability that cannot be limited under applicable law.
9.4 Essential purpose. The parties agree that this Article allocates risk between them, that it is an essential part of the basis of their bargain, and that it applies even if a limited remedy fails of its essential purpose.
Article 10: Indemnification
10.1 Duty. The Seller shall indemnify, defend, and hold harmless the Company and its members, managers, employees, and agents from and against every claim, demand, action, loss, liability, judgment, settlement, cost, and expense (including reasonable attorneys' fees) arising out of or relating to: (a) the Seller's breach of this Policy; (b) the Seller's Products, Promotions, Coupons, listings, or content, including product liability claims and intellectual property infringement claims; (c) the Seller's violation of any law or of the rights of any person; and (d) taxes for which the Seller is responsible under the Company's documents.
10.2 Procedure. The Company shall give prompt written notice of a claim under this Article. The Seller shall control the defense with counsel reasonably acceptable to the Company. The Company may participate in the defense at its own expense. The Seller shall not settle a claim in a manner that imposes any obligation or restriction on the Company, or that does not release the Company fully, without the Company's prior written consent.
10.3 Survival. This Article survives the termination of this Policy.
Article 11: Enforcement and Appeals
11.1 Investigation. The Company may investigate any suspected violation of this Policy. The Seller shall cooperate with an investigation and shall produce the records this Policy requires the Seller to keep.
11.2 Notice. If the Company determines that the Seller has violated this Policy, the Company shall give written notice stating the provision violated and the facts relied on, except where notice would compromise an investigation of fraud, a safety risk, or a legal obligation.
11.3 Opportunity to cure. Where a violation is capable of cure, the Seller has ten (10) business days from notice to cure it and to confirm the cure in writing. No cure period applies to fraud, counterfeiting, a risk to the safety of a person or an animal, unlawful conduct, or a violation that by its nature cannot be cured.
11.4 Measures. If a violation is established and is not cured within the period allowed, the Company may, proportionate to the violation: (a) issue a written warning; (b) remove or suppress a listing, a Promotion, or content; (c) cancel an Order; (d) suspend the Account, in whole or in part; (e) terminate this Policy and the Account; and (f) exercise any other right or remedy available under this Policy or at law.
11.5 Appeal. The Seller may appeal a measure under this Article by written notice to legal@aapawz.com within thirty (30) days of the measure, stating the grounds and attaching the records relied on. The appeal is decided by a person who did not make the original decision. The Company's decision on appeal is final. A measure remains in effect during an appeal unless the Company directs otherwise in writing.
11.6 Disbursement holds. The Company may hold disbursements to the Seller while an investigation under this Article is pending, and shall release amounts not required to satisfy the Seller's obligations when the investigation closes.
11.7 No waiver by delay. The Company's delay in acting on a violation is not a waiver of the violation or of any later violation of the same kind.
Article 12: Term and Termination
12.1 Term. This Policy takes effect when the Seller is accepted to offer Products through the Platform and continues until terminated under this Article.
12.2 Termination by the Company. The Company may terminate this Policy and the Account on thirty (30) days' written notice for any reason, and immediately on written notice if the Seller materially breaches this Policy, engages in fraud, or becomes ineligible to participate.
12.3 Termination by the Seller. The Seller may terminate this Policy on thirty (30) days' written notice to support@aapawz.com, provided the Seller has no Order or investigation outstanding.
12.4 Effect of termination. On termination: (a) the rights granted under this Policy end; (b) obligations that arose before termination: including payment, refund, chargeback, record-keeping, and indemnification obligations: survive until satisfied; and (c) the Company shall disburse amounts owed, less amounts the Company may set off under this Policy, within thirty (30) days, except amounts held in connection with an open investigation or dispute.
12.5 Survival. The Definitions, Liability, Indemnification, Enforcement and Appeals (for measures taken before termination), Dispute Resolution, and General Provisions Articles survive termination.
Article 13: Dispute Resolution
13.1 Any dispute arising out of or relating to this Policy, or to the relationship it governs, is governed by the Dispute Resolution Policy, which is incorporated into this Policy by reference.
Article 14: General Provisions
14.1 Amendments. The Company may amend this Policy by posting the amended Policy in the Document Center and giving notice to the Seller at the email address in the Account. An amendment that materially increases the Seller's fees or obligations takes effect thirty (30) days after notice; other amendments take effect on posting. Continued use of the Platform after the effective date of an amendment is acceptance of it. If the Seller does not accept an amendment, the Seller's remedy is to terminate under Article 12 before the amendment takes effect.
14.2 Notices. Legal notices under this Policy shall be sent to legal@aapawz.com. Operational notices and all other communications shall be sent to support@aapawz.com. A notice to the Company is effective when the Company acknowledges receipt or, for email, one business day after sending, whichever is earlier. Notices to the Seller are effective when sent to the email address in the Account or posted to the Account's notice facility in the portal, whichever occurs first. The Seller shall keep the email address in the Account current.
14.3 Governing law. This Policy is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Subject to the Dispute Resolution Policy, any proceeding arising out of this Policy shall be brought in the state or federal courts located in Shelby County, Tennessee, and the parties consent to personal jurisdiction there.
14.4 Severability. If any provision of this Policy is held unenforceable, the provision shall be enforced to the fullest extent permitted, and the remaining provisions continue in full effect.
14.5 Entire agreement. This Policy, together with the documents it incorporates by reference, is the entire agreement between the Company and the Seller for the subject it governs and supersedes every prior or contemporaneous statement, communication, or agreement on that subject, whether written or oral.
14.6 Assignment. The Seller shall not assign this Policy or any right or obligation under it without the Company's prior written consent, and an assignment without consent is void. The Company may assign this Policy to an affiliate or in connection with a sale of all or part of its business, on notice to the Seller.
14.7 Waiver. A waiver of any provision of this Policy is effective only in writing and only for the instance stated. No waiver is a waiver of any other provision or instance.
14.8 Interpretation. Headings are for convenience only. "Including" means "including without limitation." This Policy shall not be construed against a party as its drafter. The English-language text controls over any translation.
