Effective Date: October 15, 2026 Version: 1.0 Applies to: All Sellers who offer Products or Services through the Platform.
Article 1: Introduction and Scope
1.1 This document states the referral fee rates charged to a Seller, by category. It is part of the Seller Fee Schedule and shall be read with that schedule; the referral fees stated here are charged, collected, and disputed under the Seller Fee Schedule and the Fee Terms.
1.2 A referral fee is payable only if a rate for the Product's category is stated in this document. Where no rate is stated for a category, no referral fee is chargeable for that category until a rate is stated in this document in accordance with the Fee Terms.
1.3 If a provision of this document conflicts with the Terms of Use, this document controls for the subject it governs. If a provision of this document conflicts with the terms of a program in which the Seller participates, the program terms control for that program. Policies and help pages explain this document; they do not amend it, and in any conflict this document prevails.
Article 2: Definitions
2.1 The definitions in the Selling Terms of Service apply to this document. In addition, in this document 2.2 Browse Node: the position assigned to a Product in the Platform's catalog taxonomy, which determines the Product's category for the purposes of this schedule.
2.3 Category: a category listed in Article 4.
2.4 Referral Fee: the fee calculated by applying the rate for a Product's Category to the fee base determined under Article 3.
Article 3: How Referral Fees Work
3.1 The Referral Fee is a percentage of the fee base: the Product price plus shipping charged to the Buyer plus gift wrap where applicable. Tax is excluded from the fee base where the Company is the marketplace facilitator collector of the tax.
3.2 The Referral Fee is charged at Order Placement and is included in the Application Fee on the Order under the Seller Fee Schedule.
3.3 The rate that applies to an Order is the rate for the Product's Category in force at Order Placement. That rate is fixed for that Order; a rate change that takes effect later does not apply to the Order.
3.4 A discount funded by the Seller, including a Seller coupon and a Seller-set sale price, reduces the fee base; the fee is calculated on the amount the Buyer actually pays. A discount funded by the Company does not reduce the fee base.
Article 4: Category Rates
4.1 The referral rate for each Category is the rate stated in the following table. Where the table states that no rate is stated for a Category, no Referral Fee is chargeable for that Category.
| Category | Referral rate |
|---|---|
| Pet food and treats | No rate stated |
| Toys and enrichment | No rate stated |
| Beds and furniture | No rate stated |
| Grooming and hygiene | No rate stated |
| Health and wellness (non-prescription) | No rate stated |
| Flea, tick, and pest control | No rate stated |
| Prescription products | No rate stated |
| Aquatics | No rate stated |
| Bird supplies | No rate stated |
| Reptile supplies | No rate stated |
| Small animal supplies | No rate stated |
| Apparel and accessories | No rate stated |
| Training and behavior | No rate stated |
| Travel and carriers | No rate stated |
| Feeding and watering | No rate stated |
| Litter and waste | No rate stated |
| Services (grooming, training, sitting) | No rate stated |
4.2 Where a minimum Referral Fee per item or a maximum Referral Fee per item is stated for a Category in this schedule, the percentage fee is calculated first; if the result is below the stated minimum, the minimum applies, and if the result is above the stated maximum, the maximum applies. No minimum or maximum is stated for any Category at the effective date of this document, and none applies until stated in this schedule.
4.3 Each rate in the table is a Schedule Entry for the purposes of the Fee Terms: it names the fee, the Category to which it applies, the rate, and the effective date from which it is chargeable. No entry, no fee.
Article 5: Which Category Applies
5.1 The Category of a Product is determined by the Product's Browse Node assignment, not by a category the Seller declares. The Seller's stated category is evidence; the Browse Node assignment governs.
5.2 Where a Product falls in more than one Category, the highest applicable rate applies to that Product. The Product is charged once, at the higher rate; the rates are not added together.
5.3 Deliberate miscategorization of a Product to obtain a lower rate is a violation of the Category Placement Policy. Where the Company re-categorizes a Product, the rate for the corrected Category applies to Orders placed after the correction. Orders placed before the correction are not re-rated.
5.4 A Product in a Category for which no rate is stated bears no Referral Fee. A new Category shall be given an entry in this schedule before a listing in that Category may be charged a Referral Fee.
Article 6: Seller-Specific Rates
6.1 A rate recorded on a Seller's account outside this schedule does not create, replace, or limit a Referral Fee. The only rates chargeable under this document are the rates stated in Article 4 and a Seller-specific Schedule Entry made under this Article.
6.2 The Company may state a Seller-specific rate by a Schedule Entry that names the Seller. A Seller-specific entry displaces the Category rate for that Seller only, for the Categories and the period the entry states. It does not apply to any other Seller.
Article 7: Rate Changes
7.1 A change to a Category rate requires thirty (30) days' notice in accordance with the Fee Terms. The notice states the Category, the rate before the change, the rate after the change, and the effective date.
7.2 A rate change is recorded as a new Schedule Entry. The prior entry is given an end date; the new entry is given a start date. Prior entries are preserved so that any Referral Fee previously charged can be re-derived from the entries in force at its Order Placement.
7.3 The rate at Order Placement governs the Order. A change effective on a given date does not apply to an Order placed before that date, even if the Order settles after that date.
Article 8: Category Changes
8.1 A Category is added to the table in Article 4 by Schedule Entry. The Category shall exist in the catalog taxonomy before an entry is made for it, and the entry shall be made before a listing in the Category is charged.
8.2 Where Categories are split or merged, the change is recorded as Schedule Entries in the same manner as a rate change: the prior entry is given an end date, the new entries are given start dates, and listings are re-mapped to the new Browse Nodes. An Order placed before the split or merger is charged at the rate in force at its Order Placement. A merger does not blend two rates; each listing falls in exactly one new Category with exactly one rate.
Article 9: Services and Subscriptions
9.1 The Services Category covers grooming, training, and sitting sold through the Platform. The fee base for a service Order is the service price the Buyer paid, plus any travel or additional amounts charged through the Order. A gratuity added by the Buyer is excluded from the fee base.
9.2 A subscription or autoship Order bears the Referral Fee on each recurring charge, at the rate in force when the Order for that charge is placed. For a subscription, each renewal is a separate Order for fee purposes. A rate change during a subscription applies to renewals placed after the change takes effect and does not apply to the original signup Order.
Article 10: Promotional Rate Periods
10.1 The Company may state an introductory rate for a Category for a fixed period by a Schedule Entry that states both its start date and its end date. Such an entry is announced thirty (30) days in advance in the same manner as any other rate change and applies only to Orders placed within its period.
10.2 A promotional rate period is not extended retroactively. An Order placed after the period's end date is charged under the standard entry for the Category.
Article 11: Refunds
11.1 Where an Order is refunded, the Referral Fee is credited back on the refunded amount in accordance with the Fee Reversals and Adjustments Policy. On a full refund, the full Referral Fee for the refunded amount is credited; on a partial refund, the credit is in proportion to the amount refunded, calculated at the rate charged on the Order.
Article 12: Liability
12.1 Exclusion of certain damages. To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, or loss of goodwill, arising out of or relating to this document, even if the party has been advised of the possibility of those damages.
12.2 Cap. To the fullest extent permitted by law, the Company's total liability arising out of or relating to this document shall not exceed the greater of (a) the amounts the Seller paid to the Company under this document in the twelve months before the event giving rise to the claim, or (b) one hundred dollars ($100).
12.3 Carve-outs. This Article does not limit (a) a party's indemnification obligations under this document; (b) liability for fraud or willful misconduct; (c) amounts the Seller owes for Orders, fees, chargebacks, or refunds under this document; or (d) liability that cannot be limited under applicable law.
12.4 Essential purpose. The parties agree that this Article allocates risk between them, that it is an essential part of the basis of their bargain, and that it applies even if a limited remedy fails of its essential purpose.
Article 13: Indemnification
13.1 Duty. The Seller shall indemnify, defend, and hold harmless the Company and its members, managers, employees, and agents from and against every claim, demand, action, loss, liability, judgment, settlement, cost, and expense (including reasonable attorneys' fees) arising out of or relating to: (a) the Seller's breach of this document; (b) the Seller's Products, Services, listings, or User Content; (c) the Seller's violation of any law or of the rights of any person; and (d) taxes for which the Seller is responsible under this document.
13.2 Procedure. The Company shall give prompt written notice of a claim under this Article. The Seller shall control the defense with counsel reasonably acceptable to the Company. The Company may participate in the defense at its own expense. The Seller shall not settle a claim in a manner that imposes any obligation or restriction on the Company, or that does not release the Company fully, without the Company's prior written consent.
13.3 Survival. This Article survives the termination of this document.
Article 14: Enforcement and Appeals
14.1 Investigation. The Company may investigate any suspected violation of this document. The Seller shall cooperate with an investigation and shall produce the records this document requires the Seller to keep.
14.2 Notice. If the Company determines that the Seller has violated this document, the Company shall give written notice stating the provision violated and the facts relied on, except where notice would compromise an investigation of fraud, a safety risk, or a legal obligation.
14.3 Opportunity to cure. Where a violation is capable of cure, the Seller has ten (10) business days from notice to cure it and to confirm the cure in writing. No cure period applies to fraud, counterfeiting, a risk to the safety of a person or an animal, unlawful conduct, or a violation that by its nature cannot be cured.
14.4 Measures. If a violation is established and is not cured within the period allowed, the Company may, proportionate to the violation: (a) issue a written warning; (b) remove or suppress a listing or content; (c) cancel an Order or a booking; (d) suspend the Account or a program participation, in whole or in part; (e) terminate this document and the Account; and (f) exercise any other right or remedy available under this document or at law.
14.5 Disbursement hold. The Company may hold disbursements to the Seller while an investigation under this Article is pending, and shall release amounts not required to satisfy the Seller's obligations when the investigation closes.
14.6 Appeal. The Seller may appeal a measure under this Article by written notice to legal@aapawz.com within thirty (30) days of the measure, stating the grounds and attaching the records relied on. The appeal is decided by a person who did not make the original decision. The Company's decision on appeal is final. A measure remains in effect during an appeal unless the Company directs otherwise in writing.
14.7 No waiver by delay. The Company's delay in acting on a violation is not a waiver of the violation or of any later violation of the same kind.
Article 15: Term and Termination
15.1 Term. This document takes effect when the Seller accepts it and continues until terminated under this Article.
15.2 Termination by the Company. The Company may terminate this document and the Account on thirty (30) days' written notice for any reason, and immediately on written notice if the Seller materially breaches this document, engages in fraud, or becomes ineligible to participate.
15.3 Termination by the Seller. The Seller may terminate this document on thirty (30) days' written notice to support@aapawz.com, provided the Seller has no Order, booking, or investigation outstanding.
15.4 Effect of termination. On termination: (a) the rights granted under this document end; (b) obligations that arose before termination: including payment, refund, chargeback, record-keeping, and indemnification obligations: survive until satisfied; and (c) the Company shall disburse amounts owed, less amounts the Company may set off under this document, within thirty (30) days, except amounts held in connection with an open investigation or dispute.
15.5 Survival. The Definitions, Fees (for accrued amounts), Liability, Indemnification, Enforcement and Appeals (for measures taken before termination), Dispute Resolution, and General Provisions Articles survive termination.
Article 16: Dispute Resolution
16.1 Any dispute arising out of or relating to this document, or to the relationship it governs, is governed by the Dispute Resolution Policy, which is incorporated into this document by reference.
Article 17: General Provisions
17.1 Amendments. The Company may amend this document by posting the amended document in the Document Center and giving notice to the Seller at the email address in the Account. An amendment that materially increases the Seller's fees or obligations takes effect thirty (30) days after notice; other amendments take effect on posting. Continued use of the Platform after the effective date of an amendment is acceptance of it. If the Seller does not accept an amendment, the Seller's remedy is to terminate under Article 15 before the amendment takes effect.
17.2 Notices. (a) Legal notices under this document shall be sent to legal@aapawz.com. Operational notices and all other communications shall be sent to support@aapawz.com. A notice to the Company is effective when the Company acknowledges receipt or, for email, one business day after sending, whichever is earlier. (b) Notices to the Seller are effective when sent to the email address in the Account or posted to the Account's notice facility in the portal, whichever occurs first. The Seller shall keep the email address in the Account current. (c) DMCA notices are given as provided in the DMCA and Copyright Policy, to the designated agent at legal@aapawz.com.
17.3 Governing law. This document is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Subject to the Dispute Resolution Policy, any proceeding arising out of this document shall be brought in the state or federal courts located in Shelby County, Tennessee, and the parties consent to personal jurisdiction there.
17.4 Severability. If any provision of this document is held unenforceable, the provision shall be enforced to the fullest extent permitted, and the remaining provisions continue in full effect.
17.5 Entire agreement. This document, together with the documents it incorporates by reference, is the entire agreement between the Company and the Seller for the subject it governs and supersedes every prior or contemporaneous statement, communication, or agreement on that subject, whether written or oral.
17.6 Assignment. The Seller shall not assign this document or any right or obligation under it without the Company's prior written consent, and an assignment without consent is void. The Company may assign this document to an affiliate or in connection with a sale of all or part of its business, on notice to the Seller.
17.7 Waiver. A waiver of any provision of this document is effective only in writing and only for the instance stated. No waiver is a waiver of any other provision or instance.
17.8 Interpretation. Headings are for convenience only. "Including" means "including without limitation." This document shall not be construed against a party as its drafter. The English-language text controls over any translation.
