Effective Date: October 15, 2026 Version: 1.0 Applies to: All subscribers to a recurring shipment (Autoship) subscription through the Platform.
Article 1: Introduction and Scope
1.1 This document governs a reship subscription, also presented on the Platform as Autoship: enrollment, disclosure of recurring charges, pricing and price changes on notice, billing and failed payments, shipment holds, pause, skip, and cancellation, and product changes.
1.2 Each shipment under a subscription is an Order governed by the Order Formation and Acceptance Policy, the Payment Terms, the Shipping and Delivery Policy, and the Returns and Refunds Policy, except as this document states a different rule for a subscription.
1.3 If a provision of this document conflicts with the Terms of Use, this document controls for the subject it governs. If a provision of this document conflicts with the terms of another program in which the Subscriber participates, the program terms control for that program. Policies and help pages explain this document; they do not amend it, and in any conflict this document prevails.
Article 2: Definitions
2.1 Account: the account a person or business establishes with the Company to use the Platform.
2.2 Buyer: a person who purchases Products or Services through the Platform.
2.3 Cadence: the recurring interval selected for a Subscription, as stated at enrollment.
2.4 Company: All About Pawz, LLC, a Tennessee limited liability company.
2.5 Order: a Buyer's purchase of Products or Services through the Platform, accepted in accordance with the Order Formation and Acceptance Policy.
2.6 Platform: the websites, applications, and services the Company operates under the name All About Pawz, including aapawz.com.
2.7 Products: goods offered for sale through the Platform.
2.8 Services: services offered through the Platform, including grooming, veterinary, pharmacy, and fulfillment services, as applicable.
2.9 Subscriber: a Buyer who has enrolled in a Subscription.
2.10 Subscription: a recurring Order arrangement under this document for the periodic shipment of an eligible Product at a selected Cadence and quantity, until paused, held, or cancelled.
Article 3: Eligibility and Enrollment; Disclosure of Recurring Charges
3.1 Subscription eligibility is determined by category. Eligible Products are consumables: including food, treats, supplements, litter, and grooming consumables. Durable Products, including beds, crates, toys, and equipment, are not eligible and shall not be offered for subscription. The product page states eligibility before enrollment; a Product with no subscription option on its page is not eligible, and support cannot make an ineligible Product eligible.
3.2 Enrollment creates the Subscription record and the first Order at the same time.
3.3 Disclosure before the first charge. Before the first charge, the enrollment confirmation shall state, in full: the Product, the quantity, the Cadence, the price for the first Order including any introductory discount, the recurring price that applies after any introductory period, the date of the first charge, the date or Cadence of the next billing, that charges recur at the Cadence until the Subscriber pauses or cancels, and how to pause, skip, hold, and cancel. Enrollment is not complete until that disclosure has been presented and the Subscriber has confirmed enrollment.
3.4 By confirming enrollment after the disclosure in clause 3.3, the Subscriber authorizes the Company to charge the payment method stated in the Account at each Cadence, in accordance with Article 5 and the Payment Terms.
Article 4: Pricing and Price Changes on Notice
4.1 The Subscription price for a renewal is the price in effect for the Subscription at that renewal, unless the Subscription terms for a specific Subscription state a locked price for a stated period, in which case the locked price applies for that period.
4.2 The introductory discount stated in the Platform's pricing configuration is thirty-five percent (35%) off the first Autoship Order, and the recurring discount stated in that configuration is five percent (5%) off each recurring Autoship Order. Those rates are the rates in effect at the Effective Date of this document. A change to those rates applies only as clause 4.3 provides.
4.3 Price changes on notice. A price increase, a reduction or removal of a discount in clause 4.2, or any other change that increases the amount charged for a renewal takes effect for a Subscriber only after the Company gives notice to the Subscriber stating the current price, the new price, and the renewal date from which the new price applies, in time for the Subscriber to cancel before that renewal is charged. If the Subscriber does not cancel before that renewal, the new price applies to that renewal and to later renewals. No increase is applied retroactively to an Order already charged.
4.4 A promotional price combines with Subscription pricing only where the Promotional Offers Terms or the promotion's own terms state that the two combine. The renewal notice under clause 5.2 shall show the calculation for that cycle in full.
4.5 Prices between renewals are otherwise governed by the Pricing, Availability and Errors Policy, subject to clause 4.3, which controls for a Subscription renewal.
Article 5: Billing and Renewal Notice
5.1 The Subscriber is billed at each Cadence interval until the Subscription is paused, held, or cancelled. Billing is made against the payment method stored in the Account through the Platform's payment processing, as governed by the Payment Terms and the Stripe Services Terms. Each billing creates the renewal Order for that cycle.
5.2 Before each renewal, the Company shall send a renewal notice stating the renewal date, the Product and quantity, the exact amount to be charged, and the controls to skip, hold, pause, or cancel before that date. The amount and the date shall be stated plainly in the notice.
5.3 The Subscriber may update the payment method, the delivery address, and the quantity through the Account's self-service subscription management. A change applies from the next renewal unless the Subscriber requests an earlier application and the timing of the current cycle permits that application.
Article 6: Failed Payments
6.1 Where a renewal payment fails, the Company shall retry the charge on the retry schedule stated in the Account's subscription management, shall notify the Subscriber at each stage, and shall state how to update the payment method.
6.2 After the final failed retry on that schedule, the Subscription shall be placed on hold: no further shipments are made and no further charges are attempted. A Subscription on hold for a failed payment does not accumulate a debt for cycles not shipped.
6.3 The Subscriber may reactivate a Subscription on hold for a failed payment by providing a valid payment method through the Account. Reactivation is a continuation of the same Subscription, at the price and Cadence then in effect for that Subscription, disclosed before the next charge.
Article 7: Pause, Skip, Hold, and Cancellation
7.1 A Subscriber may pause a Subscription, skip a shipment, place a Subscription on hold, or cancel a Subscription at any time before the next billing date, through the Account's self-service subscription management, without contacting support and without a retention process as a condition of the action taking effect.
7.2 Skip. Skipping a shipment omits that cycle only. The Subscription remains active, the next cycle is billed at the following Cadence date, and subscription benefits, including free shipping under Article 8, are not forfeited by a skip.
7.3 Pause and hold. Pausing a Subscription, and a hold imposed under Article 6 or at the Subscriber's request, suspends shipments and charges for the duration of the pause or hold, and suspends subscription benefits for that duration. The Subscriber may resume a paused Subscription through the Account at any time; the resume date and next billing date shall be stated before charges resume.
7.4 Cancellation. Cancellation stops all future charges and shipments from the cancellation's effective time, which is the time the cancellation is confirmed in the Account where cancellation occurs before the next billing date. There are no cancellation fees, no minimum commitment period, and no final-shipment charge imposed as a condition of cancellation.
7.5 Cancellation does not refund an Order that has already shipped. That Order is a completed purchase governed by the Returns and Refunds Policy. Cancellation of the Subscription and return of a shipped Order are separate actions.
7.6 After cancellation, the Subscription history: Orders, payments, and the cancellation record: remains on the Account in accordance with the Privacy Policy. Re-enrollment is a new Subscription; an introductory discount does not automatically apply to a re-enrollment.
Article 8: Cadence and the Free-Shipping Benefit
8.1 The Cadences offered are thirty (30), sixty (60), and ninety (90) days, as stated in the Platform's configuration at enrollment. The Subscriber selects the Cadence at enrollment and may change the Cadence at any time through the Account; a change applies from the next renewal.
8.2 Free shipping is a benefit of an active Subscription. Free shipping applies to Subscription Orders. Whether free shipping extends to other Orders placed while a Subscription is active is stated in the Subscription terms presented at enrollment and reflected at checkout; the checkout statement controls for that Order. A Buyer without an active Subscription pays shipping as included in the displayed price, in accordance with the Shipping and Delivery Policy.
Article 9: Product Changes and Discontinuation
9.1 If a subscribed Product is discontinued, reformulated in a material respect, or becomes ineligible for subscription, the Company shall notify the Subscriber before the next renewal, stating the options available: a substitute Product, where the Subscriber approves the substitute, or cancellation.
9.2 The Company shall not silently substitute a different Product for the Product subscribed. A substitute ships only with the Subscriber's approval given after notice under clause 9.1.
9.3 Where a Product's price changes, clause 4.3 applies, and the renewal notice shall state the old price and the new price together.
Article 10: Liability
10.1 Exclusion of certain damages. To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, or loss of goodwill, arising out of or relating to this document, even if the party has been advised of the possibility of those damages.
10.2 Cap. To the fullest extent permitted by law, the Company's total liability arising out of or relating to this document shall not exceed the greater of (a) the amounts the Subscriber paid for the Order giving rise to the claim, or (b) one hundred dollars ($100).
10.3 Carve-outs. This Article does not limit (a) a party's indemnification obligations under this document; (b) liability for fraud or willful misconduct; (c) amounts owed for Orders or refunds under this document; or (d) liability that cannot be limited under applicable law.
10.4 Essential purpose. The parties agree that this Article allocates risk between them, that it is an essential part of the basis of their bargain, and that it applies even if a limited remedy fails of its essential purpose.
Article 11: Indemnification
11.1 Duty. The Subscriber shall indemnify, defend, and hold harmless the Company and its members, managers, employees, and agents from and against every claim, demand, action, loss, liability, judgment, settlement, cost, and expense (including reasonable attorneys' fees) arising out of or relating to: (a) the Subscriber's breach of this document; (b) content the Subscriber submits to the Platform; (c) the Subscriber's violation of any law or of the rights of any person; and (d) taxes for which the Subscriber is responsible under this document.
11.2 Procedure. The Company shall give prompt written notice of a claim under this Article. The Subscriber shall control the defense with counsel reasonably acceptable to the Company. The Company may participate in the defense at its own expense. The Subscriber shall not settle a claim in a manner that imposes any obligation or restriction on the Company, or that does not release the Company fully, without the Company's prior written consent.
11.3 Survival. This Article survives the termination of this document.
Article 12: Enforcement and Appeals
12.1 Investigation. The Company may investigate any suspected violation of this document. The Subscriber shall cooperate with an investigation and shall produce the records this document requires the Subscriber to keep.
12.2 Notice. If the Company determines that the Subscriber has violated this document, the Company shall give written notice stating the provision violated and the facts relied on, except where notice would compromise an investigation of fraud, a safety risk, or a legal obligation.
12.3 Opportunity to cure. Where a violation is capable of cure, the Subscriber has ten (10) business days from notice to cure it and to confirm the cure in writing. No cure period applies to fraud, counterfeiting, a risk to the safety of a person or an animal, unlawful conduct, or a violation that by its nature cannot be cured.
12.4 Measures. If a violation is established and is not cured within the period allowed, the Company may, proportionate to the violation: (a) issue a written warning; (b) remove or suppress content; (c) cancel an Order or a Subscription; (d) suspend the Account, in whole or in part; (e) terminate this document and the Account; and (f) exercise any other right or remedy available under this document or at law.
12.5 Appeal. The Subscriber may appeal a measure under this Article by written notice to legal@aapawz.com within thirty (30) days of the measure, stating the grounds and attaching the records relied on. The appeal is decided by a person who did not make the original decision. The Company's decision on appeal is final. A measure remains in effect during an appeal unless the Company directs otherwise in writing.
12.6 No waiver by delay. The Company's delay in acting on a violation is not a waiver of the violation or of any later violation of the same kind.
Article 13: Term and Termination
13.1 Term. This document takes effect when the Subscriber enrolls in a Subscription and continues until the Subscription is cancelled or this document is terminated under this Article.
13.2 Termination by the Company. The Company may terminate this document and a Subscription on thirty (30) days' written notice for any reason, and immediately on written notice if the Subscriber materially breaches this document, engages in fraud, or becomes ineligible to participate. Termination by the Company of a Subscription for a reason other than breach shall state the final shipment date and shall not impose a charge after that date except for an Order already shipped.
13.3 Termination by the Subscriber. Cancellation under Article 7 is the Subscriber's termination of the Subscription and takes effect as clause 7.4 states. A Subscriber may also terminate this document on thirty (30) days' written notice to support@aapawz.com, provided the Subscriber has no Order or investigation outstanding.
13.4 Effect of termination. On termination: (a) the rights granted under this document end; (b) obligations that arose before termination: including payment, refund, record-keeping, and indemnification obligations: survive until satisfied; and (c) the Company shall disburse amounts owed, less amounts the Company may set off under this document, within thirty (30) days, except amounts held in connection with an open investigation or dispute.
13.5 Survival. The Definitions, Liability, Indemnification, Enforcement and Appeals (for measures taken before termination), Dispute Resolution, and General Provisions Articles survive termination.
Article 14: Dispute Resolution
14.1 Any dispute arising out of or relating to this document, or to the relationship it governs, is governed by the Dispute Resolution Policy, which is incorporated into this document by reference.
Article 15: General Provisions
15.1 Amendments. The Company may amend this document by posting the amended document in the Document Center and giving notice to Subscribers at the email address in the Account. An amendment that materially increases a Subscriber's fees or obligations, including a price change governed by clause 4.3, takes effect thirty (30) days after notice or as clause 4.3 provides, whichever gives the Subscriber the longer period before the next charge; other amendments take effect on posting. Continued use of a Subscription after the effective date of an amendment is acceptance of it. If a Subscriber does not accept an amendment, the Subscriber's remedy is to cancel under Article 7 before the amendment takes effect.
15.2 Notices. (a) Legal notices under this document shall be sent to legal@aapawz.com. Operational notices and all other communications shall be sent to support@aapawz.com. A notice to the Company is effective when the Company acknowledges receipt or, for email, one business day after sending, whichever is earlier. (b) Notices to a Subscriber are effective when sent to the email address in the Account or posted to the Account's notice facility in the portal, whichever occurs first. Each Subscriber shall keep the email address in the Account current. (c) DMCA notices are given as provided in the DMCA and Copyright Policy, to the designated agent at legal@aapawz.com.
15.3 Governing law. This document is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Subject to the Dispute Resolution Policy, any proceeding arising out of this document shall be brought in the state or federal courts located in Shelby County, Tennessee, and the parties consent to personal jurisdiction there.
15.4 Severability. If any provision of this document is held unenforceable, the provision shall be enforced to the fullest extent permitted, and the remaining provisions continue in full effect.
15.5 Entire agreement. This document, together with the documents it incorporates by reference and the enrollment disclosure for the Subscriber's Subscription, is the entire agreement between the Company and the Subscriber for the subject it governs and supersedes every prior or contemporaneous statement, communication, or agreement on that subject, whether written or oral.
15.6 Assignment. A Subscriber shall not assign this document or any right or obligation under it without the Company's prior written consent, and an assignment without consent is void. The Company may assign this document to an affiliate or in connection with a sale of all or part of its business, on notice to Subscribers.
15.7 Waiver. A waiver of any provision of this document is effective only in writing and only for the instance stated. No waiver is a waiver of any other provision or instance.
15.8 Interpretation. Headings are for convenience only. "Including" means "including without limitation." This document shall not be construed against a party as its drafter. The English-language text controls over any translation.
