Pricing, Availability and Errors Policy

Effective Date: October 15, 2026 Version: 1.0 Applies to: All Buyers, and all Sellers in respect of the prices of their listings.

Article 1: Introduction and Scope

1.1 This document states how a price is set for a Product sold by the Company, what a price displayed on the Platform is, what follows where a price is wrong, the rules for a comparison price and a sale price, and what a statement of availability promises. It states the rights of the Buyer in relation to price and availability. The duties of a Seller in relation to the price of the Seller's own listing are stated in this document where this document so provides and are further governed by the Selling Terms of Service.

1.2 If a provision of this document conflicts with the Terms of Use, this document controls for the pricing subject it governs. If a provision of this document conflicts with the terms of a program in which a party participates, the program terms control for that program. Policies and help pages explain this document; they do not amend it, and in any conflict this document prevails, except as the preceding sentences provide.

Article 2: Definitions

2.1 In this document Account: the account a person or business establishes with the Company to use the Platform.

Buyer: a person who purchases Products or Services through the Platform.

Company: All About Pawz, LLC, a Tennessee limited liability company.

Compare-At Price: a price displayed alongside a current price as a comparison, under Article 7.

Displayed Price: the Stored Price of an item as displayed on the Platform at a given time.

Obvious Error: a price that no reasonable Buyer could believe is genuine, as further described in clause 6.2.

Order: a Buyer's purchase of Products or Services through the Platform, accepted in accordance with the Order Formation and Acceptance Policy.

Platform: the websites, applications, and services the Company operates under the name All About Pawz, including aapawz.com.

Products: goods offered for sale through the Platform.

Seller: a person or business the Company has accepted to offer Products or Services through the Platform.

Services: services offered through the Platform, including grooming, veterinary, pharmacy, and fulfillment services, as applicable.

Site: aapawz.com and its subdomains.

Stored Price: the single current price recorded for an item, set once in accordance with Article 3 and changed only by an update to that record.

User: any person who accesses or uses the Platform, whether or not the person holds an Account.

Article 3: How a Price Is Set

3.1 Each Displayed Price for a Product sold by the Company is a Stored Price. The price is computed once, when the price is set, and is stored. A price is not multiplied or recalculated at the point of display. The price a Buyer sees is the Stored Price.

3.2 For a Product the Company sells from supplier stock, the Stored Price is set under the following rule: the Displayed Price equals the supplier cost multiplied by 1.55, plus shipping. The shipping component depends on the supply route (a) for an item shipped by the Company's domestic wholesale supplier, shipping is a weight-based amount of $9, $12, $15, $19, $32, $39, $46, or $60, according to the item's weight band, included in the Stored Price; and

(b) for an item shipped by an overseas supplier, shipping is the destination-specific freight quoted for the item, included in the Stored Price on the same basis.

3.3 For a marketplace item, the Seller sets the price, subject to the pricing duties in the Selling Terms of Service. The Company does not rewrite a Seller's price.

3.4 One current price governs each item. The rule is one current price per item per price list. A price is updated in place and is not duplicated. Where two prices appear for the same item, the current price, determined by effective date, controls, and the duplicate is a data defect the Buyer may report to support@aapawz.com: subject, at checkout, to clause 6.3 where the price displayed to the Buyer was lower.

3.5 A price set manually is a deliberate price. An automated repricing process does not overwrite a price set manually.

3.6 Prices are stated in United States dollars. Tax is stated separately at checkout and is not part of the Displayed Price, as the Marketplace Facilitator Tax Policy provides.

3.7 Records. Each price carries a record of the Stored Price, the cost, and the shipping amount from which the Stored Price was set, retained as an audit record for the item.

Article 4: Price Changes

4.1 A price change applies prospectively. A change affects a cart checked out after the change and does not affect an Order already placed. An Order retains the price charged at the time of purchase, and a placed Order is not repriced.

4.2 Placing an item in a cart does not fix the price of the item. The price is fixed when the Buyer completes checkout and the Order is accepted, as the Order Formation and Acceptance Policy provides. Where a price changes between placement in a cart and checkout, the checkout total displays the current price before payment, and the Buyer may abandon the cart without charge.

4.3 A subscription Order reprices at each renewal against the current Stored Price, unless the subscription terms state a fixed price, as the Reship Subscription Terms provide.

Article 5: Accuracy of the Displayed Price

5.1 The Company shall display, for each item, the item's Stored Price, and a Seller shall display, for each of the Seller's listings, the price the Seller has set for that listing. A displayed price that differs from the Stored Price or the Seller's set price is a display defect.

5.2 Where a display defect is discovered before an Order is accepted, the price stated in the checkout summary under clause 9.1 governs the Order. Where a display defect is discovered after an Order is accepted, the price the Buyer accepted in the checkout summary governs, and the difference, if the Buyer was charged more than that price, is refunded under clause 9.1. A display defect does not by itself make a correctly set price an error under Article 6; Article 6 governs a price that was set incorrectly.

5.3 The Company shall correct a display defect on discovery and shall record the defect and its correction in the price record kept under clause 3.7.

Article 6: Pricing Errors

6.1 An error in a price: including a misplaced decimal, a supplier feed that carried a wrong cost, and a shipping amount applied from the wrong band: is resolved exclusively under this article.

6.2 Obvious Error. An Obvious Error is a price that no reasonable Buyer could believe is genuine: for example, a price of $0.00 for a Product ordinarily sold at $80, or a Product ordinarily sold at $1,200 displayed at $12.00, or a negative price. Where an Obvious Error is discovered (a) the Company may cancel an affected Order that has not yet shipped, even after the Order has been confirmed. The Company shall notify the Buyer of the cancellation and its reason by email and shall refund the Buyer in full, returning every amount charged. No restocking fee and no processing fee is assessed on a cancellation under this paragraph;

(b) where the Order has already shipped, the Company honors the price charged. A shipped Order is not recalled and no additional amount is charged for the error; and

(c) the Company shall in every case notify the Buyer of a cancellation under this clause, stating the reason. An error cancellation is not effected silently.

6.3 Non-obvious error. An error that is not obvious: a price that is merely favorable, of a kind a sale could plausibly produce: is honored. Where the Company advertised the price and the Buyer purchased in good faith at that price, the Product ships at that price. Where the distinction between an aggressive price and an error price is close, the question is resolved in the Buyer's favor.

6.4 Effect on the Buyer. A cancellation under this article does not count against the Buyer. Such a cancellation does not affect the Buyer's loyalty standing, subscription status, or eligibility to purchase.

6.5 Seller errors. A pricing error in a Seller's listing is the Seller's responsibility to detect and correct. A repeated error that produces cancellations is a Listing accuracy violation. A pattern of asserted errors that consistently favors the Seller is deceptive pricing, not error, and is enforceable as such under Article 11.

Article 7: Compare-At and Sale Prices

7.1 A Compare-At Price is displayed only against a real reference: a genuine prior selling price of the same item, or a current price of a competitor that the Company has verified. A reference price is never invented.

7.2 "Sale" means that the current price is below the reference price in clause 7.1 for a bounded promotional period. A permanent sale price with no real reference price is deceptive pricing and is prohibited, for the Company's own Listings and for each Seller Listing alike.

7.3 A promotional price combines with subscription pricing only where the subscription terms so state. The checkout displays the final computation before payment; the amount displayed at checkout is the amount charged.

Article 8: Availability

8.1 "In stock" means that the Platform's inventory record shows a unit available at the time the Buyer viewed the Product. The statement is a statement of the record at that time, not a guarantee that a unit remains available when the Order reaches fulfillment.

8.2 Availability is revalidated as an Order moves to fulfillment. Where stock is exhausted between the Order and fulfillment (a) the Company shall notify the Buyer promptly and shall offer the Buyer the choice to wait for restock, to accept a substitute the Buyer approves, or to cancel for a full refund;

(b) a partial shipment ships the available portion of the Order, and the unavailable remainder is resolved under paragraph (a); and

(c) the Buyer is never charged for an item that does not ship.

8.3 "Backorder" and "preorder" are distinct commitments, stated on the Product page with an estimated availability date. An estimate is made in good faith and is not a guarantee. Where an estimated date slips materially, the Buyer may cancel for a full refund.

8.4 For an item fulfilled from supplier stock, availability is shown from supplier data. The Company revalidates availability before submitting the supplier order. A supplier stock exhaustion after the Buyer's Order is resolved under clause 8.2.

Article 9: The Checkout Summary and Receipts

9.1 At checkout, the Order summary states the price of each item, the quantities, shipping, tax, each discount, and the total. The summary is the offer the Buyer accepts, as the Order Formation and Acceptance Policy provides. Where the amount charged differs from the summary the Buyer accepted, the difference is refunded to the Buyer and the incident is recorded.

9.2 A receipt restates the prices charged and is retained in the Buyer's Account. A price dispute is determined by reference to the receipt, under the Dispute Resolution Policy.

Article 10: Liability

10.1 Exclusion of certain damages. To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, or loss of goodwill, arising out of or relating to this document, even if the party has been advised of the possibility of those damages.

10.2 Cap. To the fullest extent permitted by law, the Company's total liability arising out of or relating to this document shall not exceed the greater of (a) the amounts the Buyer paid for the Order giving rise to the claim, or (b) one hundred dollars ($100).

10.3 Carve-outs. This article does not limit (a) a party's indemnification obligations under this document; (b) liability for fraud or willful misconduct; (c) amounts a party owes for Orders, fees, chargebacks, or refunds under this document; or (d) liability that cannot be limited under applicable law. Nothing in this article limits a refund this document expressly requires, including a refund under clauses 6.2, 8.2, and 8.3.

10.4 Essential purpose. The parties agree that this article allocates risk between them, that it is an essential part of the basis of their bargain, and that it applies even if a limited remedy fails of its essential purpose.

Article 11: Indemnification

11.1 Duty. The User shall indemnify, defend, and hold harmless the Company and its members, managers, employees, and agents from and against every claim, demand, action, loss, liability, judgment, settlement, cost, and expense (including reasonable attorneys' fees) arising out of or relating to: (a) the User's breach of this document, including a Seller's deceptive pricing under clause 6.5 or clause 7.2; (b) the User's Products, listings, or User Content; and (c) the User's violation of any law or of the rights of any person.

11.2 Procedure. The Company shall give prompt written notice of a claim under this article. The User shall control the defense with counsel reasonably acceptable to the Company. The Company may participate in the defense at its own expense. The User shall not settle a claim in a manner that imposes any obligation or restriction on the Company, or that does not release the Company fully, without the Company's prior written consent.

11.3 Survival. This article survives the termination of this document.

Article 12: Enforcement and Appeals

12.1 Investigation. The Company may investigate any suspected violation of this document. The User shall cooperate with an investigation and shall produce the records this document requires the User to keep, including the price records in clause 3.7.

12.2 Notice. If the Company determines that the User has violated this document, the Company shall give written notice stating the provision violated and the facts relied on, except where notice would compromise an investigation of fraud, a safety risk, or a legal obligation.

12.3 Opportunity to cure. Where a violation is capable of cure, the User has ten (10) business days from notice to cure it and to confirm the cure in writing. No cure period applies to fraud, counterfeiting, a risk to the safety of a person or an animal, unlawful conduct, or a violation that by its nature cannot be cured. Deceptive pricing under clause 6.5 is fraud for the purposes of this clause.

12.4 Measures. If a violation is established and is not cured within the period allowed, the Company may, proportionate to the violation: (a) issue a written warning; (b) remove or suppress a listing or content; (c) cancel an Order or a booking; (d) suspend the Account or a program participation, in whole or in part; (e) terminate this document and the Account; and (f) exercise any other right or remedy available under this document or at law.

12.5 Appeal. The User may appeal a measure under this article by written notice to legal@aapawz.com within thirty (30) days of the measure, stating the grounds and attaching the records relied on. The appeal is decided by a person who did not make the original decision. The Company's decision on appeal is final. A measure remains in effect during an appeal unless the Company directs otherwise in writing.

12.6 No waiver by delay. The Company's delay in acting on a violation is not a waiver of the violation or of any later violation of the same kind.

Article 13: Term and Termination

13.1 Term. This document takes effect when the User first views a price on the Platform or first publishes a priced listing, and continues until terminated under this article.

13.2 Termination by the Company. The Company may terminate this document and the Account on thirty (30) days' written notice for any reason, and immediately on written notice if the User materially breaches this document, engages in fraud, or becomes ineligible to participate.

13.3 Termination by the User. The User may terminate this document on thirty (30) days' written notice to support@aapawz.com, or by closing the Account, provided the User has no Order, booking, or investigation outstanding.

13.4 Effect of termination. On termination: (a) the rights granted under this document end; (b) obligations that arose before termination: including payment, refund, chargeback, record-keeping, and indemnification obligations: survive until satisfied; and (c) the Company shall pay amounts owed, less amounts the Company may set off under this document, within thirty (30) days, except amounts held in connection with an open investigation or dispute.

13.5 Survival. The Definitions, Liability, Indemnification, Enforcement and Appeals (for measures taken before termination), Dispute Resolution, and General Provisions articles survive termination. The price of an Order placed before termination is not changed by termination, as clause 4.1 provides.

Article 14: Dispute Resolution

14.1 Any dispute arising out of or relating to this document, or to the relationship it governs, is governed by the Dispute Resolution Policy, which is incorporated into this document by reference.

Article 15: General Provisions

15.1 Amendments. The Company may amend this document by posting the amended document in the Document Center and giving notice to the User at the email address in the Account. An amendment that materially increases the User's fees or obligations takes effect thirty (30) days after notice; other amendments take effect on posting. Continued use of the Platform after the effective date of an amendment is acceptance of it. If the User does not accept an amendment, the User's remedy is to terminate under Article 13 before the amendment takes effect.

15.2 Notices. Legal notices under this document shall be sent to legal@aapawz.com. Operational notices, reports of a duplicate price or another price defect, and all other communications shall be sent to support@aapawz.com. A notice to the Company is effective when the Company acknowledges receipt or, for email, one business day after sending, whichever is earlier. Notices to the User are effective when sent to the email address in the Account or posted to the Account's notice facility in the portal, whichever occurs first. The User shall keep the email address in the Account current. DMCA notices are given as provided in the DMCA and Copyright Policy, to the designated agent at legal@aapawz.com.

15.3 Governing law. This document is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Subject to the Dispute Resolution Policy, any proceeding arising out of this document shall be brought in the state or federal courts located in Shelby County, Tennessee, and the parties consent to personal jurisdiction there.

15.4 Severability. If any provision of this document is held unenforceable, the provision shall be enforced to the fullest extent permitted, and the remaining provisions continue in full effect.

15.5 Entire agreement. This document, together with the documents it incorporates by reference, is the entire agreement between the Company and the User for the subject it governs and supersedes every prior or contemporaneous statement, communication, or agreement on that subject, whether written or oral.

15.6 Assignment. The User shall not assign this document or any right or obligation under it without the Company's prior written consent, and an assignment without consent is void. The Company may assign this document to an affiliate or in connection with a sale of all or part of its business, on notice to the User.

15.7 Waiver. A waiver of any provision of this document is effective only in writing and only for the instance stated. No waiver is a waiver of any other provision or instance.

15.8 Interpretation. Headings are for convenience only. "Including" means "including without limitation." This document shall not be construed against a party on the ground that the party prepared it. The English-language text controls over any translation.
