Account Registration and Security Policy

Effective Date: October 15, 2026 Version: 1.0 Applies to: All persons and businesses who register for, hold, or use an Account on the Platform, including Buyers and Sellers.

Article 1: Introduction and Scope

1.1 This document governs registration for an Account, verification of identity and eligibility, credential and Account security, and suspension, closure, and the survival of obligations on closure.

1.2 Eligibility by age is governed by the Age and Minor Use Policy. A Seller's substantive obligations as a seller are governed by the Selling Terms of Service, which states the Seller verification requirements in full; Article 4 of this document states the platform rule that registration and verification are distinct and that listing is gated on verification.

1.3 If a provision of this document conflicts with the Terms of Use, this document controls for the subject it governs. If a provision of this document conflicts with the terms of a program in which the Account holder participates, the program terms control for that program. Policies and help pages explain this document; they do not amend it, and in any conflict this document prevails.

Article 2: Definitions

2.1 Account: the account a person or business establishes with the Company to use the Platform.

2.2 Account Holder: the person or business in whose name an Account is held and to whom the Account is attributed for all purposes under this document.

2.3 Buyer: a person who purchases Products or Services through the Platform.

2.4 Company: All About Pawz, LLC, a Tennessee limited liability company.

2.5 Credentials: the means of access to an Account, including a password, a passkey or authentication factor, and an application programming interface key or token issued for the Account.

2.6 Order: a Buyer's purchase of Products or Services through the Platform, accepted in accordance with the Order Formation and Acceptance Policy.

2.7 Platform: the websites, applications, and services the Company operates under the name All About Pawz, including aapawz.com.

2.8 Products: goods offered for sale through the Platform.

2.9 Seller: a person or business the Company has accepted to offer Products or Services through the Platform.

2.10 Seller Account: an Account held by a Seller for offering Products or Services through the Platform.

2.11 Services: services offered through the Platform, including grooming, veterinary, pharmacy, and fulfillment services, as applicable.

2.12 User: any person who accesses or uses the Platform, whether or not the person holds an Account.

Article 3: Registration

3.1 Registration requires complete and accurate information: legal name, valid contact information, and the information the registration process requests for the role in which the Account Holder registers. Information is complete and accurate at the time the information is provided and on a continuing basis; an Account Holder shall update Account information promptly when that information changes. An address, payment detail, or business particular that is no longer current is no longer accurate for the purposes of this Article.

3.2 Material misrepresentation at registration: including a false identity, a fictitious business, and use of another person's documents: is grounds for immediate termination of the Account and of this document, without a cure period. The Company cannot maintain an account relationship on a false identity.

3.3 One Account per person; one Seller identity record. (a) One natural person shall hold one Buyer Account. (b) A Seller shall hold one Seller Account, and the Company shall maintain exactly one seller identity record for that Seller, which is the record of the Seller's identity for the marketplace, the portals, and enforcement. (c) Multiple Accounts require the Company's prior written approval; separate legal entities with separate beneficial ownership are the standard case for such approval. An undisclosed multiple Account is circumvention and a violation of the Acceptable Use Policy.

3.4 Registration is not verification. A registered Buyer Account may browse and purchase. A registered Seller Account shall not list a Product until verification under Article 4 is complete. The two states are distinct, and a listing that is live for an unverified Seller is treated by the Company as a defect to be removed, not as permission to sell.

Article 4: Verification

4.1 Every Seller shall complete identity and business verification before the first listing, as governed in full by the Selling Terms of Service (a) Standard verification: all Sellers. Government-issued identity; verified business name and address; tax identity, including a completed Form W-9 before the first disbursement; and a disbursement account in the Seller's legal name. No listing shall go live before standard verification is complete.

(b) Enhanced verification. At ten thousand dollars ($10,000) per month in sales, on application to a gated category, or on the presence of a risk indicator the Company identifies, enhanced due diligence applies: beneficial ownership information, source-of-inventory documentation, and category-specific credentials, including pharmacy licences where the category requires such a licence. Enhanced verification may be imposed after standard verification is complete, on crossing a threshold or on the appearance of a risk indicator.

4.2 Verification is re-run on a triggering event: an expired verification document, a change in beneficial ownership, a new disbursement account in a different name, or a risk event affecting the Account. Completion of verification at one time is not a permanent status.

4.3 Federal verification duties for high-volume third-party sellers under the INFORM Act apply in addition to this Article, including identity verification at the thresholds that Act prescribes: two hundred (200) transactions and five thousand dollars ($5,000): and annual certification and disclosure at the higher thresholds that Act prescribes. Platform verification and INFORM Act verification are administered as one process where the two overlap, as further governed by the INFORM Act Compliance Policy and the regulatory documents in Regulatory.

4.4 A person who declines to complete verification required for an activity shall not carry on that activity through the Platform. Declining verification is not itself a violation where the Account Holder ceases the activity that requires the verification.

Article 5: Credentials and Account Security

5.1 Responsibility for the Account. The Account Holder is responsible for the confidentiality of Credentials and for all activity under the Account. Activity by an employee, contractor, or other person using the Account Holder's logged-in Account is the Account Holder's activity, including an Order placed or a listing published by such a person. The Account Holder shall manage access by the Account Holder's own personnel accordingly.

5.2 Password requirements. A password shall meet the strength requirements stated at the time the password is set or reset. Reuse of a password across services is at the Account Holder's risk; the Company cannot protect a password disclosed in another service's breach.

5.3 Notice of unauthorized access. An Account Holder shall notify the Company promptly of suspected unauthorized access, through the Account security process provided on the Platform, and not solely by an email to a general address where that process is available. Prompt notice is the fact that distinguishes an Account Holder who is a victim of compromise: for whom the Account is restored and fraudulent activity is reversed where possible: from an Account whose activity is attributed to the Account Holder without that mitigation in the enforcement record.

5.4 Step-up authentication and resets. The Company may require a credential reset and additional authentication on a risk signal, including a login from an unusual location, an unusual volume or velocity of activity, and Credentials identified as compromised in another service's breach. A requirement under this clause is a security measure and is not an accusation and not an enforcement measure under Article 8.

5.5 Seller credentials and keys. A Seller shall protect Seller Center Credentials with the care the sensitivity of the functions those Credentials control requires: listings, disbursements, and customer data. An application programming interface key issued for an Account carries the Account Holder's responsibility for all activity under that key, as governed by the developer documents in Developers and Partners. A key the Account Holder knows or suspects has been disclosed shall be reported promptly to support@aapawz.com; the Company shall revoke a disclosed key on discovery, and activity under the key before revocation remains the Account Holder's activity, subject to clause 5.3.

5.6 An Account Holder shall not share an Account with a person who is not authorized by the Account Holder to act for the Account Holder, and shall not permit use of the Account by a person whose own Account has been terminated for a violation, for the purpose of evading that termination.

Article 6: Suspension, Closure, and Survival

6.1 Closure by a Buyer. A Buyer may close the Buyer Account at any time through the Account settings. Obligations already incurred: including an open Order, a pending return, and an outstanding payment: survive closure. Closure of an Account does not cancel a shipment and does not extinguish a payment obligation.

6.2 Closure of a Seller Account. A Seller Account is closed through the offboarding process stated in the Selling Terms of Service, and not by abandonment: open Orders are fulfilled or transferred, returns are resolved, and final settlement is made after disbursement holds and disputes clear. A Seller that ceases to use the Seller Account without completing offboarding remains bound by obligations that continue to accrue until offboarding is complete.

6.3 Suspension and termination by the Company. The Company may suspend or terminate an Account as governed by Article 8. Suspension restricts the Account's functions; suspension does not delete the Account's records. Termination ends the account relationship; the records are retained for the retention period stated in clause 6.4.

6.4 Data on closure. Personal information in a closed Account is handled in accordance with the Privacy Policy. A deletion request is honoured subject to retention duties imposed by law, including transaction records, tax records, and enforcement records, which may be retained after the Account closes for the period those duties prescribe.

Article 7: Liability

7.1 Exclusion of certain damages. To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, or loss of goodwill, arising out of or relating to this document, even if the party has been advised of the possibility of those damages.

7.2 Cap. To the fullest extent permitted by law, the Company's total liability arising out of or relating to this document shall not exceed the greater of (a) the amounts the Account Holder paid to the Company under this document in the twelve months before the event giving rise to the claim, or, where the claim arises from an Order, the amounts the Buyer paid for that Order, or (b) one hundred dollars ($100).

7.3 Carve-outs. This Article does not limit (a) a party's indemnification obligations under this document; (b) liability for fraud or willful misconduct; (c) amounts owed for Orders, fees, chargebacks, or refunds under a governing document; or (d) liability that cannot be limited under applicable law.

7.4 Essential purpose. The parties agree that this Article allocates risk between them, that it is an essential part of the basis of their bargain, and that it applies even if a limited remedy fails of its essential purpose.

Article 8: Indemnification

8.1 Duty. The Account Holder shall indemnify, defend, and hold harmless the Company and its members, managers, employees, and agents from and against every claim, demand, action, loss, liability, judgment, settlement, cost, and expense (including reasonable attorneys' fees) arising out of or relating to: (a) the Account Holder's breach of this document; (b) activity under the Account, including activity by a person the Account Holder permitted to use the Account; (c) the Account Holder's violation of any law or of the rights of any person; and (d) taxes for which the Account Holder is responsible under a governing document.

8.2 Procedure. The Company shall give prompt written notice of a claim under this Article. The Account Holder shall control the defense with counsel reasonably acceptable to the Company. The Company may participate in the defense at its own expense. The Account Holder shall not settle a claim in a manner that imposes any obligation or restriction on the Company, or that does not release the Company fully, without the Company's prior written consent.

8.3 Survival. This Article survives the termination of this document.

Article 9: Enforcement and Appeals

9.1 Investigation. The Company may investigate any suspected violation of this document. The Account Holder shall cooperate with an investigation and shall produce the records this document requires the Account Holder to keep.

9.2 Notice. If the Company determines that the Account Holder has violated this document, the Company shall give written notice stating the provision violated and the facts relied on, except where notice would compromise an investigation of fraud, a safety risk, or a legal obligation.

9.3 Opportunity to cure. Where a violation is capable of cure, the Account Holder has ten (10) business days from notice to cure it and to confirm the cure in writing. No cure period applies to fraud, including material misrepresentation at registration under clause 3.2, counterfeiting, a risk to the safety of a person or an animal, unlawful conduct, or a violation that by its nature cannot be cured.

9.4 Measures. If a violation is established and is not cured within the period allowed, the Company may, proportionate to the violation: (a) issue a written warning; (b) remove or suppress a listing or content; (c) cancel an Order; (d) suspend the Account, in whole or in part; (e) terminate this document and the Account; and (f) exercise any other right or remedy available under this document or at law.

9.5 Seller disbursement hold. The Company may hold disbursements to a Seller while an investigation under this Article is pending, and shall release amounts not required to satisfy the Seller's obligations when the investigation closes.

9.6 Appeal. The Account Holder may appeal a measure under this Article by written notice to legal@aapawz.com within thirty (30) days of the measure, stating the grounds and attaching the records relied on. The appeal is decided by a person who did not make the original decision. The Company's decision on appeal is final. A measure remains in effect during an appeal unless the Company directs otherwise in writing.

9.7 No waiver by delay. The Company's delay in acting on a violation is not a waiver of the violation or of any later violation of the same kind.

Article 10: Term and Termination

10.1 Term. This document takes effect when the Account Holder registers for an Account and continues until terminated under this Article.

10.2 Termination by the Company. The Company may terminate this document and the Account on thirty (30) days' written notice for any reason, and immediately on written notice if the Account Holder materially breaches this document, engages in fraud, or becomes ineligible to hold an Account.

10.3 Termination by the Account Holder. The Account Holder may terminate this document by closing the Account in accordance with Article 6, or on thirty (30) days' written notice to support@aapawz.com, provided the Account Holder has no Order, booking, or investigation outstanding.

10.4 Effect of termination. On termination: (a) the rights granted under this document end; (b) obligations that arose before termination: including payment, refund, chargeback, record-keeping, and indemnification obligations: survive until satisfied; and (c) the Company shall disburse amounts owed, less amounts the Company may set off under this document or another governing document, within thirty (30) days, except amounts held in connection with an open investigation or dispute.

10.5 Survival. The Definitions, Liability, Indemnification, Enforcement and Appeals (for measures taken before termination), Dispute Resolution, and General Provisions Articles survive termination.

Article 11: Dispute Resolution

11.1 Any dispute arising out of or relating to this document, or to the relationship it governs, is governed by the Dispute Resolution Policy, which is incorporated into this document by reference.

Article 12: General Provisions

12.1 Amendments. The Company may amend this document by posting the amended document in the Document Center and giving notice to Account Holders at the email address in the Account. An amendment that materially increases an Account Holder's obligations takes effect thirty (30) days after notice; other amendments take effect on posting. Continued use of the Platform after the effective date of an amendment is acceptance of it. If an Account Holder does not accept an amendment, the Account Holder's remedy is to terminate under Article 10 before the amendment takes effect.

12.2 Notices. (a) Legal notices under this document shall be sent to legal@aapawz.com. Operational notices and all other communications shall be sent to support@aapawz.com. A notice to the Company is effective when the Company acknowledges receipt or, for email, one business day after sending, whichever is earlier. (b) Notices to an Account Holder are effective when sent to the email address in the Account or posted to the Account's notice facility in the portal, whichever occurs first. Each Account Holder shall keep the email address in the Account current. (c) DMCA notices are given as provided in the DMCA and Copyright Policy, to the designated agent at legal@aapawz.com.

12.3 Governing law. This document is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Subject to the Dispute Resolution Policy, any proceeding arising out of this document shall be brought in the state or federal courts located in Shelby County, Tennessee, and the parties consent to personal jurisdiction there.

12.4 Severability. If any provision of this document is held unenforceable, the provision shall be enforced to the fullest extent permitted, and the remaining provisions continue in full effect.

12.5 Entire agreement. This document, together with the documents it incorporates by reference, is the entire agreement between the Company and the Account Holder for the subject it governs and supersedes every prior or contemporaneous statement, communication, or agreement on that subject, whether written or oral.

12.6 Assignment. An Account Holder shall not assign this document, an Account, or any right or obligation under this document without the Company's prior written consent, and an assignment without consent is void. The Company may assign this document to an affiliate or in connection with a sale of all or part of its business, on notice to Account Holders.

12.7 Waiver. A waiver of any provision of this document is effective only in writing and only for the instance stated. No waiver is a waiver of any other provision or instance.

12.8 Interpretation. Headings are for convenience only. "Including" means "including without limitation." This document shall not be construed against a party as its drafter. The English-language text controls over any translation.
