Effective Date: October 15, 2026 Version: 1.0 Applies to: All pharmacies that dispense Prescriptions written through the Platform as pharmacy partners of the Company.
Article 1: Introduction and Scope
1.1 This Policy states the standards a pharmacy shall satisfy, at all times, to participate as a pharmacy partner of the Company and to receive and dispense Prescriptions written through the Platform. It states the licensing and accreditation bar, the dispensing and traceability duties, the insurance requirement, the Company's audit rights, and the consequences of failure.
1.2 The Company does not dispense. Prescriptions written through the Platform are fulfilled by licensed pharmacy partners. The Company transmits the Prescription and the Client's shipping information; the pharmacy partner is the dispenser of record and bears dispensing responsibility. The Company does not take possession of a prescription product, does not stock or repackage a prescription product, and does not deliver a prescription product to the Client.
1.3 Licensure and dispensing are governed by the law of the state in which the pharmacy is located, the law of the state into which the product is shipped, and the law of the state in which the Patient is located, as each applies. This Policy does not authorize any practice that applicable law forbids, and where this Policy and applicable law differ, the stricter rule prevails.
1.4 No provision of this Policy promises a clinical outcome. If a provision of this Policy conflicts with the Terms of Use, this Policy controls for the subject it governs. If a provision of this Policy conflicts with the terms of a program in which the Pharmacy Partner participates, the program terms control for that program.
Article 2: Definitions
2.1 Account: the account a person or business establishes with the Company to use the Platform.
2.2 Client: the person who holds authority over the Patient and to whom a dispensed product is supplied.
2.3 Company: All About Pawz, LLC, a Tennessee limited liability company.
2.4 Patient: the animal for which a Prescription is written.
2.5 Pharmacy Partner: a pharmacy the Company has accepted under this Policy to dispense Prescriptions written through the Platform.
2.6 Platform: the websites, applications, and services the Company operates under the name All About Pawz, including aapawz.com.
2.7 Prescription: an order by a licensed veterinarian for a medication for a Patient, recorded and transmitted through the Platform.
2.8 VCPR: a veterinarian-client-patient relationship, as defined by the law of the state in which the Patient is located.
Article 3: Eligibility and Verification
3.1 A pharmacy becomes a Pharmacy Partner only after the Company has verified each standard in Article 4. Application is the start of verification, not the end of it. No Prescription shall be routed to a pharmacy before verification is complete, and no interim period applies in which Prescriptions flow to an unverified pharmacy.
3.2 A change of the designated Pharmacy Partner requires verification of the incoming pharmacy under Article 4 before the first Prescription is routed to that pharmacy. Each Prescription record identifies the pharmacy partner that received the Prescription, so that the record of which pharmacy dispensed which product survives a change of partner.
3.3 Verification is calibrated to the partner model (a) Central fulfillment pharmacy: a pharmacy dispensing Platform Prescriptions across states. Verification addresses the multi-state permit position, shipping operations, and the integration required by Article 6: order receipt, fulfillment reporting, and tracking handoff.
(b) Independent pharmacy: a pharmacy dispensing for Clients in its own locality. Verification addresses the pharmacy's license, the pharmacist in charge, and compounding capability where the pharmacy is to handle compounded Prescriptions under the Extralabel Use and Compounding Policy.
Article 4: The Partner Standard
4.1 A Pharmacy Partner shall, at all times (a) Licensure. Hold a current pharmacy license in the state in which the pharmacy is located and in every state into which the pharmacy ships prescription products, together with each nonresident pharmacy permit the destination state requires. Authorization is per jurisdiction: licensure in one state does not authorize dispensing into another. The Company verifies the permit position before routing the first Prescription and re-verifies on the license cycle, and the Pharmacy Partner shall produce evidence of licensure on request.
(b) Accreditation. Hold recognized accreditation or verification where available, including accreditation through the National Association of Boards of Pharmacy or the state equivalent. Accreditation is required where it exists for the pharmacy's model of practice.
(c) Dispensing only on a valid Prescription. Dispense only against a valid Prescription transmitted through the Platform, and verify the prescriber's license and the VCPR basis of a Prescription on request. The Pharmacy Partner is the final checkpoint before a medication reaches the Patient.
(d) Traceability and recall. Maintain traceability at the level of the product lot and maintain a written recall procedure. On a recall of a lot, the Pharmacy Partner shall be able to identify every Platform Client who received product from that lot within 24 hours, as provided in the Product Recall Policy.
(e) Insurance. Carry product-liability and errors-and-omissions insurance at the limits the partner agreement with the Company specifies, with certificates on file with the Company and monitored for expiry. Coverage shall be continuous; a lapse in coverage is a failure of this standard.
(f) Audit. Submit to the Company's audit rights under Article 5.
Article 5: Audit Rights
5.1 The Company may audit a Pharmacy Partner's compliance with this Policy, including licensure and accreditation records, dispensing records for Platform Prescriptions, lot traceability records, recall readiness, and insurance certificates. The Pharmacy Partner shall produce the records requested within the time the Company states in the audit notice and shall cooperate with the audit.
5.2 An audit may be conducted on a scheduled basis and on the occurrence of an event that bears on dispensing safety, including a dispensing error, a recall, or a licensure action in any state.
Article 6: Integration and the Pharmacist's Judgment
6.1 The Pharmacy Partner's connection to the Platform shall support, at a minimum: receipt of the complete Prescription record as required by the Prescription Authority and VCPR Requirement; acknowledgement of receipt with the pharmacy's order reference; reporting of each change in the fulfillment position: received, in preparation, shipped, delayed, cancelled; the tracking number on shipment; and exception reporting, under which a Prescription the Pharmacy Partner cannot fill, does not fill, or requires clarified comes back to the Company with a reason and does not remain unreported in a queue. Transmission and fulfillment mechanics are governed by the Prescription Transmission and Fulfillment.
6.2 Independent professional judgment. The pharmacist's professional judgment is not overridden by the Company. The clinical check the law requires of a dispensing pharmacist remains with the Pharmacy Partner. If a pharmacist identifies a dosing error, a drug interaction, or a Prescription that does not make clinical sense, the pharmacist shall hold the Prescription and contact the prescriber. Transmission of a Prescription through the Platform delivers the Prescription to the pharmacist's judgment; transmission does not displace that judgment, and no provision of this Policy or of any partner agreement requires a pharmacist to dispense a Prescription the pharmacist has determined, in professional judgment, shall not be dispensed as written.
6.3 Client communication about the fulfillment position of a Prescription is given by the Company, which holds the Client relationship, from the Pharmacy Partner's reporting and the tracking number. The Pharmacy Partner shall keep that reporting current so that the Company can answer the Client's question from the record.
Article 7: Suspension, Lookback, and Transition
7.1 A Pharmacy Partner that dispenses against an invalid Prescription, ships into a state in which the Pharmacy Partner is not permitted to dispense, fails a license re-verification, or breaches Article 6: including acknowledging Prescriptions that are not filled and failing to report fulfillment positions: is suspended from routing immediately, pending investigation. Prescriptions in progress at suspension are re-routed to another Pharmacy Partner or held, with notice to the affected Clients.
7.2 Suspension triggers a review of the Prescriptions the Pharmacy Partner filled in the 90 days before suspension, examined for the failure pattern that caused the suspension. The review determines whether the failure was administrative or a matter of patient safety, and the consequences under Article 9 follow that determination.
7.3 Termination of a pharmacy partnership follows the partner agreement, with a transition plan: Prescriptions in progress complete or transfer to another Pharmacy Partner without interruption; records transfer in accordance with the Regulatory Record Retention; and Clients with active therapies are notified of the new dispensing path before the former path closes. No Client's continuing therapy falls into a gap between pharmacies.
Article 8: Liability
8.1 Dispensing responsibility. The Pharmacy Partner bears responsibility for dispensing in accordance with the verified Prescription and applicable dispensing law, and for the professional judgments of the pharmacists who dispense for the Pharmacy Partner. The prescriber bears responsibility for the prescribing decision. The Company conveys Prescriptions and does not dispense. Nothing in this Article limits liability for personal injury or injury to an animal caused by negligence, where applicable law does not permit the limitation. No provision of this Policy is a promise of a clinical outcome.
8.2 Exclusion of certain damages. To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, or loss of goodwill, arising out of or relating to this Policy, even if the party has been advised of the possibility of those damages.
8.3 Cap. To the fullest extent permitted by law, the Company's total liability arising out of or relating to this Policy shall not exceed the greater of (a) the amounts the Pharmacy Partner paid to the Company under this Policy in the twelve months before the event giving rise to the claim, or (b) one hundred dollars ($100).
8.4 Carve-outs. This Article does not limit (a) a party's indemnification obligations under this Policy; (b) liability for fraud or willful misconduct; (c) amounts the Pharmacy Partner owes for Orders, fees, refunds, or other amounts under the Company's documents; or (d) liability that cannot be limited under applicable law.
8.5 Essential purpose. The parties agree that this Article allocates risk between them, that it is an essential part of the basis of their bargain, and that it applies even if a limited remedy fails of its essential purpose.
Article 9: Indemnification
9.1 Duty. The Pharmacy Partner shall indemnify, defend, and hold harmless the Company and its members, managers, employees, and agents from and against every claim, demand, action, loss, liability, judgment, settlement, cost, and expense (including reasonable attorneys' fees) arising out of or relating to: (a) the Pharmacy Partner's breach of this Policy; (b) the Pharmacy Partner's products, dispensing, listings, or content, including product liability claims and the cost of a product recall attributable to the Pharmacy Partner; (c) the Pharmacy Partner's violation of any law or of the rights of any person; and (d) taxes for which the Pharmacy Partner is responsible under the Company's documents.
9.2 Procedure. The Company shall give prompt written notice of a claim under this Article. The Pharmacy Partner shall control the defense with counsel reasonably acceptable to the Company. The Company may participate in the defense at its own expense. The Pharmacy Partner shall not settle a claim in a manner that imposes any obligation or restriction on the Company, or that does not release the Company fully, without the Company's prior written consent.
9.3 Survival. This Article survives the termination of this Policy.
Article 10: Enforcement and Appeals
10.1 Investigation. The Company may investigate any suspected violation of this Policy. The Pharmacy Partner shall cooperate with an investigation and shall produce the records this Policy requires the Pharmacy Partner to keep.
10.2 Notice. If the Company determines that the Pharmacy Partner has violated this Policy, the Company shall give written notice stating the provision violated and the facts relied on, except where notice would compromise an investigation of fraud, a safety risk, or a legal obligation. The Company may suspend routing to the Pharmacy Partner immediately where a license has lapsed, accreditation or insurance has lapsed, or a safety risk arises.
10.3 Opportunity to cure. Where a violation is capable of cure, the Pharmacy Partner has ten (10) business days from notice to cure it and to confirm the cure in writing. No cure period applies to fraud, a risk to the safety of a person or an animal, unlawful conduct, dispensing against an invalid Prescription, or a violation that by its nature cannot be cured.
10.4 Measures. If a violation is established and is not cured within the period allowed, the Company may, proportionate to the violation: (a) issue a written warning; (b) suspend routing of Prescriptions, in whole or in part; (c) suspend the Account or program participation, in whole or in part; (d) terminate this Policy and the Account; and (e) exercise any other right or remedy available under the Company's documents or at law.
10.5 Appeal. The Pharmacy Partner may appeal a measure under this Article by written notice to legal@aapawz.com within thirty (30) days of the measure, stating the grounds and attaching the records relied on. The appeal is decided by a person who did not make the original decision. The Company's decision on appeal is final. A measure remains in effect during an appeal unless the Company directs otherwise in writing.
10.6 No waiver by delay. The Company's delay in acting on a violation is not a waiver of the violation or of any later violation of the same kind.
Article 11: Term and Termination
11.1 Term. This Policy takes effect when a pharmacy is accepted as a Pharmacy Partner and continues until terminated under this Article.
11.2 Termination by the Company. The Company may terminate this Policy and the Account on thirty (30) days' written notice for any reason, and immediately on written notice if the Pharmacy Partner materially breaches this Policy, engages in fraud, or becomes ineligible to participate.
11.3 Termination by the Pharmacy Partner. The Pharmacy Partner may terminate this Policy on thirty (30) days' written notice to support@aapawz.com, provided the Pharmacy Partner has no Prescription in progress or investigation outstanding, and subject to the transition duties in Article 7.3.
11.4 Effect of termination. On termination: (a) the rights granted under this Policy end; (b) obligations that arose before termination: including payment, refund, record-keeping, recall, and indemnification obligations: survive until satisfied; and (c) the Company shall disburse amounts owed, less amounts the Company may set off under the Company's documents, within thirty (30) days, except amounts held in connection with an open investigation or dispute.
11.5 Survival. The Definitions, Liability, Indemnification, Enforcement and Appeals (for measures taken before termination), Dispute Resolution, and General Provisions Articles survive termination.
Article 12: Dispute Resolution
12.1 Any dispute arising out of or relating to this Policy, or to the relationship it governs, is governed by the Dispute Resolution Policy, which is incorporated into this Policy by reference.
Article 13: General Provisions
13.1 Amendments. The Company may amend this Policy by posting the amended Policy in the Document Center and giving notice to the Pharmacy Partner at the email address in the Account. An amendment that materially increases the Pharmacy Partner's fees or obligations takes effect thirty (30) days after notice; other amendments take effect on posting. Continued participation after the effective date of an amendment is acceptance of it. If the Pharmacy Partner does not accept an amendment, the Pharmacy Partner's remedy is to terminate under Article 11 before the amendment takes effect.
13.2 Notices. Legal notices under this Policy shall be sent to legal@aapawz.com. Operational notices and all other communications shall be sent to support@aapawz.com. A notice to the Company is effective when the Company acknowledges receipt or, for email, one business day after sending, whichever is earlier. Notices to the Pharmacy Partner are effective when sent to the email address in the Account or posted to the Account's notice facility in the portal, whichever occurs first. The Pharmacy Partner shall keep the email address in the Account current.
13.3 Governing law. This Policy is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Subject to the Dispute Resolution Policy, any proceeding arising out of this Policy shall be brought in the state or federal courts located in Shelby County, Tennessee, and the parties consent to personal jurisdiction there. Dispensing under this Policy is governed by the law of the state in which the Patient is located and of each other state whose law applies to the dispensing.
13.4 Severability. If any provision of this Policy is held unenforceable, the provision shall be enforced to the fullest extent permitted, and the remaining provisions continue in full effect.
13.5 Entire agreement. This Policy, together with the documents it incorporates by reference and the partner agreement between the Company and the Pharmacy Partner, is the entire agreement between the Company and the Pharmacy Partner for the subject it governs and supersedes every prior or contemporaneous statement, communication, or agreement on that subject, whether written or oral.
13.6 Assignment. The Pharmacy Partner shall not assign this Policy or any right or obligation under it without the Company's prior written consent, and an assignment without consent is void. The Company may assign this Policy to an affiliate or in connection with a sale of all or part of its business, on notice to the Pharmacy Partner.
13.7 Waiver. A waiver of any provision of this Policy is effective only in writing and only for the instance stated. No waiver is a waiver of any other provision or instance.
13.8 Interpretation. Headings are for convenience only. "Including" means "including without limitation." This Policy shall not be construed against a party as its drafter. The English-language text controls over any translation.
